2025年国际贸易合同实用英语合同编号：__________(INSTRUMENTOFAGREEMENT)ThisContract(the“Contract”)ismadeandenteredintoonthis_____dayof____________,2025,andbetween:Hereinafter,individuallyreferredtoasa“Party”andcollectivelyasthe“Parties”.RECITALS:WHEREAS,PartyAiswillingtosellandPartyBiswillingtobuytheGoods(asdefinedhereinafter)onthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thePartiesheretoagreeasfollows:Article1:DefinitionofTerms1.1Unlessotherwisedefinedherein,capitalizedtermsandexpressionsusedinthisContractshallhavethefollowingmeanings:(a)“Goods”meanstheproductsand/orservicestobesoldanddeliveredPartyAtoPartyBunderthisContract,asdescribedinExhibitAattachedhereto;(b)“Incoterms”meanstheInternationalRulesfortheInterpretationofTradeTerms,aspublishedtheInternationalChamberofCommerceandinforceasofthedateofthisContract;(c)“Order”meansthepurchaseorderissuedPartyBtoPartyAforthepurchaseofGoodsinaccordancewiththetermsandconditionsofthisContract;(d)“Price”meansthepricefortheGoodsassetforthinExhibitBattachedhereto;(e)“DeliveryDate”meansthedateonwhichPartyAisrequiredtodelivertheGoodstoPartyBunderthetermsofthisContract;(f)“ForceMajeure”meansanyeventorcircumstancebeyondthereasonablecontrolofaParty,includingbutnotlimitedtoactsofGod,war,riot,embargo,labordisputes,andgovernmentactions,whichmakesitimpossibleorimpracticableforsuchPartytoperformitsobligationsunderthisContract;(g)“Exhibit”meansanyexhibitattachedheretoandincorporatedreferenceasiffullysetforthherein;and(h)“Parties”meansPartyAandPartyBcollectively.Article2:SaleandPurchaseofGoods2.1PartyAagreestosellandPartyBagreestobuytheGoodsinaccordancewiththetermsandconditionssetforthinthisContract.2.2PartyAshalldelivertheGoodstoPartyBattheplaceandtimespecifiedinExhibitAattachedhereto(the“PlaceofDelivery”)onorbeforetheDeliveryDate.2.3TheGoodsshallbegovernedtheIncotermsinforceasofthedateofthisContract,andtheriskoflossandtotheGoodsshallpasstoPartyBupontheGoods’arrivalatthePlaceofDelivery.Article3:PriceandPaymentTerms3.1ThePricefortheGoodsshallbeassetforthinExhibitBattachedhereto.3.2PartyBshallmakepaymentfortheGoodswiretransfertoanaccountdesignatedPartyAwithinthirty(30)daysafterthedateoftheinvoiceissuedPartyA.3.3InterestshallbechargedonanyoutstandingbalancebeyondthepaymentduedateatanannualinterestrateequaltotheprimelendingratepublishedthePeople’sBankofChina,plusthreepercent(3%)perannum,calculatedonadailybasis.Article4:DeliveryandInspection4.1PartyAshalldelivertheGoodstoPartyBonorbeforetheDeliveryDate.4.2PartyBshallhavetherighttoinspectandtesttheGoodswithinareasonabletimeaftertheirdelivery.IftheGoodsdonotconformtothetermsofthisContract,PartyBshallnotifyPartyAinwritingwithinthirty(30)daysafterdelivery.PartyAshall,atitssolediscretion,eitherreplacethenonconformingGoodsorrefundthepurchasepriceforsuchGoods.Article5:Warranties5.1PartyAwarrantsthattheGoodsshallconformtothespecificationssetforthinExhibitAattachedheretoandbefreefromdefectsinmaterialsandworkmanship.5.一、附件列表：1.附件A：Goods的详细描述2.附件B：价格明细二、违约行为及认定：1.迟延交付：如果PartyA未能在约定的DeliveryDate之前交付Goods，则构成违约。2.商品不符合约定：如果Goods与ExhibitA中规定的规格不符，或存在材料和工艺上的缺陷，则构成违约。3.未能支付：如果PartyB未能在约定的时间内支付Price，则构成违约。4.未能履行合同义务：如果任何一方未能履行本合同项下的任何其他义务，则构成违约。三、法律名词及解释：1.Incoterms：国际贸易术语，用于解释买卖双方在国际贸易中运输和交付货物的义务。2.ForceMajeure：不可抗力，指无法预见、无法避免且无法克服的客观情况，导致一方无法履行合同义务。3.Exhibit：附件，用于补充和说明合同中的条款。四、执行中遇到的问题及解决办法：1.交付问题：如果PartyA未能按时交付Goods，应立即通知PartyB，并尽快采取补救措施。如果无法及时补救，PartyB有权解除合同并寻求赔偿。2.质量问题：如果Goods存在缺陷，PartyB应在接收货物后30天内书面通知PartyA。Pa
