NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesagreeasfollows:
1.ScopeoftheContract:
ThisContractshallcoverthesupplyandsaleof[describethegoods],includingbutnotlimitedto[specifythedetailsofthegoods].
2.TermsofPayment:
2.1Thebuyer(PartyB)shallmakethepaymenttotheseller(PartyA)inaccordancewiththefollowingterms:

2.1.2ThepaymentshallbemadeinUSdollars(USD)only.
2.1.3Thepaymentshallbemadeby[specifythepaymentmethod,e.g.,wiretransfer,letterofcredit,etc.].
2.1.4Thebuyershallpaythesellera[specifythepercentage]deposituponthesigningofthisContract.
2.1.5ThebalanceofthepaymentshallbemadeuponthecompletionofthedeliveryofthegoodsasperthetermsandconditionssetforthinthisContract.
3.DeliveryofGoods:
3.1Theseller(PartyA)shalldeliverthegoodstothebuyer(PartyB)attheportof[specifytheportofdestination].
3.2Thesellershallensurethatthegoodsarepackedandlabeledinaccordancewiththerelevantregulationsandstandards.
3.3Thesellershallprovidethebuyerwithallnecessarydocumentsfortheimportationofthegoods,includingbutnotlimitedtothecommercialinvoice,packinglist,andbilloflading.
4.Insurance:
4.1Theseller(PartyA)shallarrangeandpayfortheinsuranceofthegoodsduringtransportation.
4.2Theinsurancecoverageshallbe[specifytheinsurancecoverage,e.g.,marinecargoinsurance,allrisksinsurance,etc.].
4.3Theinsurancepolicyshallbeissuedbyareputableinsurancecompanyandshallbeinfavorofthebuyer(PartyB).
5.LiabilityandIndemnification:
5.1Theseller(PartyA)shallbeliableforanylossordamagetothegoodscausedbytheseller'snegligenceorbreachofthisContract.
5.2Thebuyer(PartyB)shallindemnifytheseller(PartyA)againstanyclaimorliabilityarisingfromthebuyer'sbreachofthisContract.
6.DisputeResolution:
6.1AnydisputearisingfromorinconnectionwiththisContractshallbesettledthroughfriendlynegotiationbetweentheparties.
6.2Ifthepartiesfailtoreachanamicablesettlementwithin[specifythetimeperiod],thedisputeshallbesubmittedto[specifythegoverninglaw]forarbitration.
7.Miscellaneous:
7.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,whetherwrittenororal.
7.2AnyamendmentormodificationofthisContractshallbeinwritingandexecutedbybothparties.

3.3PartyCshallprovidePartyAwithadetaileddeliveryreport,includingbutnotlimitedtothedateofshipment,estimateddateofarrival,andanyissuesencounteredduringtransportation.
4.Third-PartyLogisticsProvider(PartyC)Obligations:
4.1PartyCshallactasthethird-partylogisticsproviderandensurethetransportationofthegoodsfromthesellertothebuyer.
4.2PartyCshallberesponsibleforanylossordamagetothegoodsduringtransportationandshallindemnifyPartyAforanysuchlossordamage.
4.3PartyCshallprovidePartyAwithallnecessarydocumentationandinformationrelatedtothetransportationofthegoods.
5.Insurance:
5.1PartyBshallarrangeandpayfortheinsuranceofthegoodsduringtransportation.
5.2Theinsurancecoverageshallbe[specifytheinsurancecoverage,e.g.,marinecargoinsurance,allrisksinsurance,etc.].
5.3TheinsurancepolicyshallbeissuedbyareputableinsurancecompanyandshallbeinfavorofPartyA.

7.RightsofPartyA:
7.1PartyAshallhavetherighttoinspectthegoodsbeforeandaftertransportationtoensuretheirqualityandquantity.
7.2PartyAshallhavetherighttorequestPartyCtoprovideadditionalinformationordocumentationrelatedtothetransportationofthegoods.
7.3PartyAshallhavetherighttoterminatethisContractintheeventofabreachbyPartyBorPartyC,andtoclaimdamagesaccordingly.
8.LimitationsandRestrictionsofPartyB:
8.1PartyBshallnotbeliableforanydelayorfailureinthedeliveryofthegoodsduetocircumstancesbeyonditsreasonablecontrol.
8.2PartyBshallnotbeliableforanylossordamagetothegoodsduringtransportationcausedbyPartyC'snegligenceorbreachofitsobligations.
9.DisputeResolution:
9.1AnydisputearisingfromorinconnectionwiththisContractshallbesettledthroughfriendlynegotiationbetweentheparties.
9.2Ifthepartiesfailtoreachanamicablesettlementwithin[specifythetimeperiod],thedisputeshallbesubmittedto[specifythegoverninglaw]forarbitration.
10.Miscellaneous:
10.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,whetherwrittenororal.

4.1PartyCshallactasthethird-partycustomsbrokerandfacilitatethecustomsclearanceoftheequipment.
4.2PartyCshallensurecompliancewithallapplicablecustomsregulationsandprocedures.
4.3PartyCshallberesponsibleforanyadditionalfeesordutiesincurredduringthecustomsclearanceprocessandshallinvoicePartyBaccordingly.
5.RightsofPartyB:
5.1PartyBshallhavetherighttoinspecttheequipmentuponarrivalandpriortocustomsclearancetoensureitsconditionandconformitywiththespecifications.
5.2PartyBshallhavetherighttorequestPartyCtoprovideregularupdatesonthecustomsclearanceprocessandanypotentialdelays.
5.3PartyBshallhavetherighttoterminatethisContractintheeventofabreachbyPartyAorPartyC,andtoclaimdamagesaccordingly.
6.LimitationsandRestrictionsofPartyA:
6.1PartyAshallnotbeliableforanydelayinthedeliveryoftheequipmentduetounforeseencircumstancesbeyonditscontrol.
6.2PartyAshallnotbeliableforanydamagetotheequipmentduringtransportationtothecustomsbrokerunlesssuchdamageisduetoitsownnegligence.
6.3PartyAshallnotberesponsibleforanyadditionalcostsincurredbyPartyBduetocustomsclearanceissuesunlessagreeduponinwriting.
7.LiabilityandIndemnification:
7.1PartyAshallbeliableforanylossordamagetotheequipmentcausedbyitsnegligenceorbreachofthisContract.
7.2PartyCshallindemnifyPartyBagainstanyclaimorliabilityarisingfromPartyC'sbreachofitsobligationsasthecustomsbroker.
8.DisputeResolution:
8.1AnydisputearisingfromorinconnectionwiththisContractshallbeset
