2.TransferFee

4.RightsandObligationsoftheParties

4.1ThePatenteeshallensurethatthePatentisvalidandenforceableatthetimeofthetransfer,andshallbearallrisksandliabilitiesarisingfromtheinvalidityorunenforceabilityofthePatent.

4.2TheTransfereeshallcomplywiththelawsandregulationsoftherelevantcountriesandregionswherethePatentistobeused,andshallnotusethePatentinanymannerthatinfringesupontherightsofanythirdparty.

5.2UpontheterminationofthisContract,thepartiesshallsettlealltheirrightsandobligationsunderthisContract.

6.GoverningLawandDisputeResolution
