5.1TheConsultantshallindemnify,defend,andholdharmlesstheClientfromandagainstanyandallclaims,liabilities,damages,losses,andexpenses(includingreasonableattorney'sfees)arisingoutoforresultingfromtheConsultant'sperformanceoftheServices,providedthattheClientpromptlynotifiestheConsultantofsuchclaim.

5.2TheClientshallindemnify,defend,andholdharmlesstheConsultantfromandagainstanyandallclaims,liabilities,damages,losses,andexpenses(includingreasonableattorney'sfees)arisingoutoforresultingfromtheClient'suseoftheServices,providedthattheConsultantpromptlynotifiestheClientofsuchclaim.

6.LimitationofLiability

6.1INNOEVENTSHALLEITHERPARTYBELIABLETOTHEOTHERPARTYFORANYINDIRECT,SPECIAL,INCIDENTAL,ORCONSEQUENTIALDAMAGES,INCLUDING,BUTNOTLIMITEDTO,LOSTPROFITS,LOSTSAVINGS,ORBUSINESSINTERRUPTION,ARISINGOUTOFORINCONNECTIONWITHTHISAGREEMENTORTHEPERFORMANCEORNON-PERFORMANCEOFTHEPARTIESTHEREUNDER,EVENIFADVISEDOFTHEPOSSIBILITYTHEREOF.

6.2THETOTALLIABILITYOFEITHERPARTYTOTHEOTHERPARTYFORALLCLAIMSARISINGOUTOFORINCONNECTIONWITHTHISAGREEMENTORTHEPERFORMANCEORNON-PERFORMANCEOFTHEPARTIESTHEREUNDERSHALLNOTEXCEEDTHETOTALFEESPAIDBYTHECLIENTTOTHECONSULTANTUNDERTHISAGREEMENT.

7.GoverningLaw
