7.Non-Competition

6.CompensationofThirdParty

9.Termination

c)Thedeathorincapacityofaparty;

d)ThefailureofThirdPartytomeetitsobligationsunderthisAgreement.

10.DefaultandRemedies

10.1IntheeventofabreachofthisAgreementbyanyparty,thenon-breachingpartyshallhavetherighttoseekremedies,including,butnotlimitedto,damages,injunctiverelief,andterminationoftheAgreement.

10.2IntheeventofabreachbyPartyB,PartyAshallhavetherighttoterminatetheAgreementimmediatelywithoutpriornotice.

11.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

12.EntireAgreement
