Article5:ForceMajeure
5.1IfeitherpartyispreventedfromperformingitsobligationsunderthisContractduetocircumstancesbeyonditsreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,strikes,andgovernmentregulations,thepartyshallpromptlynotifytheotherpartyinwritingandshallbeexcusedfromitsobligationsforthedurationofthedelay.
Article6:GoverningLawandDisputeResolution
6.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
6.2AnydisputearisingoutoforinconnectionwiththisContractshallbesettledthroughfriendlynegotiationsbetweentheparties.Ifthepartiesfailtoreachanamicableresolution,thedisputeshallbesubmittedto[ArbitrationInstitution]forarbitrationinaccordancewithitsrules.
Article7:Miscellaneous

7.2AnyamendmentormodificationofthisContractshallbeinwritingandexecutedbybothparties.

Article3:ResponsibilitiesofPartyB

3.2PartyBshallberesponsibleforanydefectsornon-conformitiesinthegoods,andshallreplaceorrepairsuchgoodsatnoadditionalcosttoPartyA.
Article4:ResponsibilitiesofPartyC
4.1PartyCshallensurethetimelyandsecuretransportationofthegoodsfromthepointoforigintothepointofdestination.
4.2PartyCshallmaintainappropriateinsurancecoverageforthegoodsduringtransportation.
4.3PartyCshallprovidePartyAwithaDeliveryReceiptuponcompletionofthedelivery.
Article5:PaymentandPaymentTerms
5.1PartyAshallmakepaymenttoPartyBforthegoodsupondeliveryandacceptance.
5.2PartyBshallissueaninvoicetoPartyAwithin[NumberofDays]afterthegoodsaredelivered.
5.3PartyCshallbeentitledtoreceivepaymentfromPartyAforthelogisticsservicesprovided.
Article6:RightsofPartyA

7.2PartyBshallnotmodifythespecificationsorqualityofthegoodswithoutthepriorwrittenconsentofPartyA.
7.3PartyBshallnotdiscloseanyconfidentialinformationofPartyAtoanythirdparties.
Article8:TerminationandDefault
8.1PartyAmayterminatethisContractuponthirty(30)days'writtennoticetoPartyBintheeventofamaterialbreachoftheContractbyPartyB.
8.2IntheeventofPartyB'sdefaultorfailuretoperformitsobligations,PartyAshallhavetherighttoterminatethisContractandseekdamages.

Article7:LimitationsandRestrictionsonPartyA
7.1PartyAshallnotengageinanyactivitiesthatcouldnegativelyimpactthereputationormarketpositionofPartyB.
7.2PartyAshallnotdiscloseanyconfidentialinformationofPartyBtoanythirdpartieswithoutthepriorwrittenconsentofPartyB.
7.3PartyAshallnotenterintoanyagreementsthatconflictwiththeexclusivedistributionrightsgrantedtoPartyAunderthisContract.
