ThisContract(hereinafterreferredtoas"theContract")isherebyenteredintobyandbetweenthefollowingparties:

1.TheConsultingCompany(hereinafterreferredtoas"theConsultant"),withitsregisteredaddressat[Consultant'sregisteredaddress],representedby[Consultant'sauthorizedrepresentative],hereinafterreferredtoas"theConsultant";

WHEREAS,theConsultantisaprofessionalconsultingfirmwithexpertisein[Consultant'sfieldofexpertise],andtheClientrequirestheConsultant'sservicestoprovide[Client'spurposeofhiringtheConsultant];

WHEREAS,theClientandtheConsultanthavereachedaconsensusonthetermsandconditionsoftheengagement,andbothpartiesagreetoenterintothisContract;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:

1.ScopeofWork

TheConsultantagreestoprovidetheClientwithconsultingservicesinaccordancewiththescopeofworksetforthintheattachedScheduleA(hereinafterreferredtoas"theScopeofWork").

2.Term

ThisContractshallbeeffectiveuponthedateofexecutionbybothpartiesandshallremaininforceforaperiodof[durationoftheContract],unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

3.FeesandPayment

TheClientagreestopaytheConsultantatotalfeeof[totalfee]fortheprovisionofconsultingservices,whichshallbepaidinaccordancewiththepaymentschedulesetforthintheattachedScheduleB(hereinafterreferredtoas"thePaymentSchedule").

4.Confidentiality

BothpartiesagreetokeepconfidentialallinformationdisclosedbytheotherpartyduringthecourseofthisContract,includingbutnotlimitedtobusinesssecrets,technicalinformation,andotherconfidentialinformation.

5.IntellectualPropertyRights

AllintellectualpropertyrightsarisingfromtheworkperformedbytheConsultantunderthisContractshallbeownedbytheClient.TheConsultantherebyassignsallsuchrightstotheClient.

6.Termination

ThisContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchnoticeisgivenatleast[noticeperiod]dayspriortotheterminationdate.

7.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[applicablejurisdiction].AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughamicablenegotiations.Ifthepartiesfailtoreachanagreement,thedisputeshallbesubmittedtothe[applicablecourtorarbitrationinstitution]forresolution.

8.EntireAgreement

ThisContractconstitutestheentireagreementbetweentheClientandtheConsultantwithrespecttothesubjectmatterhereof,andsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal.

1.ScopeofWork

TheConsultantagreestoprovidethePrincipalwithconsultingservicesinaccordancewiththescopeofworksetforthintheattachedScheduleA(hereinafterreferredtoas"theScopeofWork").TheThirdPartyshallassistintheimplementationoftheScopeofWork.

2.Principal'sRightsandObligations

2.1ThePrincipalhastherightto:

-ReceiveconsultingservicesfromtheConsultantinaccordancewiththeScopeofWork;

-Accessallinformation,reports,anddocumentationgeneratedbytheConsultantduringthecourseofthisContract;

-ReviewandapproveanysignificantdecisionsmadebytheConsultantduringtheperformanceoftheScopeofWork;

-RequiretheConsultanttocorrectanydeficienciesintheservicesprovided;

2.2ThePrincipal'sobligationsinclude:

-PaytheConsultantandtheThirdPartytheagreedfeesfortheirservices;

-ProvidetheConsultantandtheThirdPartywithallnecessaryinformation,access,andsupportrequiredtoperformtheScopeofWork;

-Complywithallapplicablelawsandregulationsduringthecourseoftheproject;

3.Consultant'sRightsandObligations

3.1TheConsultant'srightsinclude:

-Receivingpaymentfortheservicesrendered;

-AccesstothePrincipal'sfacilitiesandresourcesnecessarytoperformtheScopeofWork;

-RequestingassistancefromthePrincipalinobtaininganyrequiredapprovalsorpermissions;

3.2TheConsultant'sobligationsinclude:

-ProvidingthePrincipalwithhigh-qualityconsultingservicesinaccordancewiththeScopeofWork;

-MaintainingconfidentialityofthePrincipal'sinformation;

-Deliveringallreports,documents,anddeliverablesontimeandinaccordancewiththeagreedspecifications;

4.ThirdParty'sRightsandObligations

4.1TheThirdParty'srightsinclude:

-ReceivingpaymentforitsservicesprovidedtothePrincipalunderthisContract;

-AccesstothePrincipal'sfacilitiesandresourcesnecessarytoassistintheimplementationoftheScopeofWork;

4.2TheThirdParty'sobligationsinclude:

-PerformingitsdutiesasspecifiedintheScopeofWork;

-CoordinatingwiththeConsultanttoensurethesuccessfulimplementationoftheScopeofWork;

-MaintainingconfidentialityofthePrincipal'sinformation;

5.FeesandPayment

6.违约及限制条款

6.2IftheThirdPartyfailstoperformitsdutiesasspecifiedintheScopeofWork,thePrincipalmayseekassistancefromtheConsultanttorectifythesituation.Iftheissueisnotresolved,thePrincipalshallbeentitledtoterminatethisContractandseekdamagesfromtheThirdParty.

6.3ThePrincipalshallnotbeliableforanylossordamagecausedbytheactsoromissionsoftheConsultantortheThirdParty,exceptwheresuchlossordamageisdirectlycausedbythePrincipal'sbreachofthisContract.

7.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[applicablejurisdiction].AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughamicablenegotiations.Ifthepartiesfailtoreachanagreement,thedisputeshallbesubmittedtothe[applicablecourtorarbitrationinstitution]forresolution.

8.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthePrincipal,theConsultant,andtheThirdPartywithrespecttothesubjectmatterhereof,andsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal.
