2.Term

5.Confidentiality

ThePrincipalandtheAgentagreetokeepconfidentialallinformationdisclosedtothembytheotherpartyinconnectionwiththisAgreement,includingbutnotlimitedtotechnical,commercial,andfinancialinformation.Thepartiesagreethatsuchinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.

6.Indemnification

ThePrincipalagreestoindemnifyandholdtheAgentharmlessfromandagainstanyandallclaims,liabilities,losses,damages,andexpensesarisingoutoforinconnectionwiththeAgent'sperformanceofitsobligationsunderthisAgreement.

7.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe_______(country).AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiations.Ifthepartiesfailtoreachanamicableresolution,thedisputesshallbesubmittedtotheexclusivejurisdictionofthe_______(country)courts.

b.ThePrincipalshallhavetherighttoapproveallmarketingstrategiesandpromotionalactivitiescarriedoutbytheAgent.
