2025【英文合同】设备租赁合同模板（中英文）CONTRACTFORTHELEASEOFEQUIPMENT设备租赁合同ThisEquipmentLeaseAgreement("Agreement")ismadeandenteredintoasof(hereinafterreferredtoasthe"EffectiveDate")byandbetween:本设备租赁协议（“协议”）由下列双方于年月日（以下简称“生效日期”）签订：(1)TheLessor:名称：地址：联系人：联系方式：邮箱：（以下简称“出租方”）(2)TheLessee:名称：地址：联系人：联系方式：邮箱：（以下简称“承租方”）Recitals:鉴于：1.WhereaboutsoftheLessorandLessee:(1)出租方和承租方的身份：TheLessorisa合法registeredentityengagedinthebusinessofequipmentleasingandrelatedservices.出租方是一家合法注册的从事设备租赁及相关业务的企业。TheLesseeisa合法registeredentityrequiringcertainequipmentforitsbusinessoperations,whichtheLessorownsandiswillingtoleasetotheLesseeunderthetermsandconditionsstipulatedinthisAgreement.承租方是一家合法注册的实体，需要某些设备用于其业务运营，出租方拥有这些设备，并愿意在本协议规定的条款和条件下将其出租给承租方。2.MutualAgreements:(2)双方协议：BothpartieshaveagreedtoenterintothisAgreementfortheleaseofcertainequipmentforaspecifiedperiod,subjecttothetermsandconditionshereinafterstated.双方已同意根据本协议下列明的条款和条件，就设备的租赁达成协议，租赁期限为特定期间。Now,therefore,thepartiesagreeasfollows:鉴于此，双方同意如下：1.LeaseofEquipment1.设备租赁1.1DescriptionofEquipment1.1设备描述TheLessoragreestoleasetotheLessee,andtheLesseeagreestoleasefromtheLessor,theequipmentdescribedinExhibitAattachedhereto(hereinafterreferredtoasthe"Equipment"),whichissubjecttoalltermsandconditionssetforthinthisAgreement.出租方同意将附件A中所描述的设备（以下简称“设备”）出租给承租方，承租方同意依据本协议所规定的全部条款和条件从出租方租赁该设备。1.2QuantityandSpecifications1.2数量和规格ThequantityandspecificationsoftheEquipmentareasdetailedinExhibitA.AnyadditionalEquipmentrequestedbytheLesseeshallbesubjecttotheapprovaloftheLessor.设备的数量和规格详见附件A。承租方要求增加的任何设备均需经出租方批准。1.3PurposeofLease1.3租赁用途TheLesseeshallusetheEquipmentsolelyforthepurposeof(hereinafterreferredtoasthe"PermittedUse").承租方应仅将设备用于（以下简称“许可用途”）。2.TermofLease2.租赁期限2.1LeasePeriod2.1租赁期间Thetermofthisleaseshallcommenceon(hereinafterreferredtoasthe"CommencementDate")andshallcontinueforaperiodof(hereinafterreferredtoasthe"LeaseTerm").本租赁的期限应从开始（以下简称“起始日”）并持续（以下简称“租赁期限”）。2.2ExtensionofLease2.2租赁延长TheLesseemayextendtheLeaseTermbyprovidingwrittennoticetotheLessoratleastdayspriortotheexpirationofthecurrentLeaseTerm.Anyextensionshallbesubjecttomutualagreementandthepaymentofadditionalrentasperthetermsagreeduponbybothparties.承租方可在当前租赁期限到期前至少天以书面形式通知出租方延长租赁期限。任何延长均需双方协商一致，并按照双方协议支付额外租金。3.RentandPaymentTerms3.租金和支付条款3.1MonthlyRent3.1月租金TheLesseeshallpaytheLessoramonthlyrentof(hereinafterreferredtoasthe"Rent")incurrencyasspecifiedinExhibitB.承租方应按月向出租方支付租金（以下简称“租金”），货币种类如附件B所示。3.2PaymentSchedule3.2支付时间表TheRentshallbepaidinadvanceonthedayofeachmonthduringtheLeaseTerm.ThefirstpaymentshallbemadeontheCommencementDate.租金应于租赁期限内的每月日支付。首次支付应在起始日进行。3.3SecurityDeposit3.3保证金TheLesseeshallpayasecuritydepositof(hereinafterreferredtoasthe"SecurityDeposit")totheLessorupontheexecutionofthisAgreement.TheSecurityDepositshallberefundedwithindaysoftheexpirationoftheLeaseTerm,subjecttotheconditionssetforthinthisAgreement.承租方应在本协议签订时向出租方支付保证金（以下简称“保证金”）。保证金应在租赁期限届满后日内退还，但须符合本协议规定之条件。4.DeliveryandAcceptanceofEquipment4.设备交付与验收4.1Delivery4.1交付TheLessorshalldelivertheEquipmenttotheLesseeatthelocationspecifiedinExhibitConorbefore.TheLesseeshallinspecttheEquipmentupondeliveryandnotifytheLessorofanydefectsordiscrepancieswithindaysofreceipt.出租方应不迟于将设备交付至附件C中指定的地点。承租方应在收到设备后对其立即进行检查，并在收到后天内通知出租方任何瑕疵或差异。4.2Acceptance4.2验收TheLessee'sfailuretonotifytheLessorofanydefectswithintheaforementionedperiodshallbedeemedasacceptanceoftheEquipmentingoodcondition.如承租方未在上述期间内通知出租方任何瑕疵，则视为承租方已接受设备处于良好状态。5.UseandMaintenanceofEquipment5.设备的使用与维护5.1UseofEquipment5.1设备使用TheLesseeshallusetheEquipmentsolelyforthePermittedUseandinaccordancewiththemanufacturer'sinstructionsandapplicablelawsandregulations.承租方应仅将设备用于许可用途，并按照制造商的说明和适用的法律法规使用。5.2MaintenanceObligations5.2维护义务TheLesseeshallberesponsibleforthemaintenance,repair,andreplacementoftheEquipmentduringtheLeaseTerm.TheLesseeshallbearallcostsassociatedwithsuchmaintenanceandrepair.承租方应负责租赁期限内设备的维护、修理和更换。承租方应承担与此类维护和修理相关的所有费用。5.3Insurance5.3保险TheLesseeshallobtainandmaintainatitsownexpenseinsurancecoveragefortheEquipment,includingbutnotlimitedtopropertyinsuranceandliabilityinsurance,asspecifiedinExhibitD.TheLesseeshallprovidetheLessorwithevidenceofsuchinsuranceuponrequest.承租方应自费为设备获取并保持保险，包括但不限于财产保险和责任保险，具体如附件D所述。应出租方要求，承租方应提供此类保险的证明。6.TransferofEquipment6.设备转让6.1RestrictionsonTransfer6.1转让限制WithoutthepriorwrittenconsentoftheLessor,theLesseeshallnottransfer,assign,orotherwisedisposeoftheEquipmentoranyinteresttherein.未经出租方事先书面同意，承租方不得转让、转让或以其他方式处置设备或设备的任何权益。6.2NoticeofLiens6.2抵押权通知书TheLesseeshallpromptlynotifytheLessorifanylienorclaimismadeagainsttheEquipmentbyanythirdparty.如有第三方对设备提出任何抵押权或主张，承租方应及时通知出租方。7.DefaultandRemedies7.违约与补救措施7.1EventsofDefault7.1违约事件AneventofdefaultshalloccuriftheLesseefailsto:若承租方未能：(a)PayanyinstallmentoftheRentorSecurityDepositwhendue;(a)在应付时支付任何一期租金或保证金；(b)PerformorcomplywithanyothermaterialobligationunderthisAgreement;or(b)履行或遵守本协议下的任何其他主要义务；或(c)FollowingreceiptofwrittennoticefromtheLessor,curesuchdefaultwithindays.(c)在收到出租方的书面通知后，在日内纠正此类违约。7.2Remedies7.2补救措施Intheeventofadefault,theLessormay,atitsoption,terminatethisAgreement,repossesstheEquipment,andseekanyotherlegalorequitableremediesavailabletoit.在发生违约的情况下，出租方可选择终止本协议，收回设备，并寻求对其其他任何法律或公平救济。8.Termination8.终止8.1TerminationNotice8.1终止通知EitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyiftheotherpartyisinmaterialbreachofthisAgreementandfailstocuresuchbreachwithindaysafterreceiptofnotice.如一方严重违反本协议，且在收到通知后日内未能纠正违约，则另一方可向其发出书面通知终止本协议。8.2ReturnofEquipment8.2设备返还UponterminationofthisAgreement,theLesseeshallimmediatelyreturntheEquipmenttotheLessoringoodcondition,ordinarywearandtearexcepted.本协议终止后，承租方应立即将设备返还出租方，处于良好状态，自然损耗除外。9.Indemnification9.赔偿9.1IndemnificationbyLessee9.1承租方的赔偿TheLesseeagreestoindemnify,defend,andholdharmlesstheLessor,itsaffiliates,directors,officers,andemployeesfromandagainstanyandallclaims,damages,losses,liabilities,costs,andexpenses(includinglegalfeesandexpenses)arisingoutoforrelatedtotheuse,operation,ormaintenanceoftheEquipmentbytheLessee.承租方同意赔偿、抗辩，并使出租方及其关联公司、董事、高级职员和员工免受因承租方使用、操作或维护设备而引起的任何及所有的索赔、损害、损失、责任、费用和其他支出（包括法律费用和支出）的损害。10.ForceMajeure10.不可抗力10.1ForceMajeureEvents10.1不可抗力事件NeitherpartyshallbeliableforanyfailureordelayinperformanceunderthisAgreementduetoeventsbeyonditsreasonablecontrol,includingbutnotlimitedto,actsofGod,naturaldisasters,wars,riots,governmentactions,orepidemics(hereinafterreferredtoas"ForceMajeureEvents").双方均无须对因无法合理控制的事件（包括但不限于神灵的行为、自然灾害、战争、暴乱、政府行为或流行病（以下简称“不可抗力事件”）而导致的本协议下的任何履行失败或延迟负责。10.2NoticeandMitigation10.2通知与减轻TheaffectedpartyshallpromptlynotifytheotherpartyoftheoccurrenceofaForceMajeureEventanduseallreasonableeffortstomitigateitseffects.受影响的一方应立即通知另一方不可抗力事件的发生，并尽最大努力减轻其影响。11.GoverningLawandDisputeResolution11.适用法律与争议解决11.1GoverningLaw11.1适用法律ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina,excludingitsconflictoflawsprinciples.本协议应受中国法律（不包括其冲突规范原则）的管辖和解释。11.2DisputeResolution11.2争议解决AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlynegotiations.Ifthepartiesfailtoresolvesuchdisputeswithindays,eitherpartymaysubmitthedisputetoarbitrationinaccordancewiththerulesoftheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)in.Thearbitrationawardshallbefinalandbindingonbothparties.因本协议引起或与之相关的任何争议均应通过友好协商解决。如果双方在天内未能解决此类争议，任何一方均可将争议提交至中国国际经济贸易仲裁委员会（CIETAC）在根据其规则进行仲裁。仲裁裁决应为最终裁决，并对双方具有约束力。12.Miscellaneous12.其他条款12.1EntireAgreement12.1完整协议ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriororcontemporaneousunderstandings,agreements,orrepresentations,whetheroralorwritten,regardingsuchsubjectmatter.本协议构成本协议各方关于本协议所述事项的全部协议，并取代所有之前或存在的关于此类事项的理解、协议或陈述，无论其为口头或书面形式。12.2Amendments12.2修订AnyamendmentstothisAgreementmustbemadeinwritingandsignedbybothparties.对本协议的任何修订必须以书面形式作出，并经双方签署。12.3Notices12.3通知Allnotices,requests,demands,orothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenifde
