2.CommissionRate

(b)PartyBshallkeepconfidentialthebusinesssecretsofPartyAandnotdisclosethemtoanythirdpartywithoutthepriorwrittenconsentofPartyA;

(c)PartyBshallprovideaccurateandcompleteinformationaboutthetransactionstoPartyA.

6.TermandTermination

8.违约及限制条款

(a)IntheeventofabreachofthisContractbyPartyBorPartyC,PartyAshallhavetherighttoclaimdamagesfromthebreachingparty;

(b)PartyBandPartyCshallbeliableforanylossesincurredbyPartyAduetotheirnegligenceorfailuretoperformtheirobligationsunderthisContract;

(c)PartyBandPartyCshallnotengageinanyactivitiesthatmayconflictwiththeinterestsofPartyAwithoutthepriorwrittenconsentofPartyA;

9.TermandTermination

(b)Performduediligenceonpotentialbusinesspartnerstoverifytheircredentialsandsuitabilityforpartnership;

(c)AssistPartyBinnegotiatingtermswithpotentialbusinesspartners;

(d)Coordinatetheexecutionofagreementsandensurecompliancewithallrelevantlegalandregulatoryrequirements.

3.CompensationandRightsofPartyB

(b)PartyAshallhavetherighttorequestPartyCtoprovideupdatesonthestatusofsupportservicesprovidedtoPartyB;

6.LimitationsandRemedies

(a)IntheeventofabreachofthisAgreementbyPartyB,PartyAshallhavetherighttowithholdpaymentofcommissionuntilthebreachisremediedtothesatisfactionofPartyA;

(b)IntheeventofabreachofthisAgreementbyPartyC,PartyAshallhavetherighttoterminatePartyC'sinvolvementinthetransaction,andPartyCshallbeliableforanylossesincurredbyPartyAasaresultofsuchbreach;

7.TermandTermination
