4.IntellectualProperty:Allintellectualpropertyrights,includingbutnotlimitedtopatents,copyrights,trademarks,andtradesecrets,arisingfromorinconnectionwiththeperformanceofthisAgreementshallbeownedbyContractingPartyA,exceptasotherwiseagreeduponinwritingbytheparties.

5.Confidentiality:ThepartiesagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedtothembytheotherpartyduringthetermofthisAgreementandforaperiodof[NumberofYears]yearsthereafter.Confidentialinformationdoesnotincludeinformationthatispubliclyavailableordisclosedbyathirdpartywithoutabreachofconfidentiality.

6.Termination:ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchterminationisnotinviolationofanyapplicablelawsorregulations.

7.GoverningLawandJurisdiction:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/State].AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[Country/State].
