7.ForceMajeure

NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedto,actsofGod,war,strikes,fire,flood,orgovernmentaction.

8.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLaw].AnydisputearisingoutoforinconnectionwiththisContractshallbesettledthroughamicablenegotiation.Ifthepartiesfailtoreachanamicablesolutionwithin[NegotiationPeriod],thedisputeshallbesubmittedto[DisputeResolutionBody]forarbitration.

9.EntireAgreement
