tuationwithinareasonabletimeuponreceiptofnoticefromPartyB.IfPartyAfailstoremedythebreachwithinthespecifiedtimelimit,PartyBhastherighttoreducethepaymentamountorwithholdpaymentuntilPartyAhasfulfilleditsobligations.PartyAshallalsopensatePartyBforanylossescausedbyitsbreach,includingbutnotlimitedtodirectlosses,indirectlosses,andlossesofbusinessopportunities.V.DisputeResolution1.NegotiationIntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.Thepartiesshallmunicatewitheachotheringoodfaithandmakeeffortstoreachamutuallyacceptablesolutionwithin[X]daysaftertheoccurrenceofthedispute.2.ArbitrationorLitigationIfthepartiesareunabletoresolvethedisputethroughnegotiationwithinthespecifiedtimelimit,eitherpartymaychoosetosubmitthedisputeto[arbitrationinstitutionname]forarbitrationinaccordancewiththearbitrationrulesof[arbitrationinstitution].Thearbitrationawardshallbefinalandbindingonbothparties.Alternatively,eitherpartymayfilealawsuitwiththe[nameofthepetentcourt]havingjurisdictionoverthematterinaccordancewiththerelevantlawsof[jurisdiction].VI.MiscellaneousProvisions1.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.2.AmendmentsandSupplementsNoamendment,supplement,ormodificationtothisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.3.SeverabilityIfanyprovi
