2025商务合同英语的文体特征解析2025BusinessContractEnglishStylisticFeaturesAnalysisPart1:GeneralProvisions1.1ContractNumberandDateThiscontract(hereinafterreferredtoasthe"Contract")isnumberedasandsignedoninthecityof.1.2PartiestotheContractThisContractisenteredintobyandbetween:PartyA:,whosebusinessaddressis,andwhoseprincipalplaceofbusinessis.TheEnglishnameofPartyAis("PartyA").PartyB:,whosebusinessaddressis,andwhoseprincipalplaceofbusinessis.TheEnglishnameofPartyBis("PartyB").1.3RecitalsWHEREAS,PartyAandPartyBdesiretoestablishacollaborativebusinessrelationship,thetermsandconditionsofwhicharesetforthinthisContract;NOW,THEREFORE,PartyAandPartyBagreeasfollows:Part2:DefinitionsandInterpretations2.1DefinitionsForthepurposesofthisContract,thefollowingtermsshallhavethemeaningsassignedtothem:"BusinessOperations"referstotheactivitiesconductedbyPartyAandPartyBundertheprovisionsofthisContract."IntellectualPropertyRights"shallinclude,butnotlimitedto,trademarks,copyrights,patents,tradesecrets,andanyotherintellectualpropertyrightsunderapplicablelaws."ForceMajeure"shallmeananyeventorcircumstancebeyondthereasonablecontrolofeitherParty,includingnaturaldisasters,war,governmentactions,oranyotherunforeseenevents.2.2InterpretationTheheadingsofthesectionsandclausesareforreferencepurposesonlyandshallnotaffecttheinterpretationofthisContract.Allreferencesto"Party"inthisContractrefertoeitherPartyAorPartyB,asthecontextmayrequire.Part3:ScopeofCooperation3.1MainObjectivesPartyAagreestoprovidetoPartyB.PartyBagreestoprovidetoPartyA.3.2MutualObligationsBothPartyAandPartyBshallcomplywiththetermsandconditionsstipulatedinthisContract,including,butnotlimitedto,thedeliveryofgoods,paymentoffees,andtheprotectionofintellectualpropertyrights.Part4:RightsandResponsibilities4.1RightsofPartyAPartyAshallhavetherighttoreceivepaymentinaccordancewiththeagreedtermsandconditions.PartyAshallhavetherighttouseanyintellectualpropertyrightsrelatedtotheproductsorservicesprovidedunderthisContract,subjecttotheprovisionsofthisContract.4.2ResponsibilitiesofPartyAPartyAshallensurethatallproductsorservicesprovidedunderthisContractmeettheagreedstandardsandspecifications.PartyAshallcomplywithallapplicablelawsandregulationsintheexecutionofthisContract.4.3RightsofPartyBPartyBshallhavetherighttousetheproductsorservicesprovidedbyPartyAinaccordancewiththetermsandconditionsofthisContract.PartyBshallhavetherighttorequestanynecessarymodificationsorimprovementstotheproductsorservices,subjecttothemutualagreementoftheParties.4.4ResponsibilitiesofPartyBPartyBshallensuretimelypaymenttoPartyAinaccordancewiththeagreedterms.PartyBshallusetheproductsorservicesprovidedbyPartyAincompliancewiththeapplicablelawsandregulations.Part5:PaymentTerms5.1PaymentSchedulePartyBshallmakepaymentstoPartyAasfollows:AdepositofshallbepaidwithindaysofthesigningofthisContract.Theremainingbalanceshallbepaidininstallments,withthefirstinstallmentdueonandsubsequentinstallmentsdueontheofeachmonth.5.2LatePaymentPenaltiesIfPartyBfailstomakepaymentsinaccordancewiththeagreedschedule,PartyAshallbeentitledtochargealatepaymentpenaltyofperday,calculatedontheunpaidamount.Part6:IntellectualPropertyRights6.1OwnershipofIntellectualPropertyRightsAllintellectualpropertyrightscreatedordevelopedinthecourseoffulfillingthisContractshallbeownedbyPartyA,unlessotherwiseagreedinwritingbytheParties.PartyBshallnotuseanyintellectualpropertyrightsownedbyPartyAwithoutpriorwrittenconsent.6.2ConfidentialityBothPartyAandPartyBagreetomaintaintheconfidentialityofanyinformationexchangedunderthisContract,unlessotherwiserequiredtodisclosesuchinformationbyapplicablelawsorregulations.Part7:Confidentiality7.1ObligationtoMaintainConfidentialityBothPartyAandPartyBagreetotakeallnecessarymeasurestoensurethatanyconfidentialinformationexchangedunderthisContractremainsconfidential.7.2ExclusionfromConfidentialityConfidentialobligationsunderthisContractshallnotapplytoinformationthat:IsorbecomespubliclyavailablethroughnofaultofthereceivingParty;Isrightfullyreceivedfromathirdpartywithoutbreachofanyobligationofconfidentiality.Part8:ContractDuration8.1TermoftheContractThisContractshallbeeffectiveforaperiodofyears,commencingonandendingon.8.2RenewalClauseUpontheexpirationofthisContract,bothPartyAandPartyBmayagreetorenewthisContractundermutuallyagreedtermsandconditions.Part9:TerminationoftheContract9.1GroundsforTerminationThisContractmaybeterminatedbyeitherPartyintheeventof:BreachofcontractbytheotherParty.InsolvencyoftheotherParty.ForcemajeuremakingtheperformanceofthisContractimpossible.9.2NoticeofTerminationEitherPartyintendingtoterminatethisContractshallgivetheotherPartywrittennoticeatleastdayspriortotheterminationdate.9.3EffectsofTerminationUponterminationofthisContract,allrightsandobligationsofthePartiesshallcease,exceptforthoseprovisionsthatarespecificallystatedtosurvivetermination,including,butnotlimitedto,theprovisionsrelatedtoconfidentialityandintellectualpropertyrights.Part10:LiabilityforBreachofContract10.1LiabilityClauseAnybreachofthisContractbyeitherPartyshallresultinthePartybeingliableforthelossessufferedbytheotherParty,including,butnotlimitedto,directandindirectlosses,damages,andlegalexpensesincurredinconnectionwiththebreach.10.2RemediesTherightsandremediesprovidedinthisContractarecumulativeandinadditiontoanyotherrightsorremediesprovidedbylaworequity.Part11:ForceMajeure11.1DefinitionofForceMajeureForcemajeureshallinclude,butnotbelimitedto,naturaldisasters,wars,governmentactions,andanyothereventsbeyondthereasonablecontrolofeitherParty.11.2EffectsofForceMajeureIntheeventofaforcemajeure,eitherPartymaysuspendtheperformanceofitsobligationsunderthisContract,providedthatitpromptlynotifiestheotherPartyandtakesreasonablemeasurestominimizetheimpactoftheforcemajeure.Part12:DisputeResolution12.1NegotiationAnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthroughfriendlynegotiationsbetweentheParties.12.2ArbitrationIfthedisputescannotberesolvedthroughnegotiationwithindays,eitherPartymayreferthedisputetoarbitrationinaccordancewiththerulesofArbitrationInstitution.12.3LegalJurisdictionThevalidity,interpretation,andenforcementofthisContractshallbegovernedbythelawsofthejurisdiction.Part13:SupplementaryProvisions13.1AmendmentsAnyamendmentstothisContractshallbemadeinwritingandsignedbybothPartyAandPartyB.13.2EntireAgreementThisContractconstitutestheentireagree
