orextendedabsences.8.3MaternityandPaternityLeaveTheEmployeeshallbeendto[NumberofMaternity/PaternityLeaveDays]daysofmaternity/paternityleaveinaccordancewithapplicablelawsandregulations.TheEmployeeshallprovide[NoticePeriod]days'noticeofintentiontotakematernity/paternityleave.9.0DisciplinaryProcedures9.1ConductStandardsTheEmployeeisexpectedtoconductthemselvesinaprofessionalandrespectfulmanneratalltimes.9.2DisciplinaryActionsIftheEmployee'sconductfallsbelowtheexpectedstandards,Employermaytakedisciplinaryaction,whichmayincludeaverbalwarning,writtenwarning,suspension,orterminationofemployment.9.3AppealProcessTheEmployeemayappealanydisciplinaryactiontakenEmployersubmittingawrittenappealtotheHumanResourcesDepartmentwithin[NumberofDays]daysoftheactionbeingtaken.10.0ChangestotheAgreement10.1ModificationsAnymodificationtothisAgreementshallbeeffectiveonlyifitisinwritingandsignedbothparties.10.2ConsentRequirementsNoamendmentormodificationofthisAgreementshallbevalidunlessitisagreedtobothEmployerandEmployee.11.0GoverningLawandJurisdiction11.1ApplicableLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].11.2JurisdictionAnydisputearisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].12.0GeneralProvisions12.1EntireAgreementThisAgreementconstitutestheentireagreementbetweenEmployerandEmployeewithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.12.2HeadingsTheheadingsinthisAgreementareforconvenienceonlyandshallnotaffecttheinterpretationorconstructionofthisAgreement.12.3AmendmentsNoamendmentormodificationofthisAgreementshallbevalidunlessitisinwritingandsignedbothparties.13.0Signatures13.1Parties'SignaturesThisAgreementshallbeexecutedbothEmployerandEmployee,witheachpartysigningtwocopies,eachofwhichshallbedeemedanoriginal.13.2WitnessSignatureThisAgreementshallbewitnessed[NumberofWitnesses],eachofwhomshallsignonecopyasawitness.14.0Attachments14.1AppendicesThefollowingdocumentsareattachedtoandformanintegralpartofthisAgreement:[ListofAttachments]14.2SupportingDocumentsAnyotherdocumentsreferredtointhisAgreementandsubmittedheretoassupportingdocumentsshallbedeemedpartofthisAgreement.第二部分:第三方介入后的修正15.0ThirdPartyInvolvement15.1DefinitionofThirdPartyForthepurposesofthisAgreement,a"ThirdParty"referstoanyindividual,entity,ororganizationotherthanEmployerandEmployee,includingbutnotlimitedtointermediaries,consultants,contractors,andserviceproviders,whoareengagedeitherpartytoperformservicesorprovidegoodsinconnectionwiththeemploymentrelationship.15.2AuthorizationforThirdPartyInvolvementEmployerandEmployeemay,attheirdiscretion,involveThirdPartiesintheperformanceoftheirobligationsunderthisAgreement.Suchinvolvementshallbesubjecttothefollowingconditions:15.2.1WrittenAgreementAnyengagementofaThirdPartyshallbedocumentedinaseparatewrittenagreementbetweentherelevantpartyandtheThirdParty,whichshallincludetermsandconditionsthatarenotlessfavorabletotheEmployeethanthoseprovidedforunderthisAgreement.15.2.2ConsentTheotherpartyshallbenotifiedoftheengagementofaThirdPartyandshallprovideitsconsenttotheengagement,unlesssuchconsentisnotrequiredapplicablelawsorregulations.15.3ResponsibilitiesofThirdParties15.4IndemnificationEmployerandEmployeeagreetoindemnifyeachotheragainstanylosses,claims,ordamagesarisingfromtheactsoromissionsofaThirdParty,totheextentthatsuchlosses,claims,ordamagesarenotcoveredinsuranceorotherwise.15.5LimitationofLiability15.5.1GeneralLimitationTheliabilityofaThirdPartyforanybreachoftheirobligationsunderthisAgreementshallbelimitedtotheamountoffeespaidEmployerorEmployeetotheThirdPartyfortheservicesprovided.15.5.2SpecificLimitationInnoeventshallaThirdPartybeliableforanyindirect,special,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement,regardlessofwhethersuchdamageswereforeseeableornot.16.0AdditionalTermsforThirdPartyInvolvement16.1Communication16.2ConfidentialityAnyThirdPartyinvolvedintheemploymentrelationshipshallberequiredtoagreetoaconfidentialityagreementthatisatleastasprotectiveastheconfidentialityobligationssetforthinthisAgreement.16.3PerformanceEmployerandEmployeeshallhavetherighttoinspecttheworkperformedaThirdPartyandmayrequestcorrectionsoradditionalworkiftheservicesdonotmeettheagreeduponstandards.17.0ThirdPartyTermination17.1Employer'sRighttoTerminate17.2Employee'sRighttoTerminate17.3NoticePeriodUponterminationofaThirdParty'sengagement,therelevantpartyshallprovidetheThirdPartywith[NumberofDays]days'writtennotice,unlesstheterminationisduetoabreachoftheagreementtheThirdParty,inwhichcaseimmediateterminationmaybeinvoked.18.0ThirdPartyInsurance18.1RequirementAnyThirdPartyengagedEmployerorEmployeeshallmaintainappropriateinsurancecoverage,includingliabilityinsurance,professionalindemnityinsurance,andpublicliabilityinsurance,toprotectagainstclaimsthatmayarisefromtheiractivitiesunderthisAgreement.18.2NotificationEmployerandEmployeeshallnotifyeachotherofanychangestotheinsurancecoverage
