Recitals

WHEREAS,PartyAandPartyBenteredintoa[Contractname](the“OriginalContract”)on[dateoforiginalcontract];

WHEREAS,bothpartiesnowdesiretoterminatetheOriginalContractandagreetothetermsandconditionsofsuchterminationassetforthherein.

TerminationoftheOriginalContract

1.MutualAgreementtoTerminate:PartyAandPartyBherebymutuallyagreetoterminatetheOriginalContract,effectiveasof[terminationdate].

2.ObligationsCease:Asoftheterminationdate,allrightsandobligationsofPartyAandPartyBundertheOriginalContractshallcease,exceptasotherwiseprovidedinthisAgreement.

SettlementofAccounts

1.PaymentandReimbursement:

-PartyAshallpaytoPartyB,within[numberofdays]daysaftertheexecutionofthisAgreement,theamountof[X]dollars(USD[X]),whichrepresentsthefinalsettlementofalloutstandingpaymentsduetoPartyBundertheOriginalContract.

-PartyBshallprovidePartyAwithallnecessaryinvoicesanddocumentationrelatedtosuchpaymentwithin[numberofdays]daysaftertheexecutionofthisAgreement.

2.ReturnofProperty:

-PartyBshallreturntoPartyAallproperty,documents,materials,andequipmentthatwereprovidedbyPartyAundertheOriginalContract,inthesameconditionasreceived(reasonablewearandtearexcepted),within[numberofdays]daysaftertheexecutionofthisAgreement.

-PartyAshallverifythereceiptofsuchpropertyandprovidePartyBwithawrittenconfirmationofreceiptwithin[numberofdays]daysafterreceivingtheproperty.

Confidentiality

1.ObligationtoMaintainConfidentiality:EachpartyacknowledgesthatduringthetermoftheOriginalContract,itmayhaveobtainedconfidentialinformationoftheotherparty.ThepartiesshallcontinuetobeboundbytheconfidentialityobligationssetforthintheOriginalContract,whichshallsurvivetheterminationoftheOriginalContract.

2.Non-Disclosure:Withoutthepriorwrittenconsentoftheotherparty,neitherpartyshalldiscloseanyconfidentialinformationoftheotherpartytoanythirdparty,exceptasrequiredbylaworcourtorder.Intheeventofsucharequirement,thedisclosingpartyshallpromptlynotifytheotherpartyandcooperatewiththeotherpartytoobtainaprotectiveorderorotherappropriatesafeguardfortheconfidentialinformation.

Non-CompeteandNon-Solicitation

1.Non-Compete:Foraperiodof[numberofmonths/years]months/yearsfromtheterminationdate,PartyBshallnotengageinanybusinessactivitiesthatcompetewithPartyA'sbusinessinthe[specificgeographicalarea/industry]wheretheOriginalContractwasapplicable.

2.Non-Solicitation:Foraperiodof[numberofmonths/years]months/yearsfromtheterminationdate,PartyBshallnotsolicitorattempttosolicitanycustomers,employees,orbusinesspartnersofPartyAwhowereinvolvedintheperformanceoftheOriginalContract.

RepresentationsandWarranties

1.AuthoritytoTerminate:EachpartyrepresentsandwarrantsthatithasthelegalauthorityandpowertoenterintothisAgreementandtoeffecttheterminationoftheOriginalContract.

2.NoBreach:EachpartyrepresentsandwarrantsthatithasnotbreachedanytermsoftheOriginalContractpriortotheexecutionofthisAgreement,exceptasotherwisedisclosedtotheotherpartyinwriting.

EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

AmendmentsandWaivers

Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywaybeaffectedorimpaired.

GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].

DisputeResolution

AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrougharbitrationin[arbitrationlocation],inaccordancewiththerulesof[arbitrationinstitution].Thelanguageofthearbitrationshallbe[language].Thearbitralawardshallbefinalan
