I.Introduction

PartyAisacompanyengagedin[describePartyA'sbusiness],andPartyBdesirestoacquireacertainpercentageofsharesinPartyAtoestablishastrategiccooperationandshareinthedevelopmentandprofitsofPartyA.

II.ShareholdingAcquisition

1.PartyAherebyagreestoissueandPartyBherebyagreestoacquire[X]%oftheequityinterestsofPartyA(the"Shares")atapriceof[totalamount](the"PurchasePrice").

2.ThePurchasePriceshallbepaidbyPartyBtoPartyAinthefollowingmanner:[describethepaymentmethodandschedule,e.g.,inonelumpsumwithin30daysafterthesigningofthisAgreementorininstallmentsonspecificdates].

III.RightsandObligationsoftheParties

A.RightsofPartyB

1.Afterthecompletionoftheshareholdingacquisition,PartyBshallhavetherighttoreceivedividendsfromPartyAinproportiontotheSharesheld.

2.PartyBshallhavetherighttoexercisevotingrightsattheshareholders'meetingsofPartyAinproportiontotheSharesheld,andtoparticipateinthedecision-makingprocessregardingmajormattersofPartyA,suchasmergers,acquisitions,andsignificantbusinessexpansions.

3.PartyBshallhavetherighttoaccessthefinancialstatementsandrelevantbusinessinformationofPartyAinaccordancewithlawsandregulationsandthecompany'sarticlesofassociation,soastounderstandtheoperatingconditionsofPartyA.

B.ObligationsofPartyB

1.PartyBshallpaythePurchasePriceinstrictaccordancewiththepaymenttermsstipulatedinthisAgreement.

2.PartyBshallabidebythearticlesofassociationofPartyAandrelevantlawsandregulations,andshallnotengageinanyactivitiesthatmaydamagetheinterestsofPartyAorothershareholders.

3.PartyBshallkeepconfidentialanyconfidentialinformationofPartyAobtainedduringtheprocessofshareholdingacquisitionandcooperation,includingbutnotlimitedtobusinesssecrets,financialinformation,andcustomerdata.

C.RightsofPartyA

1.PartyAhastherighttoreceivethePurchasePricefromPartyBinaccordancewiththisAgreement.

2.PartyAhastherighttorequirePartyBtoperformitsobligationsunderthisAgreement.

D.ObligationsofPartyA

1.PartyAshallprovidePartyBwithaccurateandcompleteinformationregardingthecompany'soperations,finances,andassetsduringtheshareholdingacquisitionprocess.

2.PartyAshallhandleallnecessarylegalproceduresandregistrationstocompletetheshareholdingtransfertoPartyBinatimelymanner,inaccordancewithlawsandregulations.

IV.CompanyManagement

1.AfterPartyBbecomesashareholder,bothpartiesshalljointlydiscussanddeterminethemanagementstructureanddecision-makingmechanismofPartyAtoensurethehealthydevelopmentofthecompany.

2.Inprinciple,majordecisionsofPartyAshallbemadethroughavoteattheshareholders'meeting,andeachpartyshallexerciseitsvotingrightsinaccordancewiththeproportionofsharesheld.

V.ProfitDistributionandLossSharing

1.PartyAshalldistributeprofitstoshareholdersonanannualbasisinaccordancewithitsfinancialsituationandrelevantlawsandregulations.Theprofitdistributionratioshallbebasedontheproportionofsharesheldbyeachshareholder.

2.IntheeventoflossesofPartyA,eachshareholdershallbearthelossesinproportiontotheSharesheld.

VI.ShareTransferRestrictions

1.Withoutthepriorwrittenconsentoftheotherparty,neitherpartyshalltransferallorpartoftheSharesheldtoanythirdpartywithin[X]yearsafterthecompletionoftheshareholdingacquisition.

2.Intheeventofatransferaftertheexpirationoftherestrictionperiod,thetransferorshallgivetheotherpartytherightoffirstrefusalunderthesameconditions.

VII.TerminationoftheAgreement

1.ThisAgreementmaybeterminatedunderthefollowingcircumstances:

-Ifbothpartiesreachawrittenagreementtoterminate;

-IfonepartyseriouslybreachesthisAgreementandfailstocurethebreachwithinareasonabletimeafterreceivingawrittennoticefromtheotherparty;

-Incaseofforcemajeureorotherunforeseeable,irresistibleeventsthatmakeitimpossibletoperformthisAgreement.

2.UpontheterminationofthisAgreement,thepartiesshallhandlerelevantmattersinaccordancewithlawsandregulationsandthisAgreement,includingbutnotlimitedtothereturnofshareholdingrightsandthesettlementoffinancialmatters.

VIII.LiabilityforBreachofContract

1.IfeitherpartyfailstoperformanyofitsobligationsunderthisAgreement,itshallbedeemedabreachofcontract.Thebreachingpartyshallcompensatethenon-breachingpartyforalllossescausedbythebreach.

2.Thelossescausedbythebreachshallincludebutnotbelimitedtodirectlosses,indirectlosses,andreasonableexpensesincurredbythenon-breachingpartytoclaimrights,suchaslegalfeesandlitigationcosts.

IX.DisputeResolution

1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbefirstresolvedthroughfriendlyconsultationsbetweentheparties.

2.Iftheconsultationsfail,eitherpartymaysubmitthedisputeto[arbitrationinstitution]forarbitrationinaccordancewithitsarbitrationrules.Thearbitrationshallbeconductedin[language]andtheplaceofarbitrationshallb
