CONTRACTAGREEMENT

ThisContractAgreement(the“Agreement”)ismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas“PartyA”),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas“PartyB”).

I.Recitals

WHEREAS,PartyAisengagedin[PartyAbusinessdescription];

WHEREAS,PartyBisengagedin[PartyBbusinessdescription];

WHEREAS,thePartiesdesiretoenterintothisAgreementtodefinetheirrightsandobligationswithrespectto[subjectmatteroftheagreement].

II.ScopeofWork

1.PartyAshallberesponsiblefor[listPartyA'sresponsibilities].

2.PartyBshallberesponsiblefor[listPartyB'sresponsibilities].

III.PaymentTerms

1.PartyBshallpayPartyAthesumof[amount]in[currency](the“Payment”).

2.ThePaymentshallbemadeinthefollowingmanner:[describepaymentschedule,e.g.,50%uponsigningoftheAgreementand50%uponcompletionofthework].

IV.IntellectualPropertyRights

1.AnyintellectualpropertyrightscreatedordevelopedinthecourseofperformingthisAgreementshallbeownedby[specifytheowner].

2.EachPartyshallindemnifyandholdtheotherPartyharmlessfromanyclaims,losses,damages,orliabilitiesarisingoutoftheinfringementofintellectualpropertyrightsbytheindemnifyingParty.

V.Confidentiality

1.EachPartyacknowledgesthatinthecourseofperformingthisAgreement,itmayhaveaccesstoconfidentialinformationoftheotherParty.

2.ThereceivingPartyshallkeepsuchconfidentialinformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty,exceptasrequiredbylaw.

VI.TermandTermination

1.ThisAgreementshallcommenceon[startdate]andshallremaininforceforaperiodof[duration].

2.EitherPartymayterminatethisAgreementupon[numberofdays/months]writtennoticetotheotherPartyintheeventofamaterialbreachofthisAgreementbytheotherParty.

VII.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].

VIII.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

INWITNESSWHEREOF,thePartieshaveexecutedthisContractAgreementasofthedatefirstabovewritten.
