英文版外资企业雇员服务协议书甲方（Employer）：甲方名称：______甲方地址：______甲方联系方式：______法定代表人（如有）：______乙方（Employee）：乙方名称：______乙方地址：______乙方联系方式：______法定代表人（如有）：______一、服务描述1.服务内容乙方同意在甲方指定的职位上提供其专业知识和技能，具体职责和任务将在附件中详细说明。乙方应遵守甲方的规章制度和行业标准，确保提供高质量的服务。乙方保证在服务期间，其行为符合法律法规和公司政策。2.服务期限本协议的有效期为______年，自______年______月______日起至______年______月______日止。协议期满后，如双方同意，可续签本协议。二、薪酬与福利1.薪酬乙方的基本月薪为______元，具体支付方式和时间将在附件中规定。甲方将根据乙方的表现和公司政策，定期进行薪酬调整。乙方应遵守国家有关个人所得税的规定，自行申报并缴纳个人所得税。2.福利a.社会保险和住房公积金；b.带薪休假；c.其他福利，如年终奖、健康体检等。三、保密条款1.保密信息乙方在服务期间，可能接触到甲方的商业秘密、技术秘密和其他保密信息。乙方同意在离职后继续遵守本协议中的保密条款。2.保密义务乙方应采取合理措施，保护甲方的保密信息不被泄露。未经甲方书面同意，乙方不得向任何第三方披露或使用甲方的保密信息。四、终止条款1.协议终止a.协议期满；b.双方协商一致；c.乙方违反本协议条款，经甲方书面通知后仍未纠正；d.甲方因经营需要或乙方原因，单方面解除本协议。2.终止后果协议终止后，乙方应立即停止提供服务，并归还所有属于甲方的财产和资料。乙方在协议终止后，仍需遵守本协议中的保密条款。五、Employer'sRightsandObligations1.Employer'sRightsTheEmployerhastherighttoinspectandreceivethematerialsprovidedtheEmployee,andifthematerialsdonotmeettherequirements,theEmployerhastherighttorefuseacceptanceorrequesttheEmployeetoreplacethem.TheEmployerhastherighttoadjustthequantityofmaterialspurchasedbasedontheactualconditionsoftheproject,butshallnotifytheEmployeeinaccordancewiththeproceduresagreeduponinthiscontract.2.Employer'sObligationsTheEmployerisobligatedtoreceivematerialsthatmeettherequirementswithinthetimespecifiedinthecontractandtomakepaymentinaccordancewiththecontract.TheEmployershallprovidenecessaryassistancetotheEmployeefordelivery,suchasprovidingunloadingareas.六、Employee'sRightsandObligations1.Employee'sRightsTheEmployeehastherighttorequirepaymentfromtheEmployerinaccordancewiththeagreementafterprovidingmaterialsasrequiredthecontract.IfthedeliveryisdelayedorotherlossesoccurduetotheEmployer'sreasons,theEmployeehastherighttorequiretheEmployertoassumecorrespondingresponsibilities.2.Employee'sObligationsTheEmployeeisobligatedtoprovidematerialsaccordingtotheagreedtime,location,quantity,andquality.TheEmployeeshallkeepconfidentialanyprojectinformationandtechnicalrequirementsrelatedtothematerialsprovidedtotheEmployerandshallnotdisclosesuchinformationtoanythirdparty.七、InspectionandAcceptance1.InspectionMethodTheEmployeeshallconductselfinspectionofthematerialsbeforedeliverytoensurethattheymeetthecontractrequirements.TheEmployershallinspectthematerialswithin______workingdays(specificduration)afterreceivingthem,whichmaybecarriedoutthroughsamplingorfullinspection.2.AcceptanceStandardsTheacceptancestandardsarebasedontheagreedmaterialname,specifications,qualityrequirements,andnationalstandards.Iftheacceptanceisnotuptostandard,theEmployershallnotifytheEmployeewithin______workingdays(specificduration)afterinspection.TheEmployeeshalltakecorrectivemeasureswithin______workingdays(specificduration)afterreceivingthenotice,suchasreplacingthematerials.八、PaymentTermsandConditions1.AdvancePaymentWithin______workingdays(specificduration)afterthecontractissigned,theEmployershallpaytheEmployeeanadvancepaymentof______%ofthetotalcontractprice,whichis______yuan(infullcharacters:______).2.ProgressPayment(ifapplicable)Accordingtotheprogressoftheproject,theEmployershallpayacorrespondingpercentageoftheprogresspaymentaftertheEmployeedeliversacertainproportionofthematerials.Thespecificpaymentpercentageandtimeshallbeagreeduponinwritingbothparties.3.FinalPayment九、DefaultLiability1.Employer'sDefaultLiabilityIftheEmployerfailstomakepaymentinaccordancewiththecontract,theEmployershallpayapenaltyof______%oftheunpaidamountforeachdayofdelay.IftheEmployerunreasonablyrefusestoacceptmaterialsthatmeettherequirements,theEmployershallbearthelossesincurredtotheEmployee,includingbutnotlimitedtotransportationcostsandmaterialstoragecosts.2.Employee'sDefaultLiabilityIftheEmployeefailstoprovidematerialsontime,location,quantity,orqualityasagreed,theEmployeeshallpayapenaltyof______%ofthetotalcontractpriceforeachdayofdelay;ifthedelayexceeds______days(specificduration),theEmployerhastherighttoterminatethecontract,demandthereturnofthepaidamounts,andtheEmployeeshallbearalllossesincurredtheEmployer.IfthematerialsprovidedtheEmployeedonotmeetthecontractrequirements,theEmployeeshallberesponsibleforprovidingfreereplacementmaterialsandpayapenaltyof______%ofthetotalcontractprice;iflossestotheEmployer'sprojectarecausedmaterialqualityissues,theEmployeeshallbearfull赔偿责任.九、AmendmentandTerminationoftheContract1.AmendmentAnyamendmenttothisContractmustbeagreeduponinwritingbothpartiesandawrittenamendmentagreementshallbesigned.TheamendmentagreementshallbeanintegralpartofthisContractandshallhavethesamelegaleffectasthisContract.2.TerminationInadditiontotheterminationconditionsagreeduponinthisContract,thisContractmaybeterminatedmutualagreementbetweentheparties.十、ForceMajeure1.DefinitionForthepurposesofthisContract,forcemajeurereferstounforeseeable,unavoidable,andinsurmountableobjectivecircumstances,includingbutnotlimitedtonaturaldisasters(suchasearthquakes,floods),war,governmentactions(suchaspolicyadjustments,bans),etc.2.ExemptionfromLiabilityDuringtheperiodofforcemajeure,bothpartiesshallnotifyeachotherandproviderelevantproofdocuments.Thepartythatisunabletofulfillitscontractualobligationsduetoforcemajeureshallnotbeliableforbreachofcontract,butshallmakeeveryefforttominimizelosses.Iftheforcemajeureeventcontinuesformorethan______days(specificduration),bothpartiesshall协商解决合同的履行问题，suchasamendingthecontentofthecontractorterminatingthecontract.十一、DisputeResolution1.NegotiationDisputesarisingfromtheperformanceofthisContractshallberesolvedthroughfriendlynegotiationsbetweentheparties.2.LitigationIfthenegotiationsfail,bothpartiesagreetosubmitthedisputetothePeople'sCourtattheplaceofcontractsigningforlitigationresolution.十二、ConfidentialityClause1.ConfidentialContentBothpartiesshallkeepconfident
