英文版侵权赔偿协议书

ThisAgreementismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas"PartyA"),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas"PartyB").

WHEREAS,PartyAclaimsthatPartyBhasengagedincertainactsthatmayconstituteinfringementofPartyA'sintellectualpropertyrights,includingbutnotlimitedtopatents,trademarks,copyrights,ortradesecrets;

WHEREAS,PartyBacknowledgesthepossibilityofsuchpotentialinfringementanddesirestoresolvethematteramicably;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:

1.AcknowledgmentofPotentialInfringement

PartyBacknowledgesthattheremaybeapossibilitythatitsactionshaveinfringeduponPartyA'sintellectualpropertyrightsasclaimedbyPartyA.PartyBundertakesnottofurtherdenythepotentialexistenceofsuchinfringementduringthetermofthisAgreement.

2.Compensation

PartyBshallpaytoPartyAthesumof[amountinfigures](inwords:[amountinwords])ascompensationfortheallegedinfringement.Thepaymentshallbemadein[currency]andshallberemittedtothefollowingaccountdesignatedbyPartyA:

Paymentshallbemadewithin[numberofdays]daysfromthedateofexecutionofthisAgreement.

3.CeaseandDesist

PartyBherebycovenantsandagreestoimmediatelyceaseallactivitiesthatPartyAhasallegedtobeinfringing,includingbutnotlimitedtotheproduction,distribution,marketing,oruseofanyproducts,services,ormaterialsthatmayinfringePartyA'sintellectualpropertyrights.PartyBshallalsotakeallreasonablestepstorecallanyinfringingproductsormaterialsthathavebeendistributedinthemarket,totheextentpossible.

4.WarrantyandRepresentation

PartyBrepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.PartyBfurtherwarrantsthatitwillindemnifyandholdPartyAharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingbutnotlimitedtoattorney'sfeesandcourtcosts)arisingoutoforinconnectionwithanybreachofthiswarranty.

5.Confidentiality

BothpartiesagreetokeepthetermsandconditionsofthisAgreementconfidentialandshallnotdiscloseanyinformationrelatedheretotoanythirdparty,exceptasrequiredbylaworwiththepriorwrittenconsentoftheotherparty.

6.Non-Assignment

NeitherpartymayassignanyofitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty.

7.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].

8.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

9.AmendmentsandWaivers

Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

10.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywaybeaffectedorimpaired.

INWITNESSWHEREOF,thepartieshaveexecutedthisInfringementCompensationAgreementasofthedatefirstabovewritten.
