ttheGoodsitprovidesdonotinfringeuponanythirdparty'sintellectualpropertyrights,includingbutnotlimitedtopatentrights,trademarkrights,copyright,etc.7.2IfPartyBsuffersfromthird-partyintellectualpropertyinfringementclaimsorotherlegaldisputesduetotheuseoftheGoods,PartyAshouldassumecorrespondingliabilityandcompensateforPartyB'slosses.8.Insurance8.1PartyAshouldarrangetransportationinsurancefortheGoods,withaninsuranceamountof%ofthetotalvalueoftheGoods,andtheinsurancecoverageincludesdamageorlossoftheGoodsduringtransportation.8.2IftheGoodsaredamagedorlostduringtransportation,PartyAshouldmakeaclaimwiththeinsurancecompanyandpromptlyinformPartyBoftheclaimresult.9.LiabilityforBreachofContract9.1IfeitherpartyfailstofulfillitsobligationsunderthisContract,itshouldbearthecorrespondingliabilityforbreachofcontractandcompensatetheotherpartyforanylossesincurred.9.2IfPartyAfailstodelivertheGoodsontime,PartyBhastherighttorequirePartyAtopayapenalty,whichis‰ofthevalueofthedelayedGoodsperday,butdoesnotexceed%ofthetotalvalueoftheGoods.10.ForceMajeure10.1IntheeventofForceMajeureevents(includingbutnotlimitedtowars,naturaldisasters,governmentactions,etc.),whichpreventeitherpartyfromfulfillingitsobligationsunderthisContract,theaffectedpartyshouldpromptlynotifytheotherpartyandproviderelevantproofwithinareasonabletime.10.2TheaffectedpartyshouldresumetheperformanceofitsobligationsassoonaspossibleaftertheForceMajeureevent,andbothpartiesmaynegotiatetoadjustthe履行期限。10.3IftheForceMajeureeventpreventstheperformanceofthisContractforoverdays,bothpartiesmaynegotiatetoterminatetheContract,andsettlethealready履行部分basedonactual履行情况。11.DisputeResolution11.1AlldisputesarisingfromtheperformanceofthisContractwillberesolvedthroughfriendlynegotiationbetweenbothparties.11.2Ifthedisputescannotberesolvedthroughnegotiation,anypartymaybringthemattertothe(specificlocationtobedeterminedbymutualagreementbetweenbothparties)competentcourt.11.3ThelawsapplicabletothisContractare(specificlawstobedeterminedbymutualagreementbetweenbothparties).12.AmendmentandTerminationoftheContract12.1AnyamendmentstothisContractmustbeagreeduponbybothpartiesinwriting.12.2ThisContractwillbeterminatedinthefollowing
