二零二五版“卫星导航设备销售协议”英文翻译SALESAGREEMENTFORSATELLITENAVIGATIONEQUIPMENT2025EDITIONThisAgreement(the"Agreement")ismadeandenteredintoasof[Date],andbetweenthefollowingparties:PartyA:[FullLegalNameofPartyA][RegisteredAddressofPartyA][RegistrationNumberofPartyA][ContactPersonofPartyA][PositionofContactPersonofPartyA]PartyB:[FullLegalNameofPartyB][RegisteredAddressofPartyB][RegistrationNumberofPartyB][ContactPersonofPartyB][PositionofContactPersonofPartyB]WHEREAS,PartyAisengagedinthebusinessofmanufacturingandsellingsatellitenavigationequipment,andPartyBisengagedinthebusinessofpurchasingsuchequipmentforresaleoruse;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesagreeasfollows:1.ScopeofAgreementThisAgreementshallgovernthesaleofsatellitenavigationequipmentPartyAtoPartyB,subjecttothetermsandconditionssetforthherein.2.ProductDescriptionTheproductstobesoldunderthisAgreementaredescribedasfollows:[Descriptionofthesatellitenavigationequipment,includingmodelnumbers,specifications,andquantities]3.PriceandPaymentTermsThepriceforthesatellitenavigationequipmentshallbeasfollows:[Priceperunitortotalprice,includinganyapplicabletaxesandshippingcosts]Paymentshallbemade[PaymentMethod]within[NumberofDays]daysfromthedateoftheinvoiceissuedPartyA.4.DeliveryThesatellitenavigationequipmentshallbedeliveredtothefollowingaddress:[DeliveryAddress]Deliveryshallbemadewithin[NumberofDays]daysfromthedateoftheorderconfirmationPartyA.5.WarrantiesPartyAwarrantsthatthesatellitenavigationequipmentshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[NumberofMonths/Years]fromthedateofdelivery.6.LiabilityIntheeventofanydefectinthesatellitenavigationequipment,PartyAshall,atitssolediscretion,repairorreplacethedefectiveproduct,orrefundthepurchasepricetoPartyB.7.ForceMajeureNeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,war,civilunrest,orgovernmentactions.8.GoverningLawandDisputeResolutionThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrough[DisputeResolutionMechanism,e.g.,arbitration,litigation].9.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,andnegotiations,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.10.AmendmentsThisAgreementmaybeamendedonlyawritteninstrumentexecutedbothparties.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasofthedatefirstabovewritten.PartyA:_________________________[SignatureofAuthorizedRepresentative]_________________________[PrintedNameofAuthorizedRepresentative]_________________________[D
