特斯拉银行贷款协议书

TeslaBankLoanAgreement

ThisTeslaBankLoanAgreement("Agreement")ismadeandenteredintoasofthis______dayof______,20__,byandbetweenTesla,Inc.("Borrower"),acorporationorganizedandexistingunderthelawsoftheStateof[State],withitsprincipalplaceofbusinesslocatedat[Address],and[BankName]("Lender"),abankorganizedandexistingunderthelawsoftheStateof[State],withitsprincipalplaceofbusinesslocatedat[Address].

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thepartiesheretoagreeasfollows:

1.LoanAmount

LenderherebyagreestolendtoBorrowertheprincipalamountof$__________(the"LoanAmount"),whichshallbepaidtoBorrowerinaccordancewiththetermsandconditionsofthisAgreement.

2.PurposeofLoan

TheLoanAmountshallbeusedbyBorrowerforthepurposesof[PurposeofLoan],andBorrowershallnotusetheLoanAmountforanyotherpurposewithoutthepriorwrittenconsentofLender.

3.RepaymentTerms

TheLoanAmountshallberepaidin[Number]installmentsof$__________each,dueonthefirstdayofeachmonth,commencingonthe______dayof______,20__.Thefirstinstallmentshallbedueandpayableonthe______dayof______,20__.Eachinstallmentshallincludeprincipalandinterestatarateof[InterestRate]perannum.

4.Interest

5.Covenants

Borrowerherebycovenantsandagreesasfollows:

a.TopayallamountsdueunderthisAgreementwhendue.

b.TomaintaininsuranceonallofBorrower'sassetsasrequiredbyLender.

c.TokeepLenderfullyinformedofanychangesinBorrower'sfinancialcondition.

6.RepresentationsandWarranties

Borrowerrepresentsandwarrantsthat:

a.Itisavalidlyorganizedandexistingcorporation.

b.IthasthefullpowerandauthoritytoenterintothisAgreement.

c.ThisAgreementisnotinconflictwithanyotheragreementtowhichBorrowerisaparty.

7.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[State].

8.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartiesheretoandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

INWITNESSWHEREOF,thepartiesheretohaveexecutedthisTeslaBankLoanAgreementasofthedatefirstabovewritten.
