1.ScopeofServices

1.1TheArchitectshallprovidearchitecturaldesignservicesfortheprojectlocatedat[ProjectAddress]("Project")asdescribedintheattachedProjectBrief("ScopeofServices").

1.2TheScopeofServicesincludes,butisnotlimitedto,thefollowing:

a.Siteanalysisandfeasibilitystudy;

b.Conceptualdesign,includingpreliminaryplans,elevations,andsections;

c.Detaileddesign,includingfinalplans,elevations,sections,anddetails;

d.Preparationofconstructiondocuments,includingdrawings,specifications,andschedules;

e.Coordinationwithconsultants,includingengineers,structural,mechanical,electrical,andplumbing(MEP)professionals;

f.Assistancewithobtainingnecessarypermitsandapprovalsfromlocalauthorities;

g.PreparationofpresentationsandreportsforClient'sreviewandapproval;

h.Constructionadministration,includingsitevisits,progressmeetings,andcoordinationwithcontractorsandsuppliers.

2.ProjectDuration

2.1Theprojectshallcommenceon[StartDate]andisexpectedtobecompletedby[CompletionDate]("ProjectDuration").

2.2TheProjectDurationmaybeextendedbymutualagreementoftheParties,subjecttowrittenconfirmationandanyadditionalfeesincurred.

3.FeesandPaymentTerms

3.1TheArchitectshallbepaidafeeof[Amount]("Fee")fortheprovisionoftheScopeofServices.

3.2TheFeeshallbepaidinaccordancewiththefollowingschedule:

4.IntellectualProperty

4.1TheArchitectshallretainallrights,title,andinterestinandtoallintellectualpropertyrightsinthearchitecturaldesigns,drawings,specifications,andotherdocumentspreparedinconnectionwiththeScopeofServices("Work").

4.2TheClientshallhaveanon-exclusive,non-transferable,andrevocablelicensetousetheWorkfortheProject.

4.3TheClientshallnotmodify,reproduce,distribute,orcreatederivativeworksfromtheWorkwithoutthepriorwrittenconsentoftheArchitect.

5.Confidentiality

5.1ThePartiesagreetokeepconfidentialallinformationdisclosedtothembytheotherPartyinconnectionwiththisContract("ConfidentialInformation").

5.2ThePartiesshallnotusetheConfidentialInformationforanypurposeotherthantheperformanceoftheirobligationsunderthisContract.

5.3TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisContract.

6.WarrantiesandRepresentations

6.1TheArchitectwarrantsthattheWorkwillbeperformedinaprofessionalandworkmanlikemannerandwillconformtoallapplicablelaws,codes,andstandards.

6.2TheClientrepresentsthatithasthelegalrighttousetheProjectsitefortheintendedpurposesandwillobtainallnecessarypermitsandapprovals.

7.LimitationofLiability

7.1TheArchitectshallnotbeliableforanyloss,damage,orexpenseincurredbytheClientoranythirdpartyarisingfromthearchitecturaldesignservicesprovidedunderthisContract,exceptinthecaseofgrossnegligenceorwillfulmisconductonthepartoftheArchitect.

7.2ThetotalliabilityoftheArchitecttotheClientunderthisContractshallnotexceedtheFeepaidbytheClient.

8.Termination

8.1ThisContractmaybeterminatedbyeitherPartyuponwrittennoticetotheotherParty,providedthattheterminatingPartyshallpaytheArchitectfortheservicesrendereduptothedateoftermination.

8.2TheClientmayterminatethisContractimmediatelyiftheArchitectfailstoperformitsobligationsunderthisContract,providedthattheClientshallpaytheArchitectfortheservicesrendereduptothedateoftermination.

9.GoverningLawandDisputeResolution

9.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

9.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughmediation,andifmediationfails,througharbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

10.GeneralProvisions

10.1ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal.

10.3IfanyprovisionofthisContractisfoundtobeunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

1.ScopeofServices

1.1GeneralDescription

TheArchitectshallprovidearchitecturaldesignservices(the"Services")fortheprojectdescribedintheattachedProjectBrief(the"Project")locatedat[ProjectAddress].TheServicesshallinclude,butnotbelimitedto,thefollowing:

-Conductingpreliminarysiteanalysisandfeasibilitystudies.

-PreparingpreliminarydesignconceptsandpresentingthemtotheClientforreviewandfeedback.

-Developingdetailedarchitecturaldesigns,includingfloorplans,elevations,sections,andothernecessarydrawings.

-Providingdesigndevelopmentservices,includingmaterialselections,finishspecifications,andfurniturelayouts.

-Preparingconstructiondocuments,includingplans,specifications,anddetailsrequiredforobtainingbuildingpermitsandforconstruction.

-Providingconstructionadministrationservices,includingreviewingshopdrawings,attendingconstructionmeetings,andcoordinatingwithconsultantsandcontractors.

-Ensuringcompliancewithallapplicablecodes,regulations,andstandards.

1.2SpecificServices

ThespecificservicestobeprovidedbytheArchitectaredetailedintheattachedServicesSchedule,whichisanintegralpartofthisContract.

2.ProjectBrief

TheProjectBrief,attachedhereto,providesadetaileddescriptionoftheClient'srequirements,includingbutnotlimitedto:

-Projectobjectivesandgoals.

-Functionalrequirements.

-Siteconditionsandconstraints.

-Budgetaryconstraints.

-Designcriteriaandpreferences.

3.FeesandPaymentTerms

3.1Fees

TheArchitect'sfeesfortheServicesshallbeasfollows:

Alldrawings,designs,specifications,reports,andotherdocumentspreparedbytheArchitect(collectively,the"WorkProduct")shallremaintheexclusivepropertyoftheArchitect,exceptasotherwiseagreedinwritingbytheParties.TheClientshallhavetherighttousetheWorkProductfortheProject,butshallnotreproduce,distribute,ordisclosetheWorkProducttoanythirdpartywithoutthepriorwrittenconsentoftheArchitect.

4.2LicensetoUseWorkProduct

TheClientherebygrantstheArchitectanon-exclusive,royalty-free,worldwidelicensetousetheWorkProductforthepurposeofmarketingandpromotingtheArchitect'sservices.

5.Confidentiality

ThePartiesagreetomaintaintheconfidentialityofallinformationdisclosedbyeitherPartyduringthecourseofthisContract,exceptasrequiredbylaworcourtorder.TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisContract.

6.Termination

6.1ByClient

TheClientmayterminatethisContractatanytimebyproviding[Number]days'writtennoticetotheArchitect.IntheeventofterminationbytheClient,theArchitectshallbeentitledtopaymentfortheServicesrendereduptothedateoftermination.

6.2ByArchitect

7.LimitationofLiability

TheArchitectshallnotbeliableforanydirect,indirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeperformanceornon-performanceoftheServices,excepttotheextentsuchdamagesarisefromtheArchitect'sgrossnegligenceorwillfulmisconduct.

8.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

9.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisContract.

WHEREAS,theArchitectisengagedinthebusinessofprovidingarchitecturaldesignservices(the"Services")andtheClientdesirestoretaintheArchitecttoprovidesuchServicesforaspecificproject(the"Project");

ANDWHEREAS,thePartieswishtoestablishthetermsandconditionsunderwhichtheArchitectshallprovidetheServicestotheClient;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thePartiesagreeasfollows:

1.ScopeofServices

1.1TheArchitectshallprovidetheServicesasoutlinedintheattachedScopeofServicesdocument(the"ScopeofServices"),whichisherebyincorporatedintothisContractbyreference.

1.2TheServicesshallinclude,butnotbelimitedto,thefollowing:

a.Pre-designconsultationsandfeasibilitystudies;

b.Siteanalysisandsiteplanning;

c.Designdevelopment,includingconceptualdesign,schematicdesign,anddesigndevelopment;

d.Preparationofconstructiondocuments,includingdrawings,specifications,anddetails;

e.Coordinationwithconsultants,contractors,andregulatoryagencies;

f.Assistancewithconstructionadministration,includingsitevisits,reviewsofshopdrawings,andsubmittals;

g.AnyotherservicesasmaybemutuallyagreeduponbytheParties.

2.ProjectDescription

2.1TheProjectshallbelocatedat[ProjectAddress](the"ProjectSite").

2.2TheProjectshallconsistof[briefdescriptionoftheProject,e.g.,aresidentialhome,commercialbuilding,etc.].

3.TermandTermination

3.1ThetermofthisContract(the"Term")shallcommenceon[StartDate]andshallcontinueuntilthecompletionoftheServicesoruntilterminatedinaccordancewiththeprovisionsofthisContract.

3.2EitherPartymayterminatethisContractatanytimebyprovidingwrittennoticetotheotherPartyatleast[Number]dayspriortotheeffectivedateoftermination.

3.3UponterminationofthisContract,thePartiesshall:

a.CompleteanyworkinprogressanddeliveralldeliverablestotheotherParty;

b.PayalloutstandingfeesandexpensesduetotheArchitect;

c.ReleaseeachotherfromanyfurtherobligationsunderthisContract.

4.FeesandPayment

4.1TheArchitectshallbepaidafee(the"Fee")fortheServicesprovidedunderthisContract.

4.2TheFeeshallbeasfollows:

a.[DescriptionofFeeStructure,e.g.,afixedfee,atimeandmaterialsfee,apercentageofconstructioncosts,etc.];

b.[Anyadditionalfees,e.g.,foradditionalservices,travel,etc.].

4.3TheClientshallpaytheFeeinaccordancewiththepaymentscheduleattachedhereto(the"PaymentSchedule"),whichisherebyincorporatedintothisContractbyreference.

4.4Allpaymentsshallbemadein[Currency]andshallbedueandpayablewithin[Number]daysofthereceiptofaninvoicefromtheArchitect.

4.5IftheClientfailstomakeanypaymentwhendue,theArchitectshallhavetherighttosuspendtheprovisionoftheServicesuntilsuchpaymentismade.

5.IntellectualProperty

5.1Alldrawings,plans,specifications,designs,andotherdocumentspreparedbytheArchitectinconnectionwiththeServices(collectively,the"Documents")shallbethepropertyoftheArchitect.

5.2TheClientshallhavetherighttousetheDocumentsfortheProjectonlyandshallnotreproduce,distribute,orotherwiseusetheDocumentsforanyotherpurposewithoutthepriorwrittenconsentoftheArchitect.

5.3UponcompletionoftheProject,theClientshallhavetherighttoobtainacopyoftheDocumentsforitsrecords.

6.Confidentiality

6.1ThePartiesagreetokeepconfidentialallinformationdisclosedtothembytheotherPartyinconnectionwiththisContract(the"ConfidentialInformation").

6.2ThePartiesshallnotusetheConfidentialInformationforanypurposeotherthantheperformanceoftheirobligationsunderthisContract.

6.3TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisContract.

7.Liability

7.1TheArchitectshallbeliableforanydamagescausedbyitsnegligenceorwillfulmisconductintheperformanceoftheServices.

7.2TheArchitectshallnotbeliableforanydamagesarisingfromthefollowing:

a.TheactsoromissionsoftheClientoranythirdparty;

b.AnychangesormodificationsmadetotheProjectby
