英文版合同委托付款协议EnglishVersionContractEntrustedPaymentAgreementI.PartiestotheAgreementPartyA(EntrustingParty)Name:[PartyA'sfulllegalname]LegalRepresentative:[NameofPartyA'slegalrepresentative]RegisteredAddress:[FullregisteredaddressofPartyA]ContactInformation:[Phonenumber,emailaddress,etc.ofPartyA]PartyB(Trustee)Name:[PartyB'sfulllegalname]LegalRepresentative:[NameofPartyB'slegalrepresentative]RegisteredAddress:[FullregisteredaddressofPartyB]ContactInformation:[Phonenumber,emailaddress,etc.ofPartyB]II.BackgroundPartyAhasenteredintocertainbusinesstransactionsandhasobligationstomakepaymentstothirdparties.PartyAherebyentrustsPartyBtomaketherelevantpaymentsonitsbehalfinaccordancewiththetermsandconditionsofthisAgreement.III.EntrustedPaymentDetailsA.DescriptionofthePaymentObligation1.UnderlyingTransactions:PartyAhasenteredinto[describethenatureoftheunderlyingcontracts,e.g.,purchasecontracts,servicecontracts]with[listthenamesofthethirdparties](hereinafterreferredtoas"Payees").Thetotalamountofpaymentsdueunderthesecontractsis[specifythecurrencyandtheexactamount].2.PaymentSchedule:PartyAshallprovidePartyBwithadetailedpaymentschedule,indicatingtheduedates,payeenames,payeebankaccountinformation,andtheamountstobepaidforeachpayment.ThepaymentscheduleshallbeprovidedtoPartyBatleast[numberofdays]businessdaysbeforetheearliestduedateofthepayments.B.ScopeofEntrustmentPartyBisentrustedtomakepaymentstothePayeesonbehalfofPartyAinaccordancewiththepaymentscheduleprovidedbyPartyA.PartyBshallnothavetherighttomodifythepaymentamounts,payeeinformation,orpaymentdateswithoutthepriorwrittenconsentofPartyA.IV.RightsandObligationsofthePartiesA.RightsandObligationsofPartyA1.RightsPartyAhastherighttosupervisePartyB'sperformanceoftheentrustedpaymentobligations.PartyAmayrequestPartyBtoprovidepaymentvouchers,banktransferrecords,andotherrelevantdocumentstoverifythecompletionofpayments.PartyAhastherighttoterminatethisAgreementinaccordancewiththetermsandconditionshereinifPartyBfailstoperformitsobligations.2.ObligationsPartyAshallprovidePartyBwithaccurateandcompletepaymentinformation,includingbutnotlimitedtopayeenames,bankaccountnumbers,paymentamounts,andpaymentdates.PartyAshallberesponsibleforanylossescausedbyinaccurateorincompleteinformation.PartyAshallensurethattherearesufficientfundsintheaccountdesignatedbyPartyBforthepurposeofmakingtheentrustedpayments.PartyAshalltransfertherequiredfundstothedesignatedaccountatleast[numberofdays]businessdaysbeforetheduedateofeachpayment.PartyAshallindemnifyPartyBagainstanylosses,damages,liabilities,orexpensesincurredbyPartyBasaresultofPartyA'sbreachofthisAgreementortheunderlyingcontractswiththePayees.B.RightsandObligationsofPartyB1.RightsPartyBhastherighttoreceiveaservicefeefromPartyAforperformingtheentrustedpaymentservices.TheservicefeeshallbecalculatedinaccordancewiththetermssetforthinArticleVofthisAgreement.PartyBhastherighttorequestPartyAtoprovideadditionalinformationorclarificationifthepaymentinformationprovidedbyPartyAisunclearorincomplete.2.ObligationsPartyBshallmakepaymentstothePayeesinaccordancewiththepaymentscheduleandpaymentinformationprovidedbyPartyA.PartyBshallensurethatthepaymentsaremadeontimeandinthecorrectamounts.PartyBshallkeepconfidentialallpaymentinformationandbusinesssecretsobtainedfromPartyAduringtheperformanceofthisAgreement.PartyBshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofPartyA,exceptasrequiredbylaw.PartyBshallprovidePartyAwithpaymentvouchersandbanktransferrecordswithin[numberofdays]businessdaysaftereachpaymentismadetoprovethecompletionofthepayment.V.ServiceFeeA.CalculationMethodPartyAshallpayPartyBaservicefeefortheentrustedpaymentservices.Theservicefeeshallbecalculatedas[describethecalculationmethod,e.g.,afixedamountperpayment,apercentageofthepaymentamount].B.PaymentTermsTheservicefeeshallbepaidbyPartyAtoPartyBwithin[numberofdays]businessdaysafterPartyBprovidesPartyAwiththepaymentvouchersandbanktransferrecordsforeachpayment.PartyBshallissueaninvoicetoPartyAfortheservicefee.VI.LiabilityforBreachofContractA.LiabilityofPartyA1.IfPartyAfailstoprovideaccurateandcompletepaymentinformationorfailstotransfersufficientfundstothedesignatedaccountontime,PartyAshallbeliableforanylatepaymentfees,penalties,orlossesincurredbythePayeesasaresultofPartyB'sinabilitytomaketimelypayments.PartyAshallalsopayPartyBaliquidateddamagesequalto[percentage]ofthepaymentamountforeachpaymentthatisaffectedbyPartyA'sbreach.2.IfPartyAterminatesthisAgreementwithoutjustifiablereasons,PartyAshallpayPartyBtheservicefeeforallthepaymentsthatPartyBhasalreadymadeorisobligatedtomakeinaccordancewiththepaymentschedule,plusaliquidateddamagesequalto[percentage]ofthetotalservicefeethatwouldhavebeenpayableunderthisAgreement.B.LiabilityofPartyB1.IfPartyBfailstomakepaymentstothePayeesinaccordancewiththepaymentscheduleorpaymentinformationprovidedbyPartyA,PartyBshallbeliableforanylosses,damages,orpenaltiesincurredbyPartyAasaresultofPartyB'sbreach.PartyBshallalsopayPartyAaliquidateddamagesequalto[percentage]ofthepaymentamountforeachpaymentthatisaffectedbyPartyB'sbreach.2.IfPartyBdisclosesPartyA'sconfidentialinformationinviolationofthisAgreement,PartyBshallindemnifyPartyAforanylosses,damages,orliabilitiessufferedbyPartyAasaresultofthedisclosure.VII.DisputeResolutionA.NegotiationIntheeventofanydisputesarisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputesthroughfriendlynegotiationwithin[numberofdays]daysafteronepartynotifiestheotherpartyofthedispute.B.ArbitrationorLitigationIfthenegotiationfails,thepartiesagreetoresolvethedisputesthrough[specifyarbitrationorlitigation].1.Arbitration:Ifarbitrationischosen,thearbitrationshallbeconductedinaccordancewiththerulesof[nameofthearbitrationinstitution].Thearbitrationshallbeheldin[city,country].Thearbitrationawardshallbefinalandbindingonbothparties.2.Litigation:Iflitigationischosen,thecaseshallbeunderthejurisdictionofthe[nameofthecourt]locatedin[city,country].VIII.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[country].IX.MiscellaneousA.AmendmentsandSupplementsAnyamendmentsorsupplementstothisAgreementshallbemadeinwritingandsignedbybothparties.SuchamendmentsorsupplementsshallformanintegralpartofthisAgreement.B.SeverabilityIfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,thevalidityandenforceabilityoftheotherprovisionsshallnotinanywaybeaffectedorimpaired.C.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatte
