entsandmaterialsprovidedbyPartyAarefalse,inaccurateorincomplete,ithastherighttorequirePartyAtosupplementorcorrectthem.Intheprocessofagency,ifPartyBsufferslossesduetothereasonsofPartyA,ithastherighttorequirePartyAtocompensateforthelosses.2.ObligationsPartyBshallhandlerelevantmattersofimportandexportbusinessdiligentlyandresponsiblyinaccordancewiththetermsofthiscontractandtheinstructionsofPartyA.PartyBshallinformPartyAoftheprogressofimportandexportbusinessinatimelymanner,andshallseekPartyA'sopinionsinatimelymannerwhenencounteringimportantmatters.PartyBshallkeepconfidentialthedocumentsandmaterialsprovidedbyPartyA,andshallnotdisclosethemtoanythirdpartywithoutthewrittenconsentofPartyA.Intheprocessofhandlingimportandexportbusiness,PartyBshallabidebythelaws,regulationsandrelevantpoliciesofthestatetoensurethelegalityoftheagencybehavior.III.AgencyFeesandPaymentMethod(I)AgencyFeesPartyBshallchargeagencyfeesfromPartyAinthefollowingmanner:1.PartyBshallchargeanagencyservicefeeof[X]%ofthevalueofimportedandexportedgoods.2.Forotherfeessuchascustomsdeclaration,inspection,transportationandwarehousing,PartyBshallchargePartyAaccordingtotheactualamountincurred.(II)PaymentMethod1.PartyAshallpaytheagencyfeesandrelevantfeestothebankaccountdesignatedbyPartyBwithin[X]workingdaysafterPartyBhascompletedtheagencymatters.2.PartyBshallissuealegalandvalidinvoicetoPartyAafterreceivingthepaymentfromPartyA.IV.LiabilityforBreachofContract(I)LiabilityforBreachofContractofPartyA1.IfPartyAfailstopaytheagencyfeesandrelevantfeestoPartyBinaccordancewiththetermsofthiscontract,PartyAshallpayapenaltyof[X]%oftheunpaidamounttoPartyBforeachdayofdelay.Ifthedelayexceeds[X]days,PartyBhastherighttosuspendtheagencybusinessandrequirePartyAtopayallthefeesandpenalties.2.IfthedocumentsandmaterialsprovidedbyPartyAarefalse,inaccurateorincomplete,resultinginPartyBbeingunabletohandleimportandexportbusinessnormallyorsufferinglosses,PartyAshallbearallthecompensationliability.3.IfPartyAviolatestheconfidentialityobligationstipulatedinthiscontract,PartyAshallpayapenaltyof[X]yuantoPartyBandcompensatePartyBforallthelossessufferedthereby.(II)LiabilityforBreachofContractofPartyB1.IfPartyBfailstohandlerelevantmattersofimportandexportbusinessinaccordancewiththetermsofthiscontractandtheinstructionsofPartyA,resultinginPartyAsufferinglosses,PartyBshallbearallthecompensationliability.2.IfPartyBviolatestheconfidentialityobligationstipulatedinthiscontract,PartyBshallpayapenaltyof[X]yuantoPartyAandcompensatePartyAforallthelossessufferedthereby.V.DisputeResolution1.Incaseofanydisputearisingfromtheperformanceofthiscontract,thetwopartiesshallfirstnegotiateandresolveitamicably
