设计合同英文合同范本DesignContract一、合同双方身份甲方（委托方）PartyA(CommissioningParty):公司名称/个人姓名[FullCompanyName/IndividualName]法定代表人/负责人[LegalRepresentative/Principal]地址[Address]联系方式[ContactInformation]乙方（受托方）PartyB(Trustee):公司名称/个人姓名[FullCompanyName/IndividualName]法定代表人/负责人[LegalRepresentative/Principal]地址[Address]联系方式[ContactInformation]二、鉴于条款WHEREAS,PartyAdesirestoengagePartyBtoprovidedesignservices,andPartyBiswillingtoacceptsuchengagementandprovidethesaidservicesinaccordancewiththetermsandconditionsofthisContract.三、标的物或服务具体描述3.1设计服务内容PartyBshallprovidethefollowingdesignservices(the"Services")toPartyA:1.[项目名称]设计总体设计：根据甲方提供的项目需求和相关资料，进行项目的整体规划和布局设计，包括但不限于功能分区、流线设计、空间利用等方面，确保设计方案符合甲方的使用要求和审美标准。详细设计：在总体设计的基础上，完成各个部分的详细设计，包括但不限于建筑结构、装修装饰、设备选型、电气系统、给排水系统等方面的设计图纸和技术文件，确保设计方案具有可实施性。设计优化：根据甲方的反馈意见和实际情况，对设计方案进行优化和调整，确保设计方案的合理性和经济性。2.设计文件交付PartyBshalldeliverthefollowingdesigndocumentstoPartyAinaccordancewiththeagreedschedule:初步设计文件：包括设计说明、设计图纸、主要设备材料表等，用于甲方对设计方案的初步审查和决策。施工图设计文件：包括建筑、结构、给排水、电气、暖通等专业的施工图纸和技术文件，用于工程施工和监理。其他设计文件：根据甲方的要求，提供其他相关的设计文件，如效果图、模型等。3.设计服务期限ThetermoftheServicesshallcommenceon[StartDate]andendon[EndDate].PartyBshallcompletetheServiceswithintheagreedtimeframe.IfPartyBneedstoextendtheserviceperiodduetoforcemajeureorotherreasonablereasons,itshallnotifyPartyAinwritinginadvanceandobtainPartyA'sconsent.四、权利义务4.1甲方权利义务1.权利ToreviewandapprovethedesigndocumentssubmittedbyPartyB.TorequestPartyBtomakerevisionsandimprovementstothedesigndocumentsinaccordancewiththerequirementsofthisContract.ToobtainallintellectualpropertyrightsrelatedtothedesignworkscreatedbyPartyBunderthisContract.2.义务ToprovidePartyBwithallnecessaryinformationandmaterialsrequiredforthedesignworkinatimelymanner.TopaythedesignfeestoPartyBinaccordancewiththepaymenttermsofthisContract.TocooperatewithPartyBduringthedesignprocessandprovidenecessaryassistanceandsupport.4.2乙方权利义务1.权利ToreceivethedesignfeesfromPartyAinaccordancewiththepaymenttermsofthisContract.TorequestPartyAtoprovidenecessaryinformationandmaterialsforthedesignwork.ToprotectitslegitimaterightsandinterestsinaccordancewiththelawincaseofanybreachofcontractbyPartyA.2.义务ToprovidehighqualitydesignservicestoPartyAinaccordancewiththerequirementsofthisContractandrelevantlawsandregulations.TokeepconfidentialallinformationandmaterialsprovidedbyPartyAandnotdisclosethemtoanythirdpartywithoutPartyA'spriorwrittenconsent.Toberesponsiblefortheaccuracyandcompletenessofthedesigndocumentsandensurethattheymeettherelevantstandardsandrequirements.五、设计费用及支付方式5.1设计费用ThetotaldesignfeefortheServicesshallbe[AmountinWords](¥[AmountinFigures]).ThedesignfeeshallincludeallcostsandexpensesincurredbyPartyBinprovidingtheServices,suchaslaborcosts,materialcosts,equipmentcosts,andtaxes.5.2支付方式1.预付款：PartyAshallpay[Percentage]%ofthetotaldesignfee,i.e.,[AmountinWords](¥[AmountinFigures]),toPartyBwithin[NumberofDays]daysafterthesigningofthisContract.2.中期付款：AfterPartyBhascompletedthepreliminarydesignandsubmittedittoPartyAforreview,andPartyAhasapprovedthepreliminarydesign,PartyAshallpay[Percentage]%ofthetotaldesignfee,i.e.,[AmountinWords](¥[AmountinFigures]),toPartyBwithin[NumberofDays]days.3.尾款：AfterPartyBhascompletedallthedesignservicesanddeliveredthefinaldesigndocumentstoPartyA,andPartyAhasacceptedthedesigndocuments,PartyAshallpaytheremaining[Percentage]%ofthetotaldesignfee,i.e.,[AmountinWords](¥[AmountinFigures]),toPartyBwithin[NumberofDays]days.六、违约责任6.1甲方违约责任1.IfPartyAfailstopaythedesignfeestoPartyBinaccordancewiththepaymenttermsofthisContract,PartyAshallpayPartyBalatepaymentpenaltyof[PenaltyRate]%oftheoverdueamountforeachdayofdelay.2.IfPartyAfailstoprovidePartyBwithnecessaryinformationandmaterialsrequiredforthedesignworkinatimelymanner,resultinginthedelayofthedesignwork,PartyAshallberesponsibleforthelossescausedthereby.6.2乙方违约责任1.IfPartyBfailstocompletethedesignserviceswithintheagreedtimeframewithoutjustifiablereasons,PartyBshallpayPartyAapenaltyof[PenaltyRate]%ofthetotaldesignfeeforeachdayofdelay.2.IfthedesigndocumentsprovidedbyPartyBdonotmeettherequirementsofthisContractandrelevantlawsandregulations,PartyBshallberesponsibleformakingrevisionsandimprovementsatitsownexpenseuntilthedesigndocumentsmeettherequirements.IftherevisionsandimprovementscauselossestoPartyA,PartyBshallcompensatePartyAforthelosses.七、知识产权归属AllintellectualpropertyrightsrelatedtothedesignworkscreatedbyPartyBunderthisContract,includingbutnotlimitedtocopyrights,patents,trademarks,andtradesecrets,shallbelongtoPartyA.PartyBshallnotuse,transfer,orlicensethedesignworkstoanythirdpartywithoutPartyA'spriorwrittenconsent.八、保密条款BothpartiesshallkeepconfidentialallinformationandmaterialsobtainedfromtheotherpartyduringtheperformanceofthisContract,includingbutnotlimitedtobusinesssecrets,technicalsecrets,andcustomerinformation.Withoutthepriorwrittenconsentoftheotherparty,neitherpartyshalldisclosesuchinformationandmaterialstoanythirdparty.九、争议解决1.AnydisputearisingoutoforinconnectionwiththisContractshallbefirstresolvedthroughfriendlyconsultationsbetweenthetwoparties.Iftheconsultationsfail
