钢材进口贸易英文合同1.ContractingPartiesThisSteelImportContract(hereinafterreferredtoas"Contract")isenteredintoon[Date]byandbetween:Seller:[FullLegalNameofSeller],acompanydulyregisteredunderthelawsof[Country],withitsregisteredaddressat[DetailedAddress],representedby[NameandTitle](hereinafterreferredtoas"Seller");Buyer:[FullLegalNameofBuyer],acompanyincorporatedin[Country],withitsprincipalplaceofbusinessat[DetailedAddress],representedby[NameandTitle](hereinafterreferredtoas"Buyer").BothpartieswarrantthattheypossessthelegalcapacityandnecessaryauthorizationtoenterintoandperformthisContract.AllcommunicationsrelatedtothisContractshallbeconductedthroughthedesignatedcontactpersons:Seller’scontact[Name,Position,PhoneNumber];Buyer’scontact[Name,Position,PhoneNumber].2.CommodityDescription2.1ProductName:Hot-rolledsteelcoils,cold-rolledsteelsheets,andgalvanizedsteelpipes(collectivelyreferredtoas"Goods").2.2Specifications:Hot-rolledsteelcoils:Thickness2.0-20mm,Width1250-1500mm,StandardASTMA36,SurfaceTreatment:MillFinish.Cold-rolledsteelsheets:Thickness0.3-3.0mm,Width1000-1250mm,StandardEN10130,TensileStrength≥340MPa.Galvanizedsteelpipes:Diameter15-200mm,WallThickness1.2-6.0mm,StandardBS1387,ZincCoating≥80g/m².2.3Quantity:Total5,000metrictons(MT),withdetailedbreakdownasfollows:3,000MTofhot-rolledcoils,1,500MTofcold-rolledsheets,and500MTofgalvanizedpipes.Quantitytoleranceshallnotexceed±5%unlessotherwisespecified.2.4Price:UnitpriceCIF[DestinationPort]atUSD850/MTforhot-rolledcoils,USD1,100/MTforcold-rolledsheets,andUSD950/MTforgalvanizedpipes.2.5TotalValue:USD4,775,000(Say:FourMillionSevenHundredSeventy-FiveThousandUSDollarsOnly),excludingimportdutiesandtaxesatthedestinationcountry.3.DeliveryTerms3.1DeliveryTime:Partialshipmentsareallowed.Thefirstshipmentof2,000MTshallbemadeby[Date],andtheremaining3,000MTshallbecompletedby[Date].Anydelayinshipmentshallbesubjecttothe违约责任clauseherein.3.2PortofLoading:[NameofLoadingPort,Country].3.3PortofDestination:[NameofDestinationPort,Country].3.4TradeTerm:CIF[DestinationPort]inaccordancewithIncoterms®2020.TheSellershallberesponsibleforarrangingseafreight,obtainingshippingdocuments,anddeliveringtheGoodstothecarrierattheloadingport.RiskoflossordamagetotheGoodsshalltransferfromSellertoBuyerupondeliveryonboardthevessel.4.PaymentTerms4.1PaymentMethod:IrrevocableLetterofCredit(L/C)atsight.4.2L/CIssuance:Buyershall,within10bankingdaysaftertheContractbecomeseffective,openanL/CinfavorofSellerthrough[NameofIssuingBank],withtheL/Camountcovering100%ofthetotalcontractvalue.TheL/Cshallbevalidfornegotiationuntil[Date]at[NegotiationBankLocation].4.3DocumentsRequiredforPayment:SignedcommercialinvoiceinthreeoriginalsindicatingtheContractnumberandL/Cnumber.Cleanon-boardbillofladingmadeouttoorderandblankendorsed,marked"FreightPrepaid".Packinglistdetailingcommodity,quantity,gross/netweight,andpackagenumbers.CertificateofqualityandquantityissuedbySGSorequivalentthird-partyinspectionagencyattheloadingport.Insurancepolicy/certificatecoveringallrisksasperInstituteCargoClauses(A)for110%oftheinvoicevalue.5.QualityAssurance5.1QualityStandards:AllGoodsshallconformtothespecificationslistedinClause2.2andcomplywiththeapplicableinternationalstandards(ASTM,EN,BS).Sellershallprovideacertificateofcomplianceissuedbythemanufacturer.5.2Inspection:Pre-shipmentInspection:Sellershall,atitsownexpense,arrangeforinspectionbySGSattheloadingport.Theinspectionreportshallincluderesultsonchemicalcomposition,mechanicalproperties,dimensions,andsurfacequality.AcopyofthereportshallbeprovidedtoBuyerbeforeshipment.DestinationInspection:Buyerreservestherighttoconductreinspectionwithin30daysoftheGoods’arrivalatthedestinationportthrough[LocalInspectionAgency].Anydiscrepancybetweenthedestinationinspectionandpre-shipmentreportshallberesolvedinaccordancewithClause5.3.5.3QualityDisputeResolution:IfBuyerdiscoversnon-conformityinqualityorquantity,itshallnotifySellerinwritingwithin15daysofreceivingtheinspectionreport,providingdetailedevidence(includingphotos,testdata,andinspectioncertificates).Sellershallrespondwithin10daysandmayeither:Replacethenon-conformingGoodsatnoadditionalcostwithin30days;Grantapricereductionproportionaltothedefect;orAcceptreturnoftheGoodsandrefundthecorrespondingpaymentplusfreightandinsurancecosts.5.4WarrantyPeriod:SellerwarrantsthattheGoodsshallbefreefrommaterialdefectsinworkmanshipandmaterialsfor12monthsfromthedateofarrivalatthedestinationport.6.Insurance6.1InsuranceCoverage:Sellershall,atitsexpense,effectmarineinsurancewith[InsuranceCompanyName]covering"AllRisks"(includingwarrisksandstrikes)asperInstituteCargoClauses(A)andInstituteWarClauses(Cargo).6.2InsuranceAmount:110%oftheinvoicevalue,withtheBuyernamedasthebeneficiary.6.3Duration:FromthetimetheGoodsareloadedontothevesselattheloadingportuntil60daysaftertheirarrivalatthedestinationportoruntildeliverytotheBuyer’swarehouse,whichevercomesfirst.6.4ClaimProcedures:Incaseoflossordamage,BuyershallimmediatelynotifytheinsurancecompanyandSeller,providingallnecessarydocuments(surveyreport,billoflading,insurancepolicy,etc.)tofacilitatetheclaimprocess.SellershallcooperatewithBuyerinpursuinginsuranceclaimsifrequired.7.违约责任(LiabilityforBreach)7.1Seller’sBreach:LateDelivery:IfSellerfailstoshiptheGoodsbytheagreeddate,Buyershallbeentitledtoclaimliquidateddamagesattherateof0.5%ofthedelayedshipmentvalueperday,uptoamaximumof5%ofthetotalcontractvalue.Ifdelayexceeds30days,BuyermayterminatetheContractandclaimcompensationforactuallosses.Non-conformingGoods:InadditiontotheremediesunderClause5.3,SellershallcompensateBuyerforanydirectlossescausedbythedefectiveGoods,includingbutnotlimitedtoinspectionfees,storagecharges,andlossofprofit.7.2Buyer’sBreach:LateOpeningofL/C:IfBuyerfailstoopentheL/CbythedeadlinespecifiedinClause4.2,Sellershallhavetherighttosuspendshipmentandclaimdamagesat0.3%oftheL/Camountperdayofdelay.RefusaltoTakeDelivery:IfBuyerunjustifiablyrefusestoacceptconformingGoods,itshallpaySeller10%ofthecontractvalueasliquidateddamagesandreimburseSellerforallcostsincurred(transportation,storage,insurance,etc.).7.3LimitationofLiability:Neitherpartyshallbeliableforindirectorconsequentialdamages,includinglossofbusinessopportunitiesorgoodwill,unlesssuchdamagesarecausedbywillfulmisconductorgrossnegligence.8.ForceMajeure8.1Definition:Forcemajeurereferstounforeseeable,unavoidable,andinsurmountableeventsthatpreventordelaytheperformanceofcontractualobligations,includingbutnotlimitedtonaturaldisasters(earthquakes,typhoons),wars,strikes,governmentrestrictions,anddisruptionsintransportationorenergysupply.8.2Notification:Theaffectedpartyshallnotifytheotherpartyinwritingwithin5daysoftheoccurrenceofaforcemajeureevent,providingadetaileddescriptionandsupportingdocuments(e.g.,officialcertificatesfromlocalauthorities).8.3Consequences:Theperformanceperiodshallbeextendedbythedurationoftheforcemajeureevent.Iftheeventpersistsformorethan60days,eitherpartymayterminatetheContractbygiving15days’writtennotice,withoutliabilityfordamages.Allpaymentsmadeshallberefunded,andGoodsalreadydeliveredshallbesettledattheagreedprice.9.DisputeResolution9.1Negotiation:IntheeventofanydisputearisingfromorinconnectionwiththisContract,bothpartiesshallfirstattempttoresolveitthroughamicablenegotiationswithin30daysofthedisputearising.9.2Arbitration:Ifnegotiationfails,thedisputeshallbesubmittedtoarbitrationbytheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)inBeijing,China,inaccordancewithitsthen-effectivearbitrationrules.Thearbitrationtribunalshallconsistofthreearbitratorsappointedinaccordancewiththerules.9.3GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople’sRepublicofChina,excludingitsconflictoflawrules.Thearbitrationawardshallbefinalandbindingonbothparties,andenforceableinanycourtwithjurisdiction.10.MiscellaneousProvisions10.1ContractAmendment:AnymodificationorsupplementtothisContractshallbevalidonlyifmadeinwritingandsignedbydulyauthorizedrepresentativesofbothparties.10.2Assignment:NeitherpartymayassignitsrightsorobligationsunderthisContractwithoutthepriorwrittenconsentoftheotherparty.10.3Severability:Ifanyclause
