GoodsandSpecificationsTheSupplieragreestosupplyandtheBuyeragreestopurchasethefollowinggoods(the"Goods"):Description:Quantity:Quality:Specifications:Packaging:TheGoodsshallcomplywithallapplicablelaws,regulations,andstandards,includingbutnotlimitedtohealth,safety,andenvironmentalstandards.TheSuppliershallprovideallnecessarycertificationsanddocumentationtoensurecompliance.2.

DeliveryTheGoodsshallbedeliveredtothefollowingaddress:DeliveryAddress:DeliveryDate:MethodofDelivery:TheSuppliershallensuretimelydeliveryoftheGoods.AnydelayindeliveryshallbecommunicatedtotheBuyerpromptly,andtheSuppliershallmakeeveryefforttomitigateanypotentialdelay.3.

PaymentTermsTheBuyershallpaytheSupplierthetotalamountof(the"Price")inaccordancewiththefollowingterms:PaymentMethod:Currency:PaymentSchedule:Latepaymentsshallincurapenaltyof%permonth,orsuchotherpenaltyasmaybestipulatedbylaw.4.

QualityandLiabilityTheGoodssuppliedbytheSuppliershallbeofgoodquality,freefromdefects,andshallconformtothespecifications,description,andsamplesagreeduponherein.TheSuppliershallbeliableforanydefectsintheGoodsarisingfrommaterialsandworkmanshipwithinmonthsfromthedateofdelivery.Intheeventofanydefectsornon-conformity,theBuyershallnotifytheSupplierinwritingwithindaysfromthedateofdelivery.TheSuppliershall,atitsdiscretion,repair,replace,orrefundthedefectiveGoodsatitsownexpense.5.

ForceMajeureNeitherPartyshallbeliableforanyfailureordelayinperformanceofitsobligationsunderthisContractifsuchfailureordelayisduetoeventsbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,war,riot,governmentactions,oranyothercircumstanceswhicharebeyondthereasonablecontroloftheaffectedParty(a"ForceMajeureEvent").UpontheoccurrenceofaForceMajeureEvent,theaffectedPartyshallpromptlynotifytheotherPartythereofandshalltakeallreasonablestepstomitigatetheeffectsoftheForceMajeureEventandresumeperformanceassoonasreasonablypossible.6.

IntellectualPropertyAllintellectualpropertyrights,includingbutnotlimitedtotrademarks,patents,designs,copyrights,andothersimilarrights,intheGoodsshallremainwiththeSupplierunlessotherwiseagreedinwriting.TheBuyershallnotuse,copy,ordistributeanyintellectualpropertyoftheSupplierwithoutpriorwrittenconsent.7.

InsuranceTheSuppliershallarrangeandpayforinsurancecoveragefortheGoodsduringtransit.TheinsurancecoverageshallbeforallrisksoflossordamagetotheGoodsuntiltheyaredeliveredtotheBuyer'sdesignatedaddress.8.

GoverningLawThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof.AnydisputesorclaimsarisingoutoforinconnectionwiththisContractshallberesolvedinaccordancewiththelawsofthatjurisdiction.9.

DisputeResolutionAnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrough友好协商。如果协商不能解决，任何一方均可向地有管辖权的法院提起诉讼。10.

EntireAgreementThisContractconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereof.Anypreviousagreements,representations,orunderstandings,whetheroralorwritten,aresupersededbythisContract.11.

AmendmentsAnyamendmentsormodificationstothisContractshallonlybevalidifmadeinwritingandsignedbybothParties.12.

WaiverThewaiverofanyprovisionofthisContractbyonePartyshallnotoperateasawaiverofanyotherprovisionorasawaiverofthatprovisiononanyotheroccasion.13.

SeverabilityIfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,theremainingprovisionsshallcontinueinfullforceandeffect.INWITNESSWHEREOF,thePartiesheretohaveexecutedthisContractasofthedatefirstabovewritten.Supplier:Name:Signature:Date:Buyer:Name:
