2025商务英语合同常用相关口语ContractAgreementContractNo.:DateofExecution:PlaceofExecution:PartyA:NameofParty:TypeofEntity:LegalRepresentative:Title:Address:ContactInformation:PartyB:NameofParty:TypeofEntity:LegalRepresentative:Title:Address:ContactInformation:Recitals:PartyAandPartyB(hereinafterreferredtoasthe"Parties")haveenteredintothisContractbasedonmutualtrustandthedesiretoestablishacooperativerelationship.ThepurposeofthisContractistoregulatetherightsandobligationsofbothPartiesinconnectionwiththe(hereinafterreferredtoasthe"Project").ThePartiesagreetoabidebythetermsandconditionssetforthhereinandtofulfilltheirrespectiveobligationsingoodfaith.Article1:ScopeofCooperation1.1ThecooperationbetweenthePartiesshallcoverthefollowingareas:.1.2Thespecificdetailsofthecooperation,includingbutnotlimitedtotheobjectives,timelines,anddeliverables,areoutlinedintheattached(hereinafterreferredtoasthe"Exhibit").Article2:TermoftheContract2.1ThisContractshallbeeffectiveasofthedateofexecutionandshallcontinueuntil(the"ExpirationDate"),unlessterminatedearlierinaccordancewiththetermsofthisContract.2.2IntheeventthateitherPartywishestorenewthetermofthisContract,awrittennoticeofrenewalshallbeprovidedatleastdayspriortotheExpirationDate.Article3:RightsandObligationsoftheParties3.1PartyAshallberesponsiblefor.3.2PartyBshallberesponsiblefor.3.3BothPartiesshallmakeeveryefforttoensurethesuccessfulcompletionoftheProject,includingprovidingtimelyassistance,support,andresourcesasrequired.Article4:PaymentTerms4.1ThetotalamounttobepaidbyPartytoPartyunderthisContractshallbe(hereinafterreferredtoasthe"ContractPrice").4.2TheContractPriceshallbepaidininstallments,withthefirstpaymentdueonandsubsequentpaymentsdueon.4.3AllpaymentsunderthisContractshallbemadeinaccordancewiththepaymenttermssetforthintheattachedExhibit.Article5:Confidentiality5.1BothPartiesacknowledgethatduringthecourseoftheircooperation,theymayhaveaccesstocertainconfidentialandproprietaryinformation(hereinafterreferredtoasthe"ConfidentialInformation").5.2EachPartyagreestomaintaintheconfidentialityoftheConfidentialInformationandnottodiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.5.3TheobligationsunderthisArticleshallsurvivetheterminationofthisContract.Article6:IntellectualProperty6.1AllintellectualpropertyrightscreatedordevelopedinconnectionwiththeProjectshallbeownedby.6.2ThePartiesshallagreeontheownershipandusagerightsofanyintellectualpropertycreatedordevelopedduringthetermofthisContractintheattachedExhibit.Article7:LiabilityforBreachofContract7.1IntheeventofabreachofthisContractbyeitherParty,thebreachingPartyshallbeliableforcompensatingtheotherPartyforanylosses,damages,orexpensesincurredasaresultofthebreach.7.2Thenon-breachingPartyshallprovidethebreachingPartywithareasonableopportunitytoremedythebreachwithindaysofreceivingwrittennoticeofthebreach.Article8:ForceMajeure8.1IfeitherPartyispreventedfromperformingitsobligationsunderthisContractduetoeventsbeyonditsreasonablecontrol(hereinafterreferredtoasthe"ForceMajeure"),suchasnaturaldisasters,war,strikes,orgovernmentactions,theaffectedPartyshallpromptlynotifytheotherPartyoftheoccurrenceoftheForceMajeureandtheexpecteddurationofitseffects.8.2TheobligationsoftheaffectedPartyshallbesuspendedtotheextentnecessaryduringtheperiodoftheForceMajeure.Article9:AmendmentsandTermination9.1AnyamendmentstothisContractshallbemadeinwritingandsignedbybothParties.9.2EitherPartymayterminatethisContractbygivingwrittennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisContractandfailstoremedysuchbreachwithindaysofreceivingwrittennotice.Article10:DisputeResolution10.1IntheeventofanydisputesarisingoutoforinconnectionwiththisContract,thePartiesshallfirstattempttoresolvethedisputesthroughfriendlynegotiation.10.2Ifthedisputescannotberesolvedthroughnegotiationwithindaysfromthedateofthefirstwrittennoticeofaclaim,eitherPartymayreferthematterto(hereinafterreferredtoasthe"ArbitrationInstitution")forarbitrationinaccordancewithitsrules.10.3TheArbitrationInstitution'sdecisionshallbefinalandbindinguponbothParties.Article11:MiscellaneousProvisions11.1ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesanypriororcontemporaneousunderstandings,agreements,orrepresentations,whetheroralorwritten,regardingthesubjectmatterhereof.11.2IfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,theremainingprovisi
