Parties

ThisLicenseAgreement(the"Agreement")ismadeandenteredintoasof[InsertDate],byandbetween:

[LicenseeName],acompanyorganizedandexistingunderthelawsof[LicenseeJurisdiction]("Licensee"),havingitsprincipalplaceofbusinessat[LicenseeAddress]("Licensor"),and

[LicenseeName],acompanyorganizedandexistingunderthelawsof[LicenseeJurisdiction]("Licensee"),havingitsprincipalplaceofbusinessat[LicenseeAddress]("Licensor").

WHEREAS,LicensorhasdevelopedcertainArtificialIntelligence("AI")technology,hereinafterreferredtoasthe"LicensedTechnology",whichisdescribedmorefullybelow;

WHEREAS,LicenseedesirestoobtainalicensetousetheLicensedTechnologyforthepurposessetforthherein;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thePartiesagreeasfollows:

1.GrantofLicense

1.1SubjecttothetermsandconditionsofthisAgreement,LicensorherebygrantstoLicenseea[InsertLicenseType,e.g.,non-exclusive,exclusive]licensetousetheLicensedTechnologysolelyforthepurposeof[InsertSpecificPurpose,e.g.,developingandmarketingAI-poweredproductX](the"License").

1.2TheLicensedTechnologycomprisesthefollowing,asmoreparticularlydescribedinExhibitAattachedhereto(the"Exhibit"):[Brieflylistkeycomponents,e.g.,AIalgorithmversion2.5,trainedmodelforobjectdetection,associateddocumentation].

1.3Thelicenseisgrantedonaworldwidebasis.

1.4Thetermofthelicenseshallbe[InsertTerm,e.g.,five(5)years]commencingon[InsertStartDate]andendingon[InsertEndDate](the"Term").

1.5LicensorreservesallrightsandtitleinandtotheLicensedTechnologynotexpresslygrantedtoLicenseeunderthisAgreement.

2.Licensee'sObligations

2.1LicenseeshallusetheLicensedTechnologysolelyforthepurposessetforthinSection1.1andshallnotusetheLicensedTechnologyforanyotherpurposewithoutthepriorwrittenconsentofLicensor.

2.2LicenseeshallexerciseduediligencetoprotecttheconfidentialityoftheLicensedTechnologyandanyproprietaryinformationofLicensorthatLicenseemayacquirehereunder.LicenseeshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofLicensor,exceptasrequiredbylaworasnecessarytoenforcethisAgreement.

2.3LicenseeshallcomplywithallapplicablelawsandregulationsinitsuseoftheLicensedTechnology.

2.4Licenseeshallnotreverseengineer,decompile,disassemble,ormakeanyattempttoderivethesourcecodeoftheLicensedTechnology,oranyportionthereof,exceptasexpresslypermittedbylaw.

3.Licensee'sRemuneration

3.1Inconsiderationforthelicensegrantedherein,LicenseeshallpayLicensoralicensefeeinthefollowingmanner:

(a)Aninitiallumpsumpaymentof[InsertAmountandCurrency]payablewithinthirty(30)daysoftheEffectiveDate.

(b)[Optional:Describeotherpayments,e.g.,annualrecurringfees,royaltiesbasedonrevenuegeneratedfromtheLicensedTechnology].

3.2Allpaymentsshallbemadewithoutdeduction,set-off,orcounterclaimandshallbepaidtotheaddresssetforthinSection9.

4.IntellectualPropertyRights

4.1LicensorretainsallownershipandtitleinandtotheLicensedTechnology.ThelicensegrantedhereinislimitedtotherighttousetheLicensedTechnologyassetforthinthisAgreement.

4.2LicenseeacknowledgesthattheLicensedTechnologymaybesubjecttopatentrights,copyrightrights,andotherintellectualpropertyrightsofLicensororthirdparties.LicenseeagreestoindemnifyandholdharmlessLicensorfromanyclaimsordamagesarisingfromLicensee'sinfringementofanythird-partyintellectualpropertyrights.

4.3Ownershipofanymodifications,improvements,oradditionsmadebyLicenseetotheLicensedTechnologyshallbeownedbyLicensor,unlessotherwiseagreedinwritingbyLicensor.LicenseeshallgrantLicensoraroyalty-free,worldwide,perpetual,irrevocable,andnon-exclusivelicensetouse,modify,anddistributesuchmodifications,improvements,oradditions.

5.SupportandTraining

5.1[Optional:DescribesupportandtrainingobligationsofLicensor,e.g.,LicensorshallprovidetrainingtoLicensee'semployeesregardingtheuseoftheLicensedTechnologyatnoadditionalcharge.Licensorshallprovidetechnicalsupportviaemailduringbusinesshours.]

6.UseRestrictionsandProhibitions

6.1Licenseeshallnotsublicense,assign,transfer,orotherwisepermittheuseoftheLicensedTechnologytoanythirdpartywithoutthepriorwrittenconsentofLicensor.

6.2LicenseeshallnotusetheLicensedTechnologyforanypurposethatisunlawful,harmful,orviolatestherightsofanythirdparty.

6.3LicenseeshallnotusetheLicensedTechnologytodeveloporcreateanyproductorservicethatdirectlycompeteswithproductsorservicesofferedbyLicensor.

7.Confidentiality

7.1EachParty("DisclosingParty")shallholdinthestrictestconfidenceallnon-publicinformation("ConfidentialInformation")disclosedbytheotherParty("ReceivingParty")inconnectionwiththisAgreement.Thisincludes,butisnotlimitedto,theLicensedTechnology,businessplans,customerlists,andfinancialinformation.

7.2TheReceivingPartyshalluseConfidentialInformationsolelyforthepurposeoffulfillingitsobligationsunderthisAgreementandshallnotdisclosesuchConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheDisclosingParty.

7.3TheobligationsofconfidentialityshallsurvivetheterminationofthisAgreementforaperiodof[InsertNumber,e.g.,three(3)]yearsfromthedateofdisclosure.

8.TermandTermination

8.1ThisAgreementshallcommenceontheEffectiveDateandcontinueineffectfortheTermasprovidedherein.

8.2EitherPartymayterminatethisAgreementupon[InsertNumber,e.g.,thirty(30)]dayswrittennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinthenoticeperiod.

8.3UponterminationorexpirationofthisAgreement,LicenseeshallimmediatelyceasealluseoftheLicensedTechnologyandshalldestroyallcopiesthereof.LicenseeshallnotusetheLicensedTechnologyoranyderivativethereofaftertermination.

9.Notices

9.1Allnotices,requests,demands,andothercommunicationshereundershallbeinwritingandshallbedeemedgiven(a)whendeliveredpersonally,(b)uponconfirmationofreceiptwhensentbyemail,or(c)upondepositwithanationallyrecognizedovernightcourierserviceortheUnitedStatesPostalService,returnreceiptrequested.

10.GoverningLawandDisputeResolution

10.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[InsertState]withoutregardtoitsconflictoflawprinciples.

10.2Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallbesubmittedtotheexclusivejurisdictionofthefederalorstatecourtslocatedin[InsertCountyandCity,e.g.,CookCounty,Chicago,Illinois]forresolution.ThePartiesherebyirrevocablyconsenttothejurisdictionofsuchcourtsandtovenuetherein.

11.EntireAgreement

11.1ThisAgreement,includingtheExhibit,constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,betweentheParties.

12.Severability

12.1IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceablebyacourtofcompetentjurisdiction,suchprovisionshallbedeemedseveredfromthisAgreementandshallnotaffectthevalidityorenforceabilityofanyotherprovision.

13.Assignment

13.1NeitherPartymayassignortransferanyrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherParty.Anyattemptedassignmentwithoutsuchconsentshallbenullandvoid.

14.Applicability

14.1EachPartyagreesthattheprovisionsofthisAgreementthataredeemedtobeclausesofacontractforthesaleofgoodsundertheUniformCommercialCode,oranysimilarlaws,shallbeconstruedasnon-contractualprovisionsandshallbeofnoeffect.

15.Amendments

15.1Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessmadeinwritingandsignedbyauthorizedrepresentativesofbothParties.

16.ForceMajeure

16.1NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayiscausedbyaforcemajeureevent,whichmeansaneventbeyondthereasonablecontrolofsuchParty,including,butnotlimitedto,actsofGod,war,terrorism,naturaldisasters,governmentactions,orfailureofessentialservices.ThePartyaffectedbyforcemajeureshallpromptlynotifytheotherPartyofsucheventandshallusereasonableeffortstomitigateitseffects.PerformanceunderthisAgreementshallbesuspendedduringtheforcemajeureeventbutshallnotbedeemedindefaultunlesstheeventcontinuesforaperiodof[InsertNumber,e.g.,one(1)]hundredeighty(180)days.

17.Indemnification

17.1LicensorshallindemnifyandholdharmlessLicenseeagainstanylosses,damages,claims,orexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromanythird-partyclaimsallegingthattheLicensee'suseoftheLicensedTechnologyinfringesuponanyvalidintellectualpropertyrightofathirdparty,providedthatLicenseepromptlynotifiesLicensorofsuchclaimsandcooperatesindefendingsuchclaims.Licensor'sindemnificationobligationsshallnotapplyiftheclaimisbasedonLicensee'smodificationoftheLicensedTechnologyoritsuseinamannerinconsistentwiththetermsofthisAgreement.

17.2LicenseeshallindemnifyandholdharmlessLicensoragainstanylosses,damages,claims,orexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromLicensee'sbreachofthisAgreement,includingbutnotlimitedto,itsconfidentialityobligations,userestrictions,andintellectualpropertyindemnificationobligations.

18.1ThisAgreementconstitutestheentireagreementbetwe
