工程设计合作合同协议PartiesThisContractisenteredintoandmadeeffectiveasof[Date],byandbetween:[PartyAName],withitsregisteredaddressat[PartyAAddress]("PartyA"),and[PartyBName],withitsregisteredaddressat[PartyBAddress]("PartyB").Background/PurposeWHEREAS,PartyAisengagedinthebusinessofengineeringdesignandpossessesrelevantexpertise;andWHEREAS,PartyBisinvolvedintheproject[ProjectName]locatedat[ProjectLocation]andrequiresprofessionalengineeringdesignservices;andWHEREAS,bothPartieswishtocollaborateontheengineeringdesignoftheProjectdescribedherein.DefinitionsandInterpretationsForthepurposesofthisContract,thefollowingtermsshallhavethemeaningssetforthbelow:1."Project"referstotheengineeringdesignprojectof[ProjectName]locatedat[ProjectLocation].2."EngineeringDesign"encompassestheservicesprovidedbythePartiesrelatedtotheProject,includingbutnotlimitedtopreliminarydesign,detaileddesign,andconstructiondrawingdesign,asspecifiedintheScopeofWork.3."DesignDeliverables"referstoalldocuments,drawings,calculations,reports,andothermaterialsproducedbythePartiesinconnectionwiththeProject.4."ConfidentialInformation"meansanytechnical,commercial,financial,orotherinformationdisclosedbyaPartytotheotherPartyinwritingandmarkedas"Confidential"or,ifdisclosedorally,summarizedinwritingandmarkedas"Confidential"within30daysoftheoraldisclosure,whichisnotgenerallyknowninthepublicdomain.5."IntellectualPropertyRights"meansallrights,title,andinterestsinanyintellectualpropertycreatedordevelopedinconnectionwiththeProject,includingbutnotlimitedtocopyrights,patents,andtradesecrets.6."GoverningLaw"referstothelawsofthePeople'sRepublicofChina.7."ForceMajeure"referstoeventsthatarebeyondthereasonablecontrolofaParty,including,butnotlimitedto,naturaldisasters,wars,riots,actsofgovernment,andepidemics.ScopeofWork1.ThePartiesshallcollaborateontheengineeringdesignoftheProject[ProjectName].Thespecificscopeofworkshallbeasfollows:[Detaileddescriptionofthedesignworktobeperformed,includingphases(e.g.,conceptualdesign,preliminarydesign,constructiondrawingdesign),specificdisciplines(e.g.,structural,electrical,mechanical),andanyotherrelevantdetails.Forexample:PartyAshallberesponsibleforthestructuralandcivilengineeringdesign,whilePartyBshallberesponsiblefortheelectricalandmechanicalengineeringdesign.ThePartiesshallcoordinateandintegratetheirdesignworktoensureconsistencyandcompleteness.]2.Thedesignshallcomplywithallapplicablenational,industry,andlocalstandardsandcodes,aswellasthespecificrequirementsprovidedbyPartyB.CollaborationMethodThePartiesshallcoordinateandcollaborateontheProjectthroughregularmeetings,electroniccommunication,andothermutuallyagreed-uponmethods.PartyAshalldesignate[NameofPartyARepresentative]asitsrepresentativeforcommunicationandcoordination,andPartyBshalldesignate[NameofPartyBRepresentative]asitsrepresentativeforthesamepurpose.DivisionofLabor[DetaileddescriptionofthespecificdivisionoflaborbetweenPartyAandPartyBforeachphaseoftheProjectandeachdesigndiscipline.EnsurethissectionisconsistentwithandsupportstheScopeofWorksection.]IntellectualPropertyRights1.TheownershipoftheIntellectualPropertyRightsoftheDesignDeliverablesshallbeownedby[Specifytheowner,e.g.,PartyB(iftheprojectisfundedbyPartyB),orPartyAandPartyBjointlyaccordingtotheircontribution].2.ThePartiesshallhavetherighttousetheDesignDeliverablesexclusivelyforthepurposeoftheProject.AnyfurtheruseoftheDesignDeliverablesshallrequirethepriorwrittenconsentoftheowner.3.[Ifapplicable,specifythetreatmentofIntellectualPropertyRightsrelatedtoeachParty'spre-existingworkthatmaybeincorporatedintotheProject.]UseandLicenseRightsTheowneroftheIntellectualPropertyRightsshallhavetherighttolicenseotherstousetheDesignDeliverables,subjecttothetermsandconditionsagreeduponinwriting.Timeline/Schedule1.TheProjectshallbecompletedwithin[TotalProjectDuration]startingfrom[StartDate].2.Thescheduleshallincludethefollowingkeymilestones:[Listthemajormilestoneswiththeirrespectiveduedates.Forexample:ConceptualDesignReview-[Date];PreliminaryDesignSubmission-[Date];ConstructionDrawingDesignSubmission-[Date];ProjectCompletion-[Date].]3.ThePartiesshallupdatethescheduleasnecessaryandagreeonanychangesinwriting.Deliverables1.PartyAshallsubmitthefollowingDesignDeliverables:[ListthespecificdeliverablesforPartyA,includingformat,depth,andquantity.Forexample:Preliminarystructuraldesigncalculationsanddrawings(indigitalandhardcopyform);Constructiondrawingsforstructuralelements(indigitalandhardcopyform).]2.PartyBshallsubmitthefollowingDesignDeliverables:[ListthespecificdeliverablesforPartyB,includingformat,depth,andquantity.Forexample:Preliminaryelectricalandmechanicaldesigncalculationsanddrawings(indigitalandhardcopyform);Constructiondrawingsforelectricalandmechanicalsystems(indigitalandhardcopyform).]3.AllDesignDeliverablesshallbesubmittedtotheotherPartyinaccordancewiththescheduleandinamanneracceptabletotheotherParty.ApprovalProcess1.PartyA'sDesignDeliverablesshallbereviewedandapprovedbyPartyBpriortosubmission.2.PartyB'sDesignDeliverablesshallbereviewedandapprovedbyPartyApriortosubmission.3.FinalDesignDeliverablesshallbesubmittedto[Specifytheauthorityforfinalapproval,e.g.,theProjectOwnerortherelevantgovernmentdepartment]forapproval.CostSharing/FeeStructure1.ThetotaldesignfeefortheProjectshallbe[TotalFeeAmount]RMB.2.PartyAshallbeentitledto[PercentageorAmountofFeeforPartyA]RMBasitsshareofthetotaldesignfee.3.PartyBshallbeentitledto[PercentageorAmountofFeeforPartyB]RMBasitsshareofthetotaldesignfee.4.Thefeeshallbepaidinthefollowinginstallments:[Describethepaymentschedule,includingtheamountofeachinstallment,theconditionsforpayment(e.g.,uponcompletionofamilestone),andtheduedateforeachpayment.]PaymentTerms1.Paymentsshallbemadeby[Specifythemethodofpayment,e.g.,banktransfer]tothedesignatedbankaccountofthereceivingParty.2.[SpecifytheaccountdetailsforeachParty.]3.Allpaymentsshallbemadewithoutdeductionorset-offunlessotherwiseagreedinwriting.ExpensesAllexpensesincurredbyeachPartyinconnectionwiththeProjectshallbebornebythatPartyunlessotherwiseagreedinwriting.QualityStandardsTheDesignDeliverablesshallmeetallapplicablenational,industry,andlocalstandardsandcodes,aswellasthespecificrequirementsprovidedbyPartyB.AcceptanceCriteriaTheacceptanceoftheDesignDeliverablesshallbebasedonthecompliancewiththequalitystandardsandthesatisfactionofPartyB'srequirements.LiabilityforDeficiencyIfanyDesignDeliverableisfoundtobedefectiveornon-compliantwiththeagreedstandards,theresponsiblePartyshallberesponsibleforrectifyingthe缺陷withinareasonableperiodoftimeuponnotificationbytheotherParty.Iftherectificationisnotsatisfactory,theotherPartyshallhavetherightto[Specifytheremedy,e.g.,requirefurtherrectification,reducethefee,orterminatetheContract].ConfidentialityObligationsEachPartyshallkeeptheConfidentialInformationoftheotherPartyconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherParty,exceptasrequiredbylaworregulation.LiabilityforBreachofContract1.IfaPartybreachesanyprovisionofthisContract,theotherPartyshallhavetherighttoclaimdamagesforanylosssufferedasaresultofthebreach.2.IfaPartyfailstomakeapaymentwhendue,thedefaultingPartyshallbeliabletopayinterestatarateof[Specifytheinterestrate,e.g.,thelunarinterestrate]ontheoverdueamountfromtheduedateuntilthedateofpayment.3.[Specifyanyotherremediesforbreach,e.g.,terminationoftheContract.]ForceMajeure1.IfeitherPartyisunabletoperformitsobligationsunderthisContractduetoForceMajeure,itshallpromptlynotifytheotherPartyinwritingandproviderelevantevidence.2.TheaffectedPartyshallbeexcusedfromliabilityforanyfailuretoperformitsobligationsduringtheperiodofForceMajeure.DisputeResolutionAnydisputearisingoutoforinconnectionwiththisContractshallfirstbesettledthroughfriendlynegotiationbetweentheParties.Ifthedisputecannotberesolvedthroughnegotiation,itshallbesubmittedto[Specifythearbitrationinstitution,e.g.,theShenzhenInternationalEconomicandTradeArbitrationCommission]forarbitrationinaccordancewithitsrules.Theplaceofarbitrationshallbe[Specifytheplaceofarbitration,e.g.,Shenzhen].Thelanguageofarbitrationshallbe[Specifythelanguage,e.g.,Chinese].TermThisContractshallcommenceontheEffectiveDateandshallcontinueuntilthecompletionoftheProjectandthesettlementofallaccounts,unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.TerminationProvisionsThisContractmaybeterminatedbyeitherPartyupon[Specifythenoticeperiod,e.g.,thirty(30)days']writtennoticetotheotherPartyiftheotherPartycommitsamaterialbreachofthisContractandfailstoremedysuchbreachwithinthenoticeperiod.GoverningLawThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.NoticesAllnotices,requests,demands,andothercommunicationshereundershallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredmailwithacknowledgmentofreceiptrequested,sentbyovernightcourier,orsentbyemailtotheaddressessetforthbelow:PartyA:[NameofPartyARepresentative][TitleofPartyARepresentative][PartyAAddress][EmailAddressofPartyARepresentative][PhoneNumberofPartyARepresentative]PartyB:[NameofPartyBRepresentative][TitleofPartyBRepresentative][PartyBAddress][EmailAddressofPartyBRepresentative][PhoneNumberofPartyBRepresentative]EntireAgreementThisContract,includingtheSchedule(ifany),constitutestheentireagreementbetweenth
