服务协议(2025年绩效考核标准)PartiesThisServiceAgreement(2025PerformanceEvaluationStandards)isenteredintoandeffectiveasof[Date],in[City,State/Province],byandbetween:[ServiceProviderName],withitsprincipalplaceofbusinessat[ServiceProviderAddress]("ServiceProvider"),and[ServiceReceiverName],withitsprincipalplaceofbusinessat[ServiceReceiverAddress]("ServiceReceiver").ServiceDescriptionandScope1.1ServiceOverview:ServiceReceiverherebyengagesServiceProvidertoprovide[简要描述服务性质和总体目标,例如:市场营销策划与执行服务],aimedatachievingspecificbusinessobjectivesforServiceReceiverduringthetermofthisAgreement.1.2SpecificServiceProjects:Thedetailedservicesencompass,butarenotlimitedto:a.Developmentofcomprehensivemarketingstrategiestargeting[目标市场/客户群体].b.Creationofmarketingcollateral,including,butnotlimitedto,digitaladvertisements,socialmediacontent,andcampaignmaterials.c.Executionofmarketingcampaignsacrossspecifiedchannels,suchas[具体渠道,例如:socialmediaplatforms,emailmarketing,websitepromotions].d.Ongoingmonitoring,analysis,andreportingofcampaignperformance.e.Adherencetoallrelevantmarketinglaws,regulations,andadvertisingstandards.1.3ServicePeriod:ThetermofthisAgreementshallcommenceon[StartDate]andcontinueuntil[EndDate],unlessearlierterminatedinaccordancewiththeprovisionsofthisAgreement.1.4ServiceStandards:ServiceProvidershallperformtheserviceswithdiligence,professionalism,andahighstandardofquality,ensuringalldeliverablesmeetthespecificrequirementsoutlinedintheattachedschedule(ifany)orasmutuallyagreeduponinwritingbybothParties.ServiceProvidershallalsoensuretimelycompletionoftasksandadherencetoagreed-upondeadlines.2025PerformanceEvaluationStandards2.1Purpose:Toensurethequalityandeffectivenessoftheservicesprovided,theperformanceofServiceProviderunderthisAgreementshallbeevaluatedbasedonthefollowing2025PerformanceEvaluationStandards("PerformanceStandards").TheseStandardsshallgoverntheassessmentofServiceProvider'sperformanceandthedeterminationofrelatedcompensationandobligations.2.2PerformanceDimensions:ServiceProvider'sperformanceshallbeassessedacrossthefollowingdimensions:a.CampaignPerformance:MeasuredbytheachievementofpredefinedKeyPerformanceIndicators(KPIs),including,butnotlimitedto:*LeadGeneration:Aminimumof[Number]qualifiedleadsgeneratedthroughtheexecutedcampaigns.*ConversionRate:Achievingaminimumconversionrateof[Percentage]%oncampaigns.*ReturnonInvestment(ROI):EnsuringaminimumROIof[Percentage]%formarketingexpenditures.*CustomerEngagement:Measuringengagementmetricssuchasclick-throughrates,socialmediainteractions,andwebsitetrafficincreasesattributedtothecampaigns.b.QualityofDeliverables:Evaluatedbasedoncreativity,relevance,accuracy,adherencetobrandguidelines,andalignmentwithmarketingobjectives.Deliverablesshallbefreefromsignificanterrorsoromissions.c.TimelinessandEfficiency:Assessmentbasedonthepunctualityofdeliverablesubmissionsandtheeffectivemanagementofprojecttimelines.Unreasonabledelaysshallbesubjecttodisciplinaryaction,potentiallyaffectingcompensation.d.ComplianceandProfessionalism:Adherencetoalllegal,regulatory,andethicalrequirementsinmarketingpractices.Professionalconduct,includingresponsiveness,communication,andcollaborationwithServiceReceiver'steam.2.3QuantitativeIndicators:SpecifictargetsforthePerformanceDimensionsshallbequantifiedasfollows:a.Generateatleast[SpecificNumber]leadsperquarter.b.Achieveaminimumcampaignconversionrateof[SpecificPercentage]%.c.DelivercampaignswithanaverageROIofatleast[SpecificPercentage]%.d.Maintainanaverageclick-throughrateof[SpecificPercentage]%fordigitaladvertisements.e.Increaserelevantwebsitetrafficby[SpecificPercentage]%comparedtothebaselineperiod.2.4DataSourcesandCollection:ServiceProvidershallberesponsibleforcollectingandsubmittingperformancedatatoServiceReceiveronamonthlybasis.Datashallinclude,butnotbelimitedto,campaignstatistics,leadgenerationreports,conversiontrackingdata,customerfeedback,andanyotherrelevantmetricsspecifiedinthisAgreement.ServiceReceiverreservestherighttoverifytheaccuracyandauthenticityofsubmitteddata.2.5EvaluationCycle:Performanceevaluationsshallbeconductedonaquarterlybasisattheendofeachquarter(Q1,Q2,Q3,Q4).2.6EvaluationBody:ServiceReceivershalldesignateitsMarketingDepartment,inconsultationwiththerelevantProjectManager,asthebodyresponsibleforconductingtheperformanceevaluations.2.7ApplicationofEvaluationResults:TheresultsofthePerformanceEvaluationsshallhavethefollowingimplications:a.Compensation:ServiceProvider'squarterlyperformanceshalldirectlyimpactitsvariablecompensation.Aminimumperformancelevel("TargetPerformance")shallentitleServiceProvidertoreceivethestandardservicefeeasagreed.Achieving"ExpectedPerformance"(ahigherstandard)shallqualifyServiceProviderforaperformancebonuscalculatedas[Percentage]%oftheservicefeeforthatquarter.Exceeding"TargetPerformance"orachieving"OutstandingPerformance"(asdefinedbyServiceReceiver)mayresultinadditionalbonusesorincentives,uptoamaximumof[Percentage]%.FailingtomeetTargetPerformancemayresultinareductionoftheservicefeeoradditionalcompensation,subjecttonegotiation.b.ServiceScope:Consistentunderperformancemayleadtoarevisionoftheservicescopeortheintroductionofcorrectiveactions.c.ContractTermination:ApatternoffailuretomeetExpectedPerformance,despitecorrectiveactions,mayconstitutegroundsforterminationofthisAgreementbyServiceReceiver,inaccordancewiththeTerminationprovisionsofthisAgreement.RightsandObligations3.1ServiceProviderObligations:a.Performtheserviceswiththerequisiteskill,care,anddiligence.b.ComplystrictlywiththePerformanceStandardsoutlinedinthisAgreement.c.MaintaintheconfidentialityofServiceReceiver'sinformationasspecifiedintheConfidentialityclause.d.Keepaccuraterecordsofworkperformedanddatarelatedtoperformancemetrics.e.Providetimelyandregularreportsonserviceprogressandperformancedata.f.CooperatefullywithServiceReceiveranditsrepresentativesintheperformanceevaluationprocess.3.2ServiceReceiverObligations:a.ProvideServiceProviderwithallnecessaryinformation,resources,andaccessrequiredtoperformtheservices.b.ReviewandprovidefeedbackonServiceProvider'sdeliverablesandperformancereportswithin[Number]daysofreceipt.c.MaketimelypaymentstoServiceProviderforservicesrendered,subjecttoperformanceevaluationsandthetermsofpayment.d.AppointasinglepointofcontactforcommunicationandcoordinationwithServiceProvider.ServiceFeesandPayment4.1Fees:ServiceProvidershallbeentitledtoreceivepaymentfortheservicesrenderedpursuanttothisAgreementasfollows:a.Afixedfeeof[Amount]USDpermonthforstandardservicedelivery.b.Additionalfeesmaybeapplicableforspecificdeliverablesortasksagreeduponinwriting,suchas[Example].4.2PaymentSchedule:Paymentsshallbedueandpayablewithin[Number,e.g.,30]daysaftertheendofeachcalendarmonthfollowingthemonthinwhichtheserviceswererendered.PaymentsshallbemadetotheaddresssetforthasServiceProvider'sbillingaddressorviabanktransferasspecifiedbyServiceProviderinwriting.4.3PaymentLinkagetoPerformance:Asstipulatedinthe2025PerformanceEvaluationStandardsclause,finalcompensationforeachquartershallbeadjustedbasedontheachievedperformancelevel.Theadjustedfeeshallbecalculatedasfollows:a.BaseFee:[Amount]USD(minimumguaranteedpaymentbasedonTargetPerformance).b.PerformanceBonus:[Percentage]%oftheBaseFeeforeachlevelofachievementaboveTargetPerformance(uptothemaximumbonuslimitof[Amount]USD).4.4Taxes:ServiceProviderisresponsibleforanyandalltaxes,duties,andleviesincurredinconnectionwiththeperformanceofitsservicesunderthisAgreement,exceptforanytaxesdirectlyattributabletoServiceReceiver'srevenuegeneratedfromtheservices.4.5LatePayment:IfServiceReceiverfailstomakeapaymentwhendue,ServiceReceivershallpayinterestontheoverdueamountatarateof[Percentage,e.g.,1.5]%perannum,calculatedfromtheduedateuntilthedateofpayment.PerformanceEvaluationProcess5.1Initiation:ServiceProvidershallsubmittherequiredperformancedataandreportsbythe[SpecificDate,e.g.,5th]dayofthemonthfollowingtheendoftheevaluationperiod.ServiceReceivershallformallyinitiatetheevaluationprocessbyacknowledgingreceiptofthedatawithin[Number]days.5.2DataCollection:ServiceProviderisobligatedtoprovidecompleteandaccuratedata.ServiceReceivermayrequestadditionalinformationorclarificationduringthisphase.5.3EvaluationExecution:ServiceReceiver'sdesignatedEvaluationBodyshallanalyzethesubmitteddataandperformanceagainstthedefinedKPIsandstandards.Apreliminaryevaluationreportshallbedrafted.5.4ResultCommunication:ServiceReceivershallscheduleameetingwithServiceProviderwithin[Number,e.g.,10]daysaftercompletingtheanalysistodiscussthepreliminaryevaluationresults.ServiceProvidershallbegivenanopportunitytoprovidecommentsorexplanations.5.5ResultConfirmation:Followingthediscussion,ServiceReceivershallissueafinalwrittenperformanceevaluationreporttoServiceProviderwithin[Number,e.g.,5]days.ServiceProvidershallhave[Number,e.g.,5]daystoacknowledgereceiptandagreewiththeevaluationresults.DisagreementsshallberesolvedinaccordancewiththeDisputeResolutionclause.IntellectualPropertyRights6.1Ownership:Allintellectualpropertyrights,includingbutnotlimitedtocopyrights,trademarks,andtradesecrets,inandtoallmaterials,reports,data,anddeliverablescreatedbyServiceProviderinthecourseofperformingthisAgreementshallbetheexclusivepropertyofServiceReceiveruponfullpaymentforsuchdeliverables.ServiceProviderwarrantsthatitownsorholdsthenecessarylicensestocreateanddelivertheserviceswithout侵犯任何第三方知识产权。6.2UsageRights:ServiceReceivershallhavetheunlimitedrighttouse,reproduce,modify,distribute,anddisplaythedeliverablesandallassociatedintellectualpropertyforanypurposewhatsoever,withoutfurtherpaymentorlicenserequirements.Confidentiality7.1Definition:"ConfidentialInformation"referstoanynon-publicinformation,whethertangibleorintangible,disclosedbyonePartytotheother,including,butnotlimitedto,businessplans,financialdata,customerlists,marketingstrategies,technicalinformation,andtradesecrets.ThisincludesinformationlearnedduringthetermofthisAgreementandforaperiodof[Number,e.g.,3]yearsfollowingtermination.7.2Obligations:EachPartyshallholdtheotherParty'sConfidentialInformationinstrictconfidenceanduseitsolelyforthepurposeofperformingitsobligationsunderthisAgreement.NeitherPartyshalldiscloseConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty,exceptasrequiredbylaworcourtorder.7.3Exceptions:ConfidentialInformationdoesnotincludeinformationthat:(a)isorbecomespubliclyknownthroughnobreachofthisAgreement,(b)wasindependentlydevelopedbythereceivingPartywithoutaccesstothedisclosingParty'sConfidentialInformation,or(c)isalreadyinthepublicdomain.Liability8.1LimitationofLiability:ServiceProvider'stotalliabilitytoServiceReceiverunderthisAgreementforanyclaims,damages,losses,orexpenses(includingindirect,special,incidental,orconsequentialdamages)shallbelimitedtotheaggregateamountoftheservicefeespaidbyServiceReceivertoServiceProviderduringthetwelve(12)monthsprecedingthedateoftheclaim.ServiceReceivershallnotbeliableforanyindirectorconsequentialdamagesarisingoutoforinconnectionwiththisAgreement.8.2ExclusionofLiability:NeitherPartyshallbeliableforanylossordamagearisingfromtheactsoromissionsoftheotherParty'semployees,agents,orsubcontractors,unlesssuchlossordamageisdirectlycausedbythenegligenceorwillfulmisconductofthePartyitself.8.3NoWarranty:ServiceProviderprovidestheservices"asis"withoutanywarranties,expressorimplied,includingwarrantiesofmerchantabilityandfitnessforaparticularpurpose.ServiceReceivershallusetheservicesatitsownrisk.ForceMajeure9.1Definition:"ForceMajeure"meansanyeventbeyondthereasonablecontrolofaParty,including,butnotlimitedto,actsofGod,war,terrorism,pandemics,naturaldisasters,governmentactions,orfailureofessentialservices(suchaselectricityorinternet),whichmakesperformanceofitsobligationsunderthisAgreementimpossibleorimpracticable.9.2Impact:IfaPartyisaffectedbyForceMajeure,itshallpromptlynotifytheotherPartyinwriting,providingdetailsoftheeventanditsexpectedduration.TheaffectedPartyshallusereasonableeffortstomitigatetheimpact.9.3Relief:DuringtheperiodofForceMajeure,theaffectedPartyshallbeexcusedfromperformingitsobligationsthataredirectlyaffectedbytheevent.PerformanceshallresumeupontheremovalofthecauseofForceMajeure,subjecttoanyadjustmentsagreeduponbytheParties.DisputeResolution10.1Negotiation:ThePartiesagreetofirstattempttoresolveanydisputeorclaimarisingoutoforinconnectionwiththisAgreementthroughgoodfaithnegotiationsbetweenauthorizedrepresentativesoftheParties.10.2Mediation:Ifnegotiationfailstoresolvethedisputewithin[Number,e.g.,30]days,thePartiesagreetosubmitthedisputetomediationadministeredbyamutuallyagreed-uponmediator.Themediatorshallfollowtheprinciplesofmediationandshallnotbeboundbytherulesofevidence.10.3Arbitration:IfmediationisunsuccessfulorifeitherPartydecidesnottomediate,thedisputeshallbefinallysettledbyarbitrationadministeredbythe[SpecifyArbitrationInstitution,e.g.,SingaporeInternationalArbitrationCentre(SIAC)]accordingtoitsrulesineffectatthetimeoftheinstitutionoftheaward.Thearbitrationshallbeheldin[SpecifyCity,e.g.,Singapore].TheTribunalshallconsistof[SpecifyNumber,e.g.,oneorthree]arbitrator(s).ThedecisionoftheTribunal(the"Award")shallbefinalandbindingontheParties.ThecostsofarbitrationshallbesharedequallybythePartiesunlesstheTribunaldeterminesotherwise.10.4Litigation:IfarbitrationisnotinitiatedoriftheAwardisnotenforceable,thePartiesagreetoresolveanyremainingdisputesthroughthecourtsof[SpecifyJurisdiction,e.g.,theHighCourtofSingapore].ThePartiesagreetosubmittothepersonaljurisdictionandvenueofsuchcourts.GoverningLaw11.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe[SpecifyJurisdiction,e.g.,LawsofthePeople'sRepublicofChina],withoutregardtoitsconflictoflawprinciples.TheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(CISG)shallnotapplytothisAgreement.Miscellaneous12.1Notices:Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedgiven(a)whendeliveredpersonally,(b)uponconfirmationofreceiptwhensentbyemail,or(c)upondepositwithareputableovernightcourierservice,or(d)three(3)businessdaysaftermailingbycertifiedorregisteredmail,returnreceiptrequested,addressedasfollows:[ServiceProviderName]Attn:[RecipientName/Department][ServiceProviderAddress][ServiceProviderEmail][ServiceProviderPhoneNumber]AllnoticestoServiceReceivershallbesenttotheaddressessetforthintheintroductoryclausesortosuchotheraddressasServiceReceivermaydesignateinwriting.12.2EntireAgreement:ThisAgreement,includingthe2025PerformanceEvaluationStandards,constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,
