2025年商务英语口语合同协议ThisAgreementismadeandenteredintoasof[EffectiveDate],2025(the"EffectiveDate"),byandbetween[PartyALegalName],havingitsprincipalplaceofbusinessat[PartyAAddress]("PartyA")and[PartyBLegalName],havingitsprincipalplaceofbusinessat[PartyBAddress]("PartyB").RecitalsWHEREAS,PartyAandPartyBdesiretoenterintoabusinessarrangementbasedondiscussionsandnegotiationsconductedinBusinessEnglish("Negotiations");WHEREAS,PartyAintendstoprovide[SpecifyServicesorGoods]toPartyB("Services"),andPartyBintendstoacceptandpayforsuchServices;WHEREAS,thePartieshavereachedanagreementonthetermsandconditionssetforthherein,whichagreementisintendedtosupersedeallprioragreements,bothwrittenandoral,betweenthePartiesconcerningthesubjectmatterhereof;NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thePartiesagreeasfollows:1.DefinitionsandInterpretationsInthisAgreement,unlessthecontextotherwiserequires:(a)"BusinessEnglish"meanstheEnglishlanguageasusedinstandardbusinesscommunicationandtransactions,andanyinterpretationofthetermsofthisAgreementshallbemadeinaccordancewiththeprinciplesofBusinessEnglish.(b)"Services"refersto[DetailedDescriptionofServices],includingbutnotlimitedto[ListSpecificServiceActivities].(c)"EffectiveDate"meansthedatefirstsetforthabove.(d)"Party"meanseitherPartyAorPartyB.(e)"GoverningLaw"meansthelawsofthe[JurisdictionState/Country]withoutregardtoitsconflictoflawprinciples.2.ScopeofServicesPartyAshallprovidetheServicestoPartyBasdescribedinSection1(a).TheServicesshallbeperformedinaccordancewiththestandardsgenerallyacceptedinthe[IndustryName]industryandasfurtherdetailedinanyExhibitattachedhereto.3.TermThisAgreementshallcommenceontheEffectiveDateandshallcontinueineffectforaperiodof[TermLength,e.g.,one(1)year]("Term"),unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.UponexpirationoftheTerm,thisAgreementmayberenewedforsuccessiveperiodsof[TermLength]uponthemutualwrittenconsentoftheParties.4.Payment(a)PartyBshallpayPartyAafeeof[PaymentAmount]fortheServices,payablein[PaymentCurrency].(b)Paymentshallbeduewithin[Number,e.g.,thirty(30)]daysaftertheendofeach[Period,e.g.,month]inwhichServiceswereperformed.(c)Allpaymentsshallbemadewithoutdeduction,set-off,orcounterclaimunlessexpresslyauthorizedinwritingbyPartyA.5.PerformancePartyAshallperformtheServiceswithdiligenceandskill,usingitsbesteffortsandemployingqualifiedpersonnel.PartyBshallprovidePartyAwithallnecessaryinformationandaccessreasonablyrequiredtoperformtheServices.6.AcceptanceofServicesPartyBshallhavetherighttoinspecttheServicesbeingperformed.PartyBshallaccepttheServicesuponcompletioniftheyareperformedinaccordancewiththisAgreement.AcceptanceshallbecommunicatedinwritingtoPartyAwithin[Number,e.g.,ten(10)]daysaftercompletion.7.ConfidentialityEachPartyshallholdinstrictconfidenceallnon-publicinformationdisclosedbytheotherParty("ConfidentialInformation")andshallnotusesuchConfidentialInformationforanypurposeotherthanperformingitsobligationsunderthisAgreement.ThisobligationshallsurvivetheterminationofthisAgreement.8.IntellectualProperty(a)PartyAshallownallrights,title,andinterestinandtotheServicesandanyintellectualpropertycreatedinconnectionherewith.(b)PartyBshallnotreverseengineer,decompile,ordisassembleanysoftwareprovidedbyPartyAaspartoftheServiceswithoutPartyA'spriorwrittenconsent.9.Liability(a)NeitherPartyshallbeliableforanyindirect,incidental,consequential,special,orpunitivedamages,includinglossofprofit,data,orgoodwill,arisingoutoforinconnectionwiththisAgreement,regardlessofwhethersuchdamageswereforeseeable.(b)ThetotalliabilityofeachPartyunderthisAgreementshallnotexceedtheaggregateamountofpaymentsmadebyPartyBtoPartyAunderthisAgreementduringthetwelve(12)monthsprecedingthedateoftheclaim.10.DisputeResolutionAnydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallberesolvedby[ArbitrationorLitigationChoice,e.g.,arbitration]beforethe[ArbitrationInstitutionorCourtName]inaccordancewiththe[ArbitrationRulesorCourtProceduresName].Thearbitrationshallbeconductedin[Language,e.g.,English].ThedecisionshallbefinalandbindingontheParties.11.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[JurisdictionState/Country].12.EntireAgreementThisAgreement,includinganyreferencedexhibits,constitutestheentireagreementbetweenthePartiesandsupersedesallpriororcontemporaneousagreements,understandings,negotiations,anddiscussions,whetheroralorwritten.13.AmendmentsNoamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbyauthorizedrepresentativesofbothParties.14.AssignmentNeitherPartymayassignanyrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherParty,whichconsentshallnotbeunreasonablywithheld.15.SeverabilityIfanyprovisionofthisAgreementisfoundbyacourtofcompetentjurisdictiontobeinvalid,illegal,orunenforceable,theremainingprovisionsshallremaininfullforceandeffect.16.NoticesAllnoticesrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedgivenwhendeliveredpersonally,sentbyreputableovernightcourier,orsentbycertifiedorregisteredmail,returnreceiptrequested,postageprepaid,totheaddressessetforthatthebeginningofthisAgreementortosuchotheraddressaseitherPartymaydesignateinwriting.17.TerminationThisAgreementmaybeterminatedbyeitherPartyupon[Number,e.g.,thirty(30)]dayswrittennoticeforbreachofanymaterialtermorcondition,providedsuchbreachisnotcuredwithinthenoticeperiod.EitherPartymayterminatethisAgreementimmediatelyuponoccurrenceofamaterialbreachwithoutnotice.18.WaiverNowaiverbyeitherPartyofanybreachordefaulthereundershallbedeemedawaiverofanysubsequentbreachordefault.ThefailureofeitherPartytoenforceanyprovisionofthisAgreementshallnotconstituteawaiverofthatprovisionortherighttoenforceitatalatertime.19.ForceMajeureNeitherPartyshallbeliableforanyfailureordelayinperformingit
