2026年跨境电商直播带货协议PartiesThisAgreementisenteredintoandmadeeffectiveasof[Date],byandbetween:PartyA:[BrandNameorCompanyName],acompanyincorporatedunderthelawsof[CountryofIncorporation],withitsregisteredaddressat[RegisteredAddress],hereinafterreferredtoas"PartyA".PartyB:[InfluencerNameorAgencyName],[anindividual/institution]operatingat[Address/ContactInformation],hereinafterreferredtoas"PartyB".BackgroundWhereas,PartyAisengagedinthebusinessoftrading[TypeofProducts]andintendstoutilizelivestreaminge-commerceservicestopromoteandsellitsproductsacrossborders;AndWhereas,PartyBisaqualifiedlivestreamer/agencywithexpertiseandinfluenceinlivestreaminge-commerce,capableofconductinglivestreamingactivitiesforPartyA'sproducts;AndWhereas,thePartieswishtoestablishacooperationrelationshipforlivestreaminge-commercepromotionofPartyA'scross-borderproductsthroughlivestreamingconductedbyPartyB,andtoregulatetheirrespectiverightsandobligationsinthisregard.SubjectMatterandScope1.ThePartiesagreetocarryoutlivestreaminge-commercecooperationforthepromotionandsalesofcross-borderproductsfromPartyAthroughlivestreamingactivitiesconductedbyPartyB.2.Thecooperationisprimarilyconductedonthefollowingplatform(s):[ListofLiveStreamingPlatforms,e.g.,AmazonLive,TikTokShopGlobal,Shoplus,ShopeeLive].ThespecificlivestreamingplatformmaybeadjustedbythePartiesthroughwrittenagreement.3.Thescopeofcooperationincludesthecross-borderpromotionandsalesofthefollowingproductsprovidedbyPartyA:[ListofspecificProductSKUs,Links,ProductNames,ordescribethecategoryofproducts.Example:ProductslistedonPartyA'swebsiteunderthecategory"Electronics>Smartphones"].4.Thetargetmarketforthelivestreaminge-commerceactivitiesisprimarily[ListofTargetCountriesorRegions,e.g.,NorthAmerica,Europe].5.ThetermofthisAgreementshallbe[Number]months/years,commencingfrom[StartDate]andendingon[EndDate].EitherPartymayrenewtheAgreementforanadditionaltermuponexpiration,subjecttomutualwrittenagreement.Ifnorenewalisagreedupon,theAgreementshallautomaticallyterminateuponexpiration.LiveStreamContentandFormat1.PartyBshallberesponsibleforplanning,preparing,andconductingthelivestreamingsessionsaccordingtotherequirementsofthisAgreementandtheactualneedsofPartyA'sproducts.2.Thecontentofthelivestreamshallcomplywithrelevantlawsandregulations,includingtheAdvertisingLaw,E-commerceLaw,ConsumerRightsProtectionLaw,andthelawsandregulationsofthetargetmarket.Itshalltruthfullyandaccuratelyintroducethefeatures,functions,andusageoftheproducts,andshallnotcontainfalse,misleading,orexaggeratedpromotionalstatements.3.PartyBshallensurethatthelivestreamcontentalignswithPartyA'sbrandimageandvalues.Themainthemes,keypointsofproductintroduction,andpromotional话术shallbereviewedandapprovedbyPartyApriortothelivestream.PartyAshallprovidethenecessaryproductinformation,images,andotherpromotionalmaterialstoPartyBinatimelymanner.Thespecificreviewandapprovalprocessshallbe[Describetheprocess,e.g.,PartyBsubmitsthescriptandkeypointsforreviewtoPartyAviaemailatleast3daysbeforethelivestream,PartyArespondswithin24hours].4.Thelivestreamformatshallmeetthefollowingbasicrequirements:[Listspecificrequirements,e.g.,Thedurationofeachlivestreamshallbenolessthan[Number]hours;Productdemonstrationsshallbeincluded;InteractiveactivitiessuchasQ&Aandluckydrawshallbeorganized;ThebackgroundandPartyB'sattireshallbeconsistentwithPartyA'sbrandstyle].5.PartyBshallstrictlyprohibitdiscussingsensitivepoliticaltopics,containingobsceneoroffensivecontent,orinfringingontherightsandinterestsofanythirdpartyduringthelivestream.FeesandSettlement1.ForthelivestreamingservicesprovidedbyPartyB,PartyAshallpayPartyBthefollowingfees:[Specifythefeestructure,e.g.,Afixedslotfeeof[Amount]USDperlivestreamsession;Acommissionof[Percentage]%onthenetsalesvalue(excludingshippingfeesandplatformservicefees)ofordersgeneratedduringthelivestream;OrCPApaymentbasedonthenumberofeffectiveorders转化withinaspecifiedperiodafterthelivestream].2.Thesettlementperiodshallbe[Number]days/monthsaftertheendofthelivestreamperiod/aftertheconfirmationofordereffectiveness.[Specifywhichperiodthefeeisbasedon].3.PartyAshallpaytheagreedfeestoPartyBthrough[Specifypaymentmethod,e.g.,banktransfertoPartyB'sdesignatedbankaccount].Thecurrencyofpaymentshallbe[Specifycurrency,e.g.,USD].Allbankfeesandexchangeratedifferencesshallbeborneby[Specifywhichparty].4.PartyBshallprovidePartyAwithavalidinvoiceforthefeesreceivedwithin[Number]daysafterthesettlementdate.Theinvoiceshallcomplywiththetaxregulationsoftherelevantjurisdiction.5.Thecalculationofthecommission/CPAshallbebasedonordersplacedviathespecificlinks/linksprovidedbyPartyAduringthedesignatedlivestreamperiodonthedesignatedplatform(s),withtheorderstatusconfirmedon[Specifytheconfirmationtime,e.g.,theorderpaymenttime].Ordersplacedthroughotherchannelsoroutsidethedesignatedperiodshallnotbeincludedunlessotherwiseagreedinwriting.RightsandObligationsofPartyA1.ProvidePartyBwithcomplete,accurate,andup-to-dateproductinformation,includingproductdescriptions,specifications,images,videos,andotherpromotionalmaterialsnecessaryforthelivestream.2.ProvidePartyBwithallnecessarycertifications,permits,anddocumentsregardingtheproducts,ensuringtheirlegalityforimportandsaleinthetargetmarket.3.Ensurethattheproductsprovidedmeetthequalitystandardsandarecompliantwiththelawsandregulationsofthetargetmarket.4.PaythefeesowedtoPartyBinaccordancewiththetermsofthisAgreement.5.Reviewandapprovethemaincontent,keypointsofproductintroduction,andpromotional话术ofthelivestreaminatimelymanneraspertheagreedprocess.6.ProvidePartyBwithnecessaryproductinventorysupportandtimelyupdatesonstocklevels.7.CooperatewithPartyBandhandlecustomerinquiries,complaints,andafter-salesissuesarisingfromthelivestreaminatimelyandappropriatemanner,inaccordancewithPartyA'safter-salesservicepolicies.8.ProvidePartyBwiththenecessarydataandreportsontheperformanceofthelivestreampromotion.RightsandObligationsofPartyB1.Conductthelivestreamingactivitiesasplanned,ensuringadherencetotheagreedschedule,format,andcontentrequirements.2.Ensurethatthelivestreamcontentiscreative,engaging,andeffectivelypromotesPartyA'sproducts.Accuratelyandhonestlypresentproductinformation.3.Complywithallapplicablelaws,regulations,andplatformrulesduringthelivestream.4.ReceiveandacceptthefeesasagreedinthisAgreement.5.ActivelypromotePartyA'sproductsduringthelivestreamandmaintainapositiveandconsistentbrandimage.6.CooperatewithPartyAinreviewingandapprovingthelivestreamcontent.7.Protecttheprivacyandconfidentialityofalluserinformationanddataobtainedduringthelivestream.Complystrictlywithallapplicabledataprotectionlawsandregulations(seeSection[Number]DataPrivacyProtection).8.Maintainrecordsofthelivestreamsessions,includingvideorecordings(ifapplicable),interactiondata,andorderdata,foraperiodof[Number]months,andprovidePartyAwithaccesstotheserecordsuponreasonablerequestforthepurposeofperformanceevaluationandrecord-keeping.9.Notusethecontent,images,orintellectualpropertyrightsrelatedtoPartyA'sproductsforanyotherpurposewithoutthepriorwrittenconsentofPartyAaftertheterminationofthisAgreement.IntellectualPropertyRights1.PartyAretainsallrightsandownershipofitstrademarks,logos,brandnames,productdesigns,andotherintellectualpropertyrightsrelatedtotheproducts.PartyBshallusePartyA'sintellectualpropertyrightsonlyforthepurposeofconductingthelivestreamingactivitiesunderthisAgreementandshallnotmodify,alter,orusetheminanywaythatisdetrimentaltoPartyA'sreputation.2.PartyBshallhavetherighttousethecontentcreatedduringthelivestream(includingvideoclips,screenshots,etc.)for[Specifypurpose,e.g.,self-promotion,performanceevaluation]withintheframeworkofthisAgreement.AnyreuseforotherpurposesshallrequirethepriorwrittenconsentofPartyA.3.BothPartiesagreethatanycontentcreatedjointlybybothPartiesshallbeownedby[Specifyownership,e.g.,bothPartiesequally].Thespecificdivisionanduseofjointlycreatedcontentshallbe另行agreeduponinwriting.DataStatisticsandPerformanceReporting1.Thedataforevaluatingtheperformanceofthelivestreamshallprimarilybesourcedfromtheofficial后台dataofthedesignatedlivestreamingplatform(s).2.Thekeyperformanceindicators(KPIs)shallinclude,butnotbelimitedto:numberofviewers,total观看time,interactionrate(comments,likes,shares),click-throughrate(CTR)ofproductlinks,conversionrate,GrossMerchandiseValue(GMV)generated,numberoforders,andaverageordervalue(AOV).3.PartyBshallprovidePartyAwithaperformancereportsummarizingtherelevantdatawithin[Number]daysaftereachlivestreamsession/attheendofeachsettlementperiod.Thereportformatshallbe[Specifyformat,e.g.,Excelspreadsheet,PPTpresentation],andshallclearlyreflectthedatametricsagreedupon.4.PartyAmayrequestadditionaldataoranalysisrelatedtothelivestreamperformanceuponreasonablenotice.PartyBshallcooperateaccordingly.ConfidentialityClause1.EachPartyagreestokeepconfidentialallnon-publicinformation,includingbutnotlimitedtobusinessplans,pricingstrategies,customerlists,technicalinformation,financialdata,andotherproprietaryinformationdisclosedbytheotherPartyduringthetermofthisAgreementandforaperiodof[Number,e.g.,three]yearsthereafter.2.ThePartiesshallusesuchconfidentialinformationsolelyforthepurposeoffulfillingtheirobligationsunderthisAgreementandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty,exceptasrequiredbylaworcourtorder.3.Theobligationsofconfidentialityshallnotapplytoinformationthat:(a)isorbecomespubliclyknownwithoutbreachofthisAgreement;(b)isalreadyinthepossessionofthereceivingPartyatthetimeofdisclosure;(c)isobtainedfromathirdpartywithoutbreachofsuchthirdparty'sobligationsofconfidentiality;or(d)isindependentlydevelopedbythereceivingPartywithoutuseoftheconfidentialinformationofthedisclosingParty.DataPrivacyProtection1.BothPartiesacknowledgeandagreethattheywillcomplywithallapplicabledataprotectionlawsandregulations,includingbutnotlimitedtotheGeneralDataProtectionRegulation(GDPR)intheEU,theCaliforniaConsumerPrivacyAct(CCPA)intheUS,thePersonalInformationProtectionLaw(PIPL)inChina,andanyotherrelevantlocallaws,whencollecting,processing,using,storing,andtransmittingpersonaldataduringthelivestreaminge-commerceactivities.2.PartyBshallensurethatanypersonaldatacollectedfromusersduringthelivestream(e.g.,throughcomments,messages,orderinformation)iscollectedlawfully,fairly,andtransparently.Clearnoticeregardingthepurposeofdatacollectionandtheuser'srightsunderapplicabledataprotectionlawsshallbeprovided[Specifymethod,e.g.,throughaprominentlinktoaprivacypolicyontheplatform,orthroughclearverbalannouncementsduringthelivestream].3.Personaldatacollectedshallbeusedsolelyforthepurposeofprocessingorders,providingcustomerservice,analyzinglivestreamperformance,andpromotingPartyA'sproducts,andshallnotbeusedforanyotherpurposewithouttheexplicitconsentoftheuseroralegitimatebasisunderapplicabledataprotectionlaws.4.BothPartiesshallimplementappropriatetechnicalandorganizationalmeasurestoprotectthesecurityofpersonaldatafromunauthorizedaccess,disclosure,alteration,ordestruction.5.BothPartiesshallassisteachotherincomplyingwithdatasubjectaccessrequests,rectificationrequests,anddataerasurerequestsasrequiredbyapplicabledataprotectionlaws.PartyBshallberesponsiblefordirectlyrespondingtodatasubjectsregardingtheirdatarightswithinitsoperationalscope.6.EachPartyshallberesponsibleforanyliabilitiesarisingfromitsbreachofdataprivacyobligations.LiabilityforBreachofContract1.IfeitherPartybreachesanytermorconditionofthisAgreement,thenon-breachingPartyshallhavetherighttorequirethebreachingPartytoremedythebreachwithinareasonableperiodoftime.Ifthebreachisnotremediedwithinthespecifiedperiod,thenon-breachingPartymay,atitsoption,suspendorterminatetheAgreementandclaimdamagesfromthebreachingParty.2.PartyAshallbeliableforanydamagesresultingfromtheprovisionofcounterfeit,infringing,ornon-compliantproducts.3.PartyBshallbeliableforanydamagesresultingfromtheprovisionoffalse,misleading,ornon-compliantpromotionalcontent,orfromanybreachofitsconfidentialityordataprivacyobligations.4.ExceptasotherwiseprovidedinthisAgreement,neitherPartyshallbeliabletotheotherPartyforanyindirect,incidental,special,consequential,orpunitivedamagesarisingoutoforinconnectionwiththisAgreement.5.ThetotalliabilityofeachPartyunderthisAgreementshallbelimitedto[Specifylimit,e.g.,thefeespaidorpayablebythebreachingPartyunderthisAgreementduringtheprecedingtwelve(12)months].ForceMajeure1."ForceMajeure"meansaneventorcircumstancebeyondthereasonablecontrolofaParty,includingbutnotlimitedtoactsofGod,war,terrorism,riots,strikes,civilcommotion,governmentalactions(includingregulations,orders,oractionsofanygovernmentagency),fire,flood,earthquake,storm,explosion,orothernaturaldisasters,andfailureorinterruptionofessentialutilitiesortelecommunicationsservicesduetoeventsbeyondtheParty'scontrol.2.IfaPartyispreventedordelayedinperformingitsobligationsunderthisAgreementduetoForceMajeure,itshallpromptlynotifytheotherPartyinwritingofthenatureoftheForceMajeureandtheexpecteddurationofitsimpact.3.ThePartyaffectedbyForceMajeureshallusereasonableeffortstomitigatetheeffectsoftheForceMajeureandshallcontinuetoperformitsobligationsassoonasthe阻碍isremoved.4.IftheForceMajeurecontinuesforaperiodof[Number,e.g.,30]consecutivedays,eitherPartyshallhavetherighttoterminatethisAgreementwithoutliability,providedthatsuchterminationisnotifiedtotheotherPartyinwritingatleast[Number,e.g.,15]daysinadvance.GoverningLawandDisputeResolution1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina,withoutregardtoitsconflictoflawsprinciples.2.Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtobesettledamicablythroughnegotiationbetweentheParties.3.Ifthedisputecannotbesettledthroughnegotiationwithin[Number,e.g.,30]daysfromthedateofthelastattemptatnegotiation,thedisputeshallbesubmittedto[SpecifyArbitrationInstitution,e.g.,theChinaInternationalEconomicandTradeCourt(CIETC)oftheChinaCouncilforthePromotionofInternationalTrade]forarbitration.Thearbitrationshallbeheldin[SpecifyCity,e.g.,Beijing].ThePartiesagreetoabidebytheawardrenderedbythearbitrator(s)andshallcarryouttheawardinaccordancewiththeArbitrationRulesof[SpecifyInstitution].[Alternatively,specifylitigation:Thedisputeshallberesolvedbylitigationinthecourtsof[SpecifyCityandCountry,e.g.,thePeople'sCourtofBeijingCity,People'sRepublicofChina].]Amendment,Termination,andCancellation1.AnyamendmentormodificationofthisAgreementshallbeeffectiveonlyifmadeinwritingandsignedbyauthorizedrepresentativesofbothParties.2.EitherPartymayterminatethisAgreementwiththeotherPartyupon[Number,e.g.,30]days'writtennoticeiftheotherPartycommitsamaterialbreachofthisAgreementandfailstoremedysuchbreachwithinareasonableperiodoftime(asdeterminedbythenon-breachingParty)afterreceivingwrittennoticedemandingsuchremedy.3.UponterminationorexpirationofthisAgreement,bothPartiesshall:(a)ceaseallactivitiesunderthisAgreement;(b)returnordestroyallproprietarymaterials,documents,andinformationbelongingtotheotherParty;(c)payalloutstandingfeesandsettleallaccounts;(d)cooperateincompletinganypost-terminationobligations,suchashandlingoutstandingordersandprovidingfinalperformancerep
