香港办公室租赁合同范本2025ThisLeaseAgreement(the"Agreement")ismadeandenteredintoonthis______dayof______,2025,byandbetween:LANDLORD:[FullLegalNameofLandlord],acompanyincorporatedundertheLawsoftheHongKongSAR,withitsregisteredofficeat[RegisteredAddress],havingTaxIdentificationNumber[IRN](hereinafterreferredtoasthe"Landlord");TENANT:[FullLegalNameofTenant],acompanyincorporatedundertheLawsof[CountryofIncorporation],withitsregisteredofficeat[RegisteredAddress],havingTaxIdentificationNumber[IRN](hereinafterreferredtoasthe"Tenant");(Each,a"Party",andcollectively,the"Parties")WHEREAS,theLandlordistheownerofthepropertylocatedat[FullAddressoftheOfficePremises],HongKong(the"Premises");WHEREAS,theTenantdesirestoleasethePremisesfromtheLandlordforthetermhereinafterspecified;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thePartiesagreeasfollows:1.PremisesDescription:ThePremisesshallconsistoftheofficeunitlocatedat[FullAddressoftheOfficePremises],HongKong,includingthefloorarea(s)demarcatedbytheinternalwallswithinthesaidunit,approximately[SquareFootage/Meters]inarea(the"LeasedArea"),asmoreparticularlydescribedintheScheduleattachedheretoandforminganintegralpartofthisAgreement.ThedescriptionincludesallfixturesandfittingscurrentlyexistinginthePremisesatthetimeofhandover,unlessotherwisespecified.2.LeaseTerm:TheLeaseTermshallcommenceon[StartDate,YYYY-MM-DD]("CommencementDate")andendon[EndDate,YYYY-MM-DD]("TerminationDate"),unlessotherwiseextendedinaccordancewiththeprovisionsofthisAgreement.ThePremisesshallbedeliveredfreeofchargetotheTenantontheCommencementDate,subjecttotheconditionssetoutinClause6.3.Rent:TheTenantshallpaytotheLandlordamonthlyrentof[AmountinHKD]("Rent")fortheuseandoccupationofthePremises,payableinadvanceonthe[Day,e.g.,5th]dayofeachcalendarmonthcommencingwiththeCommencementDate.TheRentshallbeinHongKongDollars(HKD)andshallbepaidbychequeorbanktransfertotheLandlord'sdesignatedbankaccount:[BankName],[BranchAddress],AccountNumber:[AccountNumber].ThisRentisa[Chooseone:Gross/Net]rent.IfNet,theTenantshallberesponsibleforpayingthefollowingadditionalcharges,whicharepayableseparatelyandareestimatedat[AmountorPercentage]permonth(eachan"OperatingExpense"):[ListOperatingExpenses,e.g.,ManagementFee,Utilities(electricity,water,gas),Cleaning,CommonAreaMaintenance].TheactualamountsofsuchOperatingExpensesshallbedeterminedbytheLandlordbasedontheactualexpenditureincurredbytheLandlordforthebenefitofthePremisesandtheLeasedArea,andshallbereviewed[Frequency,e.g.,annually]basedonamutuallyagreedmethodorarecognizedindex[SpecifyIndex,ifapplicable].TheTenantshallreceiveastatementoftheestimatedandactualOperatingExpensespriortoeachpaymentdate.4.RentReview:commencingfromthedateofthe[Number,e.g.,third]anniversaryoftheCommencementDate,theRentshallbeadjustedbyapercentage[SpecifyPercentageorFormula,e.g.,+/−5%]basedonthechangeintheHongKongPropertyIndex(HPI)publishedbytheHongKongRealEstateRegistryforthecorrespondingperiod,calculatedasattheendoftheprecedingtwelve(12)calendarmonths.TheadjustedRentshallbeeffectivefromthebeginningoftherelevantrentpaymentperiodfollowingtheannouncementoftheHPI.TheLandlordshallprovidetheTenantwithwrittennotificationoftheHPIandthecalculatedadjustedRentatleast[Number,e.g.,60]dayspriortotheeffectivedate.Thefirstreviewshalltakeplaceonorafter[Date,e.g.,1stJanuary2028].5.SecurityDeposit:AspartialsecurityfortheperformanceofthisAgreementbytheTenant,theTenantshallpaytotheLandlordanamountof[AmountinHKD]("SecurityDeposit")ontheCommencementDate.TheSecurityDepositshallbeheldbytheLandlordforaperiodof[Number,e.g.,two(2)]monthsaftertheTerminationDate,freeofinterest.TheLandlordshallreturntheSecurityDeposit,orsuchamountasmaybedueafterdeductingreasonablecostsincurredbytheLandlordinconnectionwiththerepairofanydamagetothePremisesbeyondnormalwearandtear,orinsatisfactionofanyunpaidRentorOperatingExpensesorothermoniesowingbytheTenantunderthisAgreement,totheTenantwithin[Number,e.g.,twenty-one(21)]daysaftertheexpiryoftheperiodforholdingtheSecurityDeposit,providedthattheTenanthasfulfilledallitsobligationsunderthisAgreementuponTermination.6.TakingPossessionandConditionofPremises:a.TheLandlordshallmakethePremisesavailablefortheTenant'soccupationontheCommencementDateinacleanandsubstantiallyemptycondition,orintheconditionstipulatedintheScheduleifthePremisesarehandedover"fitforpurpose"(containingstandardofficefurnitureandequipment),unlessotherwiseagreedinwriting.b.TheTenantshalltakepossessionofthePremisesonlyaftertheLandlordhasprovidedtheTenantwithasatisfactorycertificateoffitnessforuse,ifapplicable,andtheSecurityDeposithasbeenpaidbytheTenant.c.TheTenantshallbesolelyresponsibleforanydamagetothePremisescausedbyitsnegligenceorwilfulact,orbythenegligenceorwilfulactofitsemployees,agents,orvisitors.UponterminationofthisAgreement,theTenantshallreturnthePremisesinaconditionsuitableforrelettingorreoccupancy,reasonablewearandtearexcepted,unlessthepartieshavepreviouslyagreedotherwiseinwritingorthedamageiscausedbyfactorsbeyondtheTenant'sreasonablecontrol.7.AlterationsandImprovements:a.Noalteration,addition,orimprovementshallbemadeorattemptedtobemadeinortothePremisesbytheTenantwithoutthepriorwrittenconsentoftheLandlord.Consentshallnotbeunreasonablywithheld,conditioned,ordelayed.b.AllcostsandexpensesincurredbytheTenantinconnectionwithanyalterations,additions,orimprovementsshallbeentirelyattheTenant'sownriskandexpense.c.AttheendoftheLeaseTerm,unlessthepartieshaveotherwiseagreedinwritinginadvance,theTenantshalleither:i.ReinstatethePremisestotheconditioninwhichitwasdeliveredtotheTenantontheCommencementDate,orii.Removeallalterations,additions,andimprovementsmadebytheTenantandleavethePremisesinareasonablestateofrepair.d.TheLandlordshallhavetherightoffirstrefusaltopurchaseanyalterations,additions,orimprovementsmadebytheTenantatapricetobeagreeduponbetweentheLandlordandtheTenant,or,iftheycannotagree,tobedeterminedbyanindependentvaluerappointedbytheLandlord.8.UtilitiesandServices:TheTenantshallberesponsibleforthepaymentofallutilitiesandservicesconnectedtoandusedinthePremises,includingbutnotlimitedtoelectricity,water,andtelephoneservices,unlessotherwiseagreedinwriting.9.Insurance:TheTenantshallprocureandmaintainduringtheentiretermofthisAgreementcomprehensiveinsurancecoverages,includingbutnotlimitedto:a.RentInsurance(Tenant'sInterestInsurance)tocoverlossesincurredbytheTenantifthePremisesarerenderedunusableduetodamagebyfire,naturaldisaster,orotherinsuredperils,oriftheLandlorddefaultsinrelettingthePremises.b.PropertyInsurancefortheTenant'sownfixtures,fittings,equipment,andcontentswithinthePremisesagainstallrisksoflossordamage.c.PublicLiabilityInsurancewithaminimumlimitof[AmountinHKD]coveringliabilityfordeath,personalinjury,orpropertydamagecausedtothirdpartiesbytheTenant'soperationsoractivitiesinthePremises.TheLandlordmayrequiretheTenanttoprovideproofofthemaintenanceofsuchinsurancepoliciesatanytime.TheLandlordshallmaintainitsowninsuranceinrespectofthebuildingstructure.10.RepairsandMaintenance:a.TheLandlordshallberesponsiblefortherepairandmaintenanceofallstructuralpartsofthebuildingandcommonareas.b.TheTenantshallberesponsiblefortherepairandmaintenanceofallfixtures,fittings,andequipmentwithinthePremises,andforanydamagecausedtothePremisesortootherpartsofthebuildingcausedbythenegligenceorwilfulactoftheTenantoritsagentsorvisitors.ThecostofsuchrepairsshallbeentirelyattheTenant'sexpense.11.UseofPremises:ThePremisesshallbeusedsolelyforthebusinesspurposesoftheTenantanditsemployeesandvisitors,andnotforanypurposethatisillegal,hazardous,oranuisancetotheneighbourhoodortootheroccupantsofthebuilding.TheTenantshallnotsubletthePremisesnorassignitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheLandlord.12.Assignment:TheTenantshallnotassignitsleaseholdinterestoranyofitsrightsorobligationsunderthisAgreementunderanycircumstanceswithouttheLandlord'spriorwrittenconsent.Anyassignmentwithoutsuchconsentshallbenullandvoid.13.Notices:Allnotices,requests,demands,andothercommunicationsrequiredorpermittedhereundershallbeinwritingandshallbedeemedgiven:a.whendeliveredpersonally;b.one(1)businessdayafterdepositwithareputablecourierservicefornext-daydelivery;c.upontransmissionconfirmationifsentbyemail(providedtheemailaddressisconfirmedtobethatoftheintendedrecipient);ord.three(3)cleardaysafterdepositwiththepostinanenvelopeclearlyaddressedtothePartiesattheirrespectiveaddressessetoutatthebeginningofthisAgreement.AllnoticesshallbeaddressedtothePartiesatthefollowingaddresses:Landlord:[FullAddressofLandlord]Tenant:[FullAddressofTenant]14.GoverningLawandDisputeResolution:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheHongKongSpecialAdministrativeRegionofthePeople'sRepublicofChina.AnydisputearisingoutoforinconnectionwiththisAgreementshallfirstbeattemptedtobesettledamicablythroughgoodfaithnegotiationbetweentheParties.Ifthedisputecannotbesettledwithin[Number,e.g.,thirty(30)]daysfromthedateofthelatternoticecallingfornegotiation,thePartiesagreetosubmitthedisputetothecompetentcourtsofHongKongforadjudication.15.EntireAgreement:ThisAgreement,togetherwiththeSchedulesandAnnexesattachedhereto,constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,betweentheParties.16.Amendments:Noamendment,modification,orvariationofthisAgreementshallbevalidorbindingunlessmadeinwritingandsignedbybothParties.17.Severability:IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceablebyacourtofcompetentjurisdiction,suchinvalidity,illegality,orunenforceabilityshallnotaffectanyotherprovisionhereof,andthisAgreementshallbeconstruedasiftheinvalid,illegal,orunenforceableprovisionhadneverbeencontainedherein.18.Waiver:NowaiverbyeitherPartyofanybreachofthisAgreementshallbedeemedawaiverofanysubsequentbreach.ThefailureoftheLandlordorTenanttoenforceanyprovisionofthisAgreementshallnotbeconstruedasawaiverofsuchprovisionortherighttoenforceitatalatertime.19.ForceMajeure:NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayiscausedbyaForceMajeureEvent(definedaseventsbeyondthereasonablecontroloftheaffectedParty,includingbutnotlimited
