2025年房地产租赁合同中英文版ThisLeaseAgreement("Agreement")ismadeandenteredintoasof[StartDate],2025,byandbetween:LANDLORD:[Landlord'sFullNameorCompanyName][Landlord'sRegisteredAddress][Landlord'sContactInformation:PhoneNumber,EmailAddress]TENANT:[Tenant'sFullNameorCompanyName][Tenant'sRegisteredAddress][Tenant'sContactInformation:PhoneNumber,EmailAddress]DEFINITIONSANDINTERPRETATIONSInthisAgreement,unlessthecontextotherwiserequires:1."Property"referstotherealestatelocatedat[FullPropertyAddress],includingbutnotlimitedtothebuilding(s),structure(s),land,premises,andallfixturesandimprovementscontainedthereinasdescribedinScheduleAattachedheretoandforminganintegralpartofthisAgreement.2."LeaseTerm"meanstheperiodfrom[StartDate]through[EndDate],inclusive.3."Rent"meanstheamountspecifiedforeachperiodassetforthinSection3.4."SecurityDeposit"meansthesumof[Amount]paidbytheTenanttotheLandlordatthecommencementoftheLeaseTerm.5."Utilities"means[Listspecificutilities,e.g.,electricity,water,gas,sewage,garbagecollection,internet]asapplicabletotheProperty.6."Landlord'sObligations"and"Tenant'sObligations"refertotherespectivedutiesandresponsibilitiesoutlinedinSections5and6.7."GoverningLaw"meansthelawsofthePeople'sRepublicofChinaapplicabletotheinterpretationandenforcementofthisAgreement.8."Day"meansanydayunlessthecontextotherwiseprovides.9."Month"meansanymonthunlessthecontextotherwiseprovides.10."Notices"shallbegiveninaccordancewiththeprovisionsofSection13.SUBJECTMATTEROFLEASETheLandlordherebyleasesandtheTenantherebyrentstheProperty(the"LeasedPremises")locatedat[FullPropertyAddress]tobeusedexclusivelyfor[StatedPurpose,e.g.,residentialuseonly].AdetaileddescriptionofthePropertyisattachedheretoasScheduleA.TheLandlordrepresentsandwarrantsthatithasthelegalrighttoleasethePropertytotheTenant.LEASETERMTheLeaseTermshallcommenceon[StartDate]andendon[EndDate].TheLandlordreservestheright,butisnotobligated,torenewtheLeaseTermupontheexpirationoftheLeaseTerm,subjecttothetermsandconditionssetforthintheRenewalClause[ifapplicable,otherwisestateNotApplicable].RENTANDFEES1.RentAmount:TheTenantshallpayarentof[Amount][Currency,e.g.,RMBYuan]foreach[Period,e.g.,month]duringtheLeaseTerm.Rentshallbedueonthe[Number,e.g.,first]dayofeachPeriodandshallbepaidtotheLandlordat[Landlord'sBankAccountDetailsorPaymentAddress].2.SecurityDeposit:TheTenantshallpayaSecurityDepositof[Amount][Currency]totheLandlordatthecommencementoftheLeaseTerm.TheSecurityDepositshallbeheldbytheLandlordforthedurationoftheLeaseTermplus[Number]daysthereaftertocoveranydamages,unpaidrent,orotherliabilitiesoftheTenant.TheLandlordshallreturntheremainingbalanceoftheSecurityDeposittotheTenantwithin[Number,e.g.,30]daysaftertheendoftheLeaseTerm,providedtheTenanthaspaidallrentdue,adheredtothisAgreement,andreturnedthePropertyingoodcondition(reasonablewearandtearexcepted).TheTenantacknowledgesthattheSecurityDepositmaybeoffsetagainstanyamountsowingtotheLandlord.3.OtherFees:TheTenantshallberesponsibleforpayingallutilitiesandotherapplicablefeesassociatedwiththeProperty,includingbutnotlimitedto[Listspecificfees,e.g.,propertytaxesifapplicableunderlocallaw,internetservice].Allsuchfeesshallbepaiddirectlytotherespectiveserviceproviders.TheTenantshallalsoberesponsibleforanyandallrepaircostscausedbytheTenant'snegligenceormisuseofthePropertyoritscontents.4.PaymentMethod:Rentshallbepaidby[Method,e.g.,banktransfer,cash].Alatepaymentfeeof[Percentage,e.g.,0.1%]perdayshallbechargedonanyrentduebutnotpaidbytheduedate,uptoamaximumof[Amount]perlatepayment.IftheTenantfailstopaytherentorotheramountsdueunderthisAgreementafter[Number,e.g.,3]days'notice,theLandlordmayterminatethisAgreementandclaimallunpaidrent,damages,andlegalcosts.LANDLORD'SOBLIGATIONS1.TheLandlordshalldelivertheLeasedPremisestotheTenantfreeofencumbrances,exceptfornormalwearandtear,ontheCommencementDateinaconditionsuitableforthestatedpurpose.2.TheLandlordshallberesponsibleforthemaintenanceandrepairoftheLeasedPremises,includingbutnotlimitedtothestructuralcomponents,roof,plumbing,electricalsystems,andcommonareas[ifapplicable].TheLandlordshallpromptlyremedyanynecessaryrepairsresultingfromnormalwearandtear.TheLandlordshallnotbeliablefordamagesresultingfromTenant'snegligenceorintentionalacts.3.TheLandlordshallprovide,orallowtheTenanttousewithoutadditionalcost,[Listessentialamenities,e.g.,electricity,watersupply]necessaryfortheTenanttooccupytheLeasedPremises.4.TheLandlordshallcomplywithallapplicablelawsandregulationsregardingtherentaloftheProperty.TENANT'SOBLIGATIONS1.TheTenantshallpayallRentandotheramountsdueunderthisAgreementpromptlyandinfull.2.TheTenantshallusetheLeasedPremisessolelyforthepurposespecifiedinthisAgreementandshallnotsublet,assign,transfer,orotherwisepermitotherstooccupytheLeasedPremiseswithoutthepriorwrittenconsentoftheLandlord,whichconsentshallnotbeunreasonablywithheld.AnysuchunauthorizedsublettingorassignmentshallterminatethisAgreement.3.TheTenantshallmaintaintheLeasedPremisesinacleanandsanitaryconditionandshallnotmakeanyalterations,modifications,orimprovementstotheLeasedPremiseswithoutthepriorwrittenconsentoftheLandlord.TheTenantshallbefullyresponsibleforallcostsincurredbytheLandlordduetoanyalterationsmadewithoutconsent.4.TheTenantshallnotusetheLeasedPremisesforanyillegalpurposeorengageinanyactivitythatviolatesapplicablelawsorregulationsoranyrulescontainedintheProperty'smanagementregulations[ifapplicable].5.TheTenantshallberesponsibleforthesafekeepingofthekeys,locks,andanyaccessdevicesfortheLeasedPremisesandshallensuretheLandlordisprovidedwithasetupontermination.TheTenantshallbeliableforanylossordamagecausedbytheloss,theft,ormisuseofsuchkeysordevices.6.TheTenantagreestoexecuteaMove-inChecklistuponentryandaMove-outChecklistupondeparture,detailingtheconditionoftheProperty.TheLandlordandTenantshallmutuallyinspectthePropertyandsigntheChecklists.TheTenantshallberesponsibleforanydamagesormissingitemsnotdocumentedintheMove-inChecklistandnotrestoredorreplacedupondeparture.USERESTRICTIONSANDMAINTENANCETheTenantagreesnottocommitanyactsthatwoulddamagethePropertyorinterferewiththepeacefulenjoymentoftheLandlordorotheroccupants[ifany].TheTenantshallbesolelyresponsiblefortherepairorreplacementofanydamagetothePropertycausedbytheTenant'snegligence,misuse,orintentionalacts.TheLandlordshallberesponsiblefornecessaryrepairsduetonormalwearandtear.MOVE-INANDMOVE-OUTPROCEDURES1.Move-in:TheLandlordandTenantshallmeetontheCommencementDatetoconductafinalinspectionoftheLeasedPremises.TheTenantshallinspectthePropertyandtheattachedScheduleA,notinganyexistingconditionsordamages.BothpartiesshallsignaMove-inChecklistconfirmingtheconditionoftheProperty.TheTenantshallpaythefirstperiod'srentandtheSecurityDepositontheCommencementDate.2.Move-out:TheLandlordandTenantshallmeetonorbeforethedateofterminationtoconductafinalinspectionoftheLeasedPremises.TheTenantshallreturnallkeysandaccessdevicestotheLandlord.TheTenantshallrestoretheLeasedPremisestotheconditionreasonablyexpectedattheendoftheLeaseTerm,excludingnormalwearandtear.TheLandlordandTenantshallsignaMove-outChecklistconfirmingtheconditionofthePropertyandthereturnofkeys.TheLandlordshallreturntheremainingbalanceoftheSecurityDeposittotheTenantwithin[Number,e.g.,30]daysaftertheMove-outdate,followingtheproceduresoutlinedinSection3.VIOLATIONANDTERMINATION1.IfeitherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin[Number,e.g.,30]daysofreceiptofwrittennoticefromtheotherparty,thenon-breachingpartyshallhavetherighttoterminatethisAgreementandclaimalldamagesandlossesresultingfromsuchbreach.2.TheLandlordmayterminatethisAgreementimmediatelyupontheTenant'sbreachofanyofthefollowing:payingrentlateformorethan[Number,e.g.,15]days,engaginginillegalactivitiesontheProperty,causingsubstantialdamagetotheProperty,orsubstantiallyinterferingwiththeLandlord'sorothers'peacefuluseoftheProperty.3.TheTenantmayterminatethisAgreementearlyonlyunderthefollowingconditions:a.TheLandlordbreachesamaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin[Number,e.g.,30]daysofwrittennoticefromtheTenant.b.TheLandlordsubstantiallyfailstomaintaintheLeasedPremisesinahabitablecondition,asdefinedbyapplicablelaws.c.ThePropertybecomesuninhabitableduetoeventsbeyondtheTenant'scontrol(e.g.,naturaldisasters,governmentrequisition)makingitimpracticaltocontinuetheLeaseTerm.UponterminationunderthisSection,theTenantshallpayallrentandotheramountsdueuptothedateoftermination,andtheLandlordshallreturntheremainingbalanceoftheSecurityDeposit(lessanyvaliddeductionsfordamagesorunpaidrent)within[Number,e.g.,30]days.FORCEMAJEURENeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayiscausedbyForceMajeure,definedasaneventbeyondthereasonablecontroloftheaffectedparty,includingbutnotlimitedtofire,flood,earthquake,war,terrorism,orgovernmentalactions(excludingactionsresultingfromthebreachofthisAgreement).TheaffectedpartyshallpromptlynotifytheotherpartyofanyForceMajeureeventandtakeallreasonablestepstomitigateitseffects.IfaForceMajeureeventcontinuesfor[Number,e.g.,90]days,eitherpartymayterminatethisAgreementwithoutliability.GOVERNINGLAWANDDISPUTERESOLUTION1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.2.AnydisputearisingoutoforinconnectionwiththisAgreementshallfirstbeattemptedtoberesolvedthrough友好协商(friendlynegotiation)betweentheparties.3.Ifnegotiationfails,thedisputeshallbesubmittedto[Chooseone:e.g.,thePeople'sCourtwithinthejurisdictionoftheLandlord/Tenant/Propertylocationforlitigation,orspecifyanArbitrationInstitutionandRules,e.g.,仲裁委员会(ArbitrationCommission)accordingtotheXi'anArbitrationRules]forresolution.Thepartyapplyingforarbitrationshallpayallarbitrationfees.NOTICESAllnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedgiven(a)whendeliveredpersonally,(b)uponconfirmationofreceiptwhensentbyemail,or(c)upondepositwithanationallyrecognizedovernightcourierserviceortheU.S.PostalServicecertifiedmail,returnreceiptrequested,postageprepaid.AllnoticesshallbeaddressedtothepartiesattheirrespectiveaddressessetforthatthebeginningofthisAgreementortosuchotheraddressaseitherpartymaydesignatebynotice.MISCELLANEOUS1.EntireAgreement:ThisAgreement,includingScheduleA,constitutestheentireagreementbetweenthepartiesconcerningthesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten.2.Amendments:Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.3.Assignment:TheTenantshallnotassignortransferitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheLandlord.TheLandlordmayassignitsrightsunderthisAgreementonlywiththeTenant'
