2026年无人配送无人机租赁协议PartiesThisLeaseAgreement(the“Agreement”)isenteredintoasof[StartDate],2026(the“EffectiveDate”),byandbetween:Lessor:[Lessor'sCompanyName],havingitsprincipalplaceofbusinessat[Lessor'sAddress](the“Lessor”);Lessee:[Lessee'sCompanyName],havingitsprincipalplaceofbusinessat[Lessee'sAddress](the“Lessee”).DefinitionsandInterpretations1.“Drone”meansthespecificunmannedaerialvehicleidentifiedas[ModelName/Number],SerialNumber[SerialNumber],withthetechnicalspecificationsdetailedinExhibitAattachedhereto,andincludesallassociatedcomponentssuchasthefuselage,propulsionsystem,sensors,camera,communicationequipment,andbatteryasoriginallyfittedorsubsequentlyreplacedbytheLessorwithequivalentoragreed-uponsuperiorspecifications.2.“LeaseTerm”meanstheperiodfrom[StartDate],2026to[EndDate],2026(the“LeaseTerm”).3.“UnmannedDeliveryService”meanstheoperationoftheDronebytheLesseeforthepurposeofdeliveringpackagesorgoodstodesignatedrecipientswithin[SpecifyDeliveryAreaorRegion],strictlyincompliancewithallapplicablelaws,regulations,andoperationalguidelines.4.“NormalOperation”meanstheconditionwheretheDroneisoperatingwithinitsdesignedparameterswithoutanyabnormalwarnings,errors,ormalfunctionsindicatedbyitssystems.5.“Maintenance”includesallactivitiesnecessarytokeeptheDroneinastateofairworthinessandoperationalreadiness,includingroutinechecks,calibrations,cleaning,softwareupdates,andrepairs.6.“Insurance”meanstheinsurancepoliciescoveringtheDroneandrelatedliabilitiesasdescribedinSection8.7.“AgreedFlightHours”meansthetotalaccumulatedflighttimeoftheDroneduringtheLeaseTerm,measuredbytheDrone’son-boardflightrecorder,subjecttoLessor’sverification.LeaseObject1.TheLessorherebyleases,andtheLesseeherebyleases,theDronedescribedinSection1,DefinitionsandInterpretations,tobeusedsolelyfortheUnmannedDeliveryService.2.ThetechnicalspecificationsoftheDronearesummarizedinExhibitAandformanintegralpartofthisAgreement.TheDroneshallbedeliveredtotheLesseein[SpecifyDeliveryLocation]inafullyfunctionalcondition,subjecttoLessor’sstandardinspectionandhandoverprocedure.TermandPeriod1.TheLeaseTermshallcommenceon[StartDate],2026andendon[EndDate],2026,unlessterminatedearlierinaccordancewiththisAgreement.2.UpontheexpirationoftheLeaseTerm,thisAgreementshallautomaticallyterminateunlessbothPartiesexecuteaseparate续租协议(RenewalAgreement)atleast[Number,e.g.,30]dayspriortotheendoftheLeaseTerm,specifyingthetermsandconditionsforfurtherlease.3.EitherPartymayterminatethisAgreementearlybyproviding[Number,e.g.,60]days’writtennoticetotheotherPartyunderthefollowingcircumstances:a.MaterialbreachofanytermorconditionofthisAgreementbytheotherParty,whichsuchPartyfailstocurewithin[Number,e.g.,30]daysafterreceivingwrittennoticethereof.b.Occurrenceofaninsurmountableeventbeyondthereasonablecontrolofthenon-breachingParty(forcemajeure),asdefinedinthisAgreement.c.Bankruptcy,insolvency,orliquidationofeitherParty.d.AchangeintheregulatorylandscaperenderingtheuseoftheDroneforUnmannedDeliveryServiceillegalorprohibitivelyexpensive.4.Terminationunderclauses3(a)or3(c)shallentitlethenon-breachingPartytoclaimallunpaidleasepaymentsanddamages.Terminationunderclause3(b)shallbewithoutpenalty.RentalPayment1.InconsiderationfortheleaseoftheDrone,theLesseeshallpaytheLessoramonthlyrentalfeeof[Amount][Currency],calculatedbasedontheAgreedFlightHoursatarateof[RateperHour][Currency]perhour,roundeduptothenearestwholehour.2.Therentalfeeshallbepayableinadvanceonthe[Number,e.g.,5th]dayofeachmonthcoveringtheprecedingmonth.Paymentsshallbemadeby[Method,e.g.,banktransfer]totheLessor’saccountnumbered[AccountNumber]at[BankName],[BankAddress].3.AllpaymentsunderthisAgreementaredueandpayablewithoutdeduction,set-off,orcounterclaimofanykind.4.IftheLesseefailstomakeanypaymentwhendue,theLessormaychargeinterestontheoverdueamountatarateof[InterestRate][Currency]permonth,calculateddailyfromtheduedateuntilthedateofpayment.5.AllamountsdueunderthisAgreementaresubjectto[Specifyifapplicable,e.g.,ValueAddedTax/HarborandTerminalFees]payablebytheLessee.UseoftheDrone1.TheLesseeshallusetheDronesolelyfortheUnmannedDeliveryServicewithinthedesignatedareaandinstrictcompliancewithallapplicablelaws,regulations,andofficialguidelinesissuedby[AuthoritativeBody,e.g.,CivilAviationAdministrationofChina,localgovernmentauthorities].2.TheLesseeshallensurethatallpersonneloperatingtheDroneholdvalidcertificationsrequiredby[AuthoritativeBody]andcompletethemandatorytrainingprogramsprovidedbytheLessororanauthorizedthirdpartybeforecommencingoperations.3.TheLesseeshallfileallnecessaryflightplansandobtainrequiredauthorizationspriortoeachflight,asmandatedby[AuthoritativeBody].4.Theflightoperationsshallbeconductedduringdaylighthoursunder[SpecifyWeatherConditions,e.g.,goodvisibility,windspeedbelowXm/s]only.5.Themaximumpayloadcapacityshallnotexceed[Weight]kilograms,andtheDroneshallnotcarryprohibitedorhazardousmaterialsasdefinedby[RegulatoryBody].6.TheLesseeshallmaintaintheprivacyandconfidentialityofallindividualswhoseimages,voices,orpersonaldatamaybecapturedorprocessedduringoperations.Alldatahandlingshallcomplywiththe[DataProtectionLaw,e.g.,PersonalInformationProtectionLawofthePRC].7.TheLesseeshallnotmodify,alter,orattempttobypassanysafetyfeaturesorsoftwareoftheDrone.Anyunauthorizedmodificationshallconstituteamaterialbreach.8.TheoperationoftheDroneshallnotinterferewithairtraffic,publicsafety,ortherightsandpropertiesofthirdparties.MaintenanceandRepair1.TheLesseeshallberesponsibleforthedailypre-flightchecks,post-flightchecks,batterychargingandstorage,cleaning,andgeneralcareoftheDronebetweenflights.2.TheLesseeshallpromptlyreportanymalfunction,damage,orlosstotheLessorupondiscovery,providingdetailedinformationandphotographs/videosifpossible.3.Allnecessarymaintenance,includingscheduledcalibrations,softwareupdates,andrequiredrepairs,shallbeperformedbytheLessor’sauthorizedservicepersonnelordesignatedcertifiedtechniciansat[SpecifyLocationorMethod,e.g.,Lessor’smaintenancefacility,usingpartssuppliedbyLessor].4.Thecostofroutinemaintenanceandscheduledinspections,asdefinedbytheLessor’smaintenanceschedule,shallbebornebytheLessor.ThecostofrepairsresultingfromnormalwearandtearshallbebornebytheLessoruptoalimitof[Amount][Currency]perincident,subjecttotheDrone’sinsurancecoverage.Thecostofrepairsresultingfrommisuse,negligence,unauthorizedmodifications,orabnormaloperationshallbebornebytheLesseeinfull.5.TheLesseeshallcooperatefullywiththeLessor’smaintenanceandrepairpersonnel,providingtimelyaccesstotheDroneandnecessarydocumentation.6.AspareDroneshallbeprovidedbytheLessorifmutuallyagreeduponandincludedintherentalfee.AvailabilityandconditionsofthespareDroneshallbespecifiedinExhibitB.Insurance1.TheLessorshallobtainandmaintainthroughouttheLeaseTermcomprehensiveinsurancecoveragefortheDrone,includingbutnotlimitedto:a.HullInsurancecoveringphysicaldamagetotheDroneduetoaccident,theft,orvandalism,withanaggregatelimitof[Amount][Currency].b.Third-PartyLiabilityInsurancecoveringdamagesorinjuriescausedtothirdpartiesbytheDroneoritspayload,withanaggregatelimitof[Amount][Currency].c.CargoInsurance(ifapplicable)coveringlossordamagetothedeliveredgoodsduringtransportbytheDrone,withanaggregatelimitof[Amount][Currency]perincident.2.TheLessorshallnametheLesseeasanadditionalinsuredpartyontheHullandThird-PartyLiabilityInsurancepolicies,withalimitof[Amount][Currency]peroccurrenceforbodilyinjuryandpropertydamagetotheLessee.3.TheLesseeshallbesolelyresponsibleforobtainingandmaintaininginsurancecoverageforitsownoperations,businessinterruption,andliabilityarisingfromtheuseoftheDrone.Suchinsuranceshallhaveaminimumlimitof[Amount][Currency]perclaimand[Amount][Currency]inaggregateliability.4.TheLessorshallprovideproofoftherequiredinsurancepoliciestotheLesseeuponrequest.TheLesseeshallpromptlynotifytheLessorofanychangesininsurancecoverageorclaimsrelatedtotheDrone.5.Intheeventofaninsuranceclaim,theinsuredParty(LessororLesseeasapplicable)shallcooperatefullywiththeinsuranceadjusterandshallindemnifytheotherPartyagainstanyvalidclaimsmadebytheinsurancecompany.LiabilityandIndemnification1.TheLessorshallbeliableforanydamagescausedtotheDronebyinherentdefectsinmaterialsorworkmanship,providedsuchdamagesoccurredduringnormaloperationandwerenotcausedbytheLessee’snegligenceormisuse.2.TheLesseeshallbeliableforalldamagescausedtotheDronebyitsnegligence,misuse,unauthorizedmodification,operationinviolationofthisAgreementorapplicablelaws,orbyanyactoromissionofitsemployees,agents,oroperators.3.TheLesseeshallindemnifyandholdharmlesstheLessor,itsaffiliates,officers,directors,employees,andagentsfromandagainstanyandallclaims,losses,liabilities,damages,costs,andexpenses(includingreasonableattorneys’fees)arisingoutoforrelatedto:a.TheuseoftheDroneforanypurposeotherthantheUnmannedDeliveryServicespecifiedinthisAgreement.b.AnybreachofthisAgreementbytheLesseeoritsoperators.c.Anyclaimbyathirdpartyrelatedtoprivacyinvasion,databreach,orviolationofthird-partyrightsarisingfromtheDrone’soperation.d.AnyclaimrelatedtothepayloaddeliveredbytheDroneifsuchclaimisattributabletotheLessee’spackaging,loading,orhandlingprocedures.4.NeitherPartyshallbeliableforindirect,consequential,special,orpunitivedamagesarisingfromtheuseoftheDrone,exceptasexpresslystatedherein.5.Intheeventofaninsurmountableforcemajeureevent,neitherPartyshallbeliableforanyfailuretoperformitsobligationsduetosuchevent,butshallnotifytheotherPartypromptlyandtakereasonableeffortstomitigatethedamages.Confidentiality1.EachPartyagreestokeepconfidentialallnon-publicinformationdisclosedbytheotherPartyduringthetermofthisAgreement,includingbutnotlimitedtotheDrone’sspecifications,operationaldata,financialinformation,customerlists,businessstrategies,andtechnicalknow-how.2.Thisconfidentialityobligationshallnotapplytoinformationthat:(a)isorbecomespubliclyknownwithoutbreachofthisAgreement;(b)isalreadyinthepublicdomainatthetimeofdisclosure;(c)isobtainedfromathirdpartywithoutbreachofsuchthirdparty’sobligations;or(d)isindependentlydevelopedbythereceivingPartywithoutuseofthedisclosingParty’sconfidentialinformation.3.ThereceivingPartyshallusethedisclosedconfidentialinformationsolelyforthepurposeoffulfillingitsobligationsunderthisAgreementandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty,exceptasrequiredbylaworcourtorder.4.UponterminationofthisAgreement,theLesseeshallreturnordestroyallcopiesoftheLessor’sconfidentialinformation.Termination1.ThisAgreementmaybeterminateduponitsnaturalexpirationasperSection2,TermandPeriod.2.EitherPartymayterminatethisAgreementearlyundertheconditionssetforthinSection2,Termination.3.TerminationforanycauseshallnotreleaseeitherPartyfromitsobligationsunderthisAgreement,includingthepaymentofallduerentandotheramounts,unlessotherwisespecifiedherein.4.IntheeventofterminationorearlywithdrawaloftheLessor,theLessorshalleitherreturntheDronetotheLesseeintheconditionitwasdelivered,adjustedfornormalwearandtear,orprovideanequivalentreplacementDrone,atLessor’soptionandexpense.ReturnoftheDrone1.UponexpirationoftheLeaseTermorterminationofthisAgreementforanyreason,theLesseeshallpromptlyreturntheDronetotheLessorat[ReturnLocation],subjecttoLessor’swritteninstructions.2.TheDroneshallbereturnedinthesameconditionasdelivered,includingallcomponents,accessories,manuals,anddatastoragedevices,exceptfornormalwearandtearconsistentwith[Number,e.g.,500]hoursofoperationorasmutuallyagreed.TheLesseeshallberesponsibleforthecostofcleaningtheDronepriortoreturn.3.TheLessorshallinspectthereturnedDroneanditsrecords.IftheconditionoftheDrone,records,orcomponentsisnotasagreed,theLessormaychargetheLesseeforthecostofrestoration,repair,orreplacement,andmaydeductsuchcostsfromthefinalleasepayment.4.TheLesseeshallberesponsibleforallcostsassociatedwiththetransportationandsafekeepingoftheDronefromthetimeitisdesignatedforreturnuntilitisactuallydeliveredtotheLessor.5.FailureoftheLesseetoreturntheDronewithin[Number,e.g.,15]daysafterterminationorexpirationoftheLeaseTermshallconstituteabreach,entitlingtheLessortochargeadailystoragefeeof[Amount][Currency]andtopursueallremediesavailableunderlaw,includingtherighttoretaintheDroneandclaimdamages.GoverningLawandDisputeResolution1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople’sRepublicofChina,withoutregardtoitsconflictoflawsprinciples.2.Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtoberesolvedthroughgoodfaithnegotiationbetweentheParties.3.Ifthedisputecannotberesolvedthroughnegotiationwithin[Number,e.g.,30]days,thedisputeshallbesubmittedto[SpecifyArbitrationInstitution,e.g.,theChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)]forarbitration.Thearbitrationshallbeconductedin[City]inaccordancewiththe[ArbitrationRulesofCIETAC]effectiveatthetimeofthesubmission.TheawardrenderedbythearbitraltribunalshallbefinalandbindinguponbothParties.4.[Alternatively,iflitigationispreferred:Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreementshallbesubmittedtothecompetentpeople’scourthavingjurisdictionover[SpecifyCourt,e.g.,theDistrictPeople’sCourtof[City]District]inaccordancewiththelawsofthePeople’sRepublicofChina.]Miscellaneous1.Notices:Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygiven:a.Whendeliveredpersonally.b.Uponconfirmationofreceiptwhensentbyemail.c.Onebusinessdayafterdepositwithanationallyrecognizedovernightcourierserviceorsentbyregisteredmail(returnreceiptrequested,postageprepaid).d.ThreebusinessdaysafterpublicationinanewspaperofgeneralcirculationinthecitywherethePartyreceivingthenoticeislocated.2.EntireAgreement:ThisAgreement,includingExhibitAandExhibitB,constitutestheentireagreementbetweenthePartiesconcerningthesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten.3.Severability:IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceablebyacourtofcompetentjurisdiction,suchprovi
