1.Recital.声明条款

2.Definition,an.Interpretation.定义与解释

2.1InthisContract（在本合同中），thefollowingterms

3.1CooperationContent（合作内容）

3.6.2ThebreachingParty（违约方）shallcompensatethe

3.7ForceMajeure（不可抗力）

3.7.1IfeitherParty（任何一方）ispreventedfrom

performingitsobligationsunderthisContract（无法履行本合

同项下之义务）duetoForceMajeure（由于不可抗力事件），it

shallpromptlynotifytheotherParty（应立即通知另一方）

andprovideevidencethereof（提供相关证明）。

3.7.2Insuchcases（在发生不可抗力时），theParties

（双方）shallconsultandmakeeveryefforttomitigatethe

effectsoftheForceMajeure（双方应协商并尽一切努力减轻不可

抗力的影响）。

3.8DisputeResolution（争议解决）

3.8.1Anydisputesarisingoutoforinconnectionwith

thisContract（本合同引起的或与本合同有关的任何争议）shall

firstbesettledbyfriendlynegotiationbetweentheParties

（应通过双方友好协商解决）。

3.8.2Ifthedisputescannotberesolvedthrough

negotiation（如果协商未能解决争议）,eitherPartymaysubmit

3.9GoverningLawandJurisdiction（法律适用与管辖权）
