mtothisContract'sspecifications,uponshipment.*ThebuyershallhavetherighttoinspecttheGoodsattheseller'spremisespriortoshipment.Thesellershallbearthecostandriskfortheinspection.ThebuyershallalsohavetherighttoconductafinalinspectionupondeliveryoftheGoodsatthedeliverypoint,providedtheinspectionisconductedwithin[InsertNumber,e.g.,15]daysafterarrival.IftheGoodsfailtomeettheContractspecificationsuponsuchinspection,thebuyershallnotifythesellerinwritingwithin[InsertNumber,e.g.,5]daysoftheinspectiondate.Thesellershallthenhave[InsertNumber,e.g.,30]daystorectifythedefectsorreplacethenon-conformingGoodsatitsownexpense.Ifthesellerfailstorectifywithinthespecifiedperiod,thebuyershallhavetherighttorejecttheGoodsandclaimdamages.*Warranty:ThesellerwarrantsthattheGoodsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[InsertNumber,e.g.,12or24]monthsfromthedateofdeliverytothebuyer,unlessthedefectsarecausedbyimproperuseorabnormalconditions.Duringthewarrantyperiod,thesellershall,atitsoption,repairorreplaceanydefectivepartswithoutcharge,uponthebuyer'snotificationandreturnofthedefectiveitems.7.DocumentationThesellershallprovidethefollowingdocumentsinEnglish:1.CommercialInvoiceintriplicate.2.PackingListintriplicate.3.BillofLading(orothertransportdocumentasapplicableunderIncoterms®)consignedtotheorderof[Buyer'sName]marked"freightcollect"orasinstructedbythebuyer.4.CertificateofOrigininduplicate.5.MaterialTestCertificates(MTCs)foreachsetofGoods.6.CertificateofConformityissuedbytheseller'sauthorizedinspector.7.CertificateofClass/ClassNotation(ifapplicable)issuedby[ClassSocietyName].8.[Anyotherdocumentsspecificallyrequestedbythebuyer].8.RiskTransferRiskoflossordamagetotheGoodsshallpassfromthesellertothebuyerwhentheGoodsarehandedovertothefirstcarrierattheplacespecifiedintheCIPIncoterms®term(orwhentheGoodsareplacedatthedisposalofthebuyeratthenamedportofshipmentforshipmentunderCIP),asdefinedintheIncoterms®2020Rules.9.GoverningLawandDisputeResolution*GoverningLaw:ThisContractandanydisputesarisingoutoforinconnectionwithitshallbegovernedbyandconstruedinaccordancewiththelawsofthe[InsertJurisdiction,e.g.,EnglishLawsofEnglandandWales]withoutgivingeffecttoanychoiceorconflictoflawprovisionorrule.*DisputeResolution:Anydispute,controversy,orclaimarisingoutoforrelatingtothisContract,includinganyquestionregardingitsexistence,validity,ortermination,shallbefinallysettledbyarbitrationadministeredbytheLondonInternationalArbitrationCourt(LIAC)inaccordancewiththeRulesofArbitrationofLIACforthetimebeinginforce.Thearbitrationshallbeheldin[InsertCity,e.g.,London],England.ThelanguageofarbitrationshallbeEnglish.TheTribunalshallconsistof[InsertNumber,e.g.,oneorthree]arbitrator(s)appointedinaccordancewiththeRulesofLIAC.Theawardrenderedshallbefinalandbindingonbothparties.10.ForceMajeureNeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractifsuchfailureordelayiscausedbyaForceMajeureevent.ForceMajeuremeansaneventoreventualitybeyondthereasonablecontroloftheaffectedparty,including,butnotlimitedto,actsofGod,war,terrorism,riots,strikes,civilcommotion,fire,flood,explosion,oranyothereventwhichmakesitsperformanceofthisContractmateriallyimpossibleorimpracticable.Thenon-affectedpartyshallpromptlynotifytheotherpartyinwritingoftheoccurrenceofaForceMajeureeventandshalltakeallreasonablestepstomitigateitseffects.TheaffectedpartyshallbeexcusedfromperformingitsobligationsforthedurationoftheForceMajeureeventandforareasonableperiodthereaftertoovercometheeffectsthereof.11.ConfidentialityBothpartiesagreetokeepconfidentialallinformationrelatingtothisContractandthebusinessoftheotherpartythatisdisclosedduringthetermofthisContractandforaperiodof[InsertNumber,e.g.,two]yearsthereafter.Thisobligationshallnotapplytoinformationwhich:(a)isorbecomespubliclyknownwithoutbreachofthisContract;(b)isalreadyinthepossessionofthereceivingpartywithoutconfidentialityobligation;(c)isobtainedfromathirdpartywithoutbreachofsuchthirdparty'sobligations;or(d)isrequiredbylaworcourtorder.12.AmendmentsandVariationsAnyamendment,modification,orvariationtothisContractshallbedeemedeffectiveonlyifmadeinwritingandsignedbyauthorizedrepresentativesofbothBuyerandSeller.13.NoticesAllnotices,requests,demands,andothercommunicationsrequiredorpermittedhereundershallbeinwritingandshallbedeemedtohavebeendulygiven:(a)whendeliveredpersonally;(b)upontransmissionconfirmationifsentbyemail;(c)onebusinessdayafterdepositwithareputableovernightcourierservice;or(d)threebusinessdaysaftermailingbyregisteredorcertifiedmail,returnreceiptrequested,postageprepaid.AllnoticesshallbeaddressedtothepartiesassetforthinSection1ortosuchotheraddressoremailaseitherpartymaydesignateinwriting.14.EntireAgreementThisContract,includingtheSchedule(s)ifany,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetheroralorwritten.15.Termination
