Parties

ThisAgreementisenteredintoandmadeeffectiveasof[EffectiveDate],2026(“EffectiveDate”),byandbetween[Principal'sCompanyName],havingitsprincipalplaceofbusinessat[Principal'sAddress](“Principal”),and[FreightForwarder's/Agent'sCompanyName],havingitsprincipalplaceofbusinessat[FreightForwarder's/Agent'sAddress](“FreightForwarder/Agent”),and[Carrier'sCompanyName],havingitsprincipalplaceofbusinessat[Carrier'sAddress](“Carrier”).

ForthepurposeofthisAgreement,unlessotherwisespecified,“Principal”shallmean[Principal'sCompanyName],“FreightForwarder/Agent”shallmean[FreightForwarder's/Agent'sCompanyName],and“Carrier”shallmean[Carrier'sCompanyName].Eachshallbereferredtoindividuallyasa“Party”andcollectivelyasthe“Parties”.

Background

WHEREAS,thePrincipaldesirestoengagetheservicesoftheFreightForwarder/Agenttoarrangeforthetransportationofcoldchaingoods;and

WHEREAS,theFreightForwarder/AgentdesirestoengagetheservicesoftheCarriertoperformsuchtransportationservices;and

WHEREAS,theCarrierdesirestoperformsuchtransportationservices;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thePartiesheretoagreeasfollows:

ServiceScope

1.1TransportationServices:TheFreightForwarder/AgentshallarrangeforthetransportationofthePrincipal'scoldchaingoods(“Goods”)underthisAgreement.Thetransportationshallbevia[SpecifyMode(s)ofTransport,e.g.,road,rail,air,water,ormultimodaltransportation]from[OriginCity/Port,Address](“Origin”)to[DestinationCity/Port,Address](“Destination”).

1.2GoodsDescription:TheGoodsbeingtransportedunderthisAgreementare[Describethenature,type,andgeneralquantityoftheGoods,e.g.,perishablefooditems,pharmaceuticalproducts,biologicalsamples]requiringcoldchainmanagementduringtransit.ThespecificlistofGoods,quantities,andexacttemperaturerequirementsforeachshipmentshallbeprovidedbythePrincipaltotheFreightForwarder/Agentpriortoscheduling.

1.3TemperatureSpecifications:TheCarriershallmaintainthetemperatureoftheGoodswithinthefollowingspecifiedrangeduringtheentiretransportationperiod:[SpecifyTemperatureRange,e.g.,2°Cto8°C,or-18°C].TheCarriershallensurethatthetemperaturedeviationdoesnotexceed[Specifyallowabledeviation,e.g.,±2°C]ofthespecifiedrangeforanycontinuousperiodexceeding[Specifytimeperiod,e.g.,15minutes].ContinuousmonitoringoftheGoods'temperatureshallbeconductedusingapprovedtemperaturerecordingandtrackingdevicesinstalledwithinthetransportationunit.

1.4MonitoringandDocumentation:TheCarriershallutilizedevicescapableofsimultaneouslyrecordingthetemperatureandlocationoftheGoodsthroughoutthetransportationjourney.TheCarriershallprovidethePrincipalwithaccurateandcompletetemperaturerecordsandlocationdatageneratedbythesedeviceswithin[Specifytimeframe,e.g.,24hours]followingthecompletionoftheshipment.Thetemperaturerecordsshallbepartoftheofficialtransportdocumentation.

1.5CompliancewithStandards:AllpartiesshallperformtheservicesunderthisAgreementincompliancewithapplicablenationalandinternationalcoldchainstandardsandregulations,includingbutnotlimitedto[Listrelevantstandards,e.g.,ISO9001,ISO22000,HACCPprinciples,FDA/GMPguidelines,orspecificnationalfoodsafetyandpharmaceuticaltransportregulations].TheCarriershallpossessthenecessarycertificationsandqualificationstohandlethetypeofGoodsbeingtransported.

1.6PackagingRequirements:ThePrincipalshallensurethattheGoodsarepackagedusingappropriateinsulatedmaterials[e.g.,EPS,EPP,vacuuminsulatedpanels]thatmeettherequiredthermalinsulationstandardsformaintainingthespecifiedtemperaturerangeduringtransit,asreasonablyrequestedbytheFreightForwarder/AgentorCarrier.

ResponsibilitiesofthePrincipal

2.1ThePrincipalshallprovidetheFreightForwarder/AgentwithallnecessaryandaccurateinformationregardingtheGoods,includingbutnotlimitedtoacompletedescription,quantity,weight,volume,value,origin,destination,andthespecifictemperaturerequirementsforeachshipmentpriortothescheduledtransportationdate.

2.2ThePrincipalshallberesponsibleforallcostsanddutiesassociatedwiththeexportandimportoftheGoods,ifapplicable,andshallensurecompliancewithallrelevantcustomsandregulatoryrequirementsattheOriginandDestination.

2.3ThePrincipalshallpayalltransportationfees,charges,andexpensesasagreeduponinthisAgreementandoutlinedintheapplicableinvoicesprovidedbytheFreightForwarder/AgentorCarrier.

2.4ThePrincipalshallpromptlynotifytheFreightForwarder/AgentofanychangestotheGoodsinformationorotherdetailsprovidedunderthisAgreementthatmayaffectthetransportationservices.

2.5ThePrincipalshallindemnifyandholdharmlesstheFreightForwarder/AgentandCarrierfromandagainstanyclaims,losses,damages,liabilities,andexpensesarisingoutofanyinaccuracies,errors,omissions,ormisrepresentationsprovidedbythePrincipalregardingtheGoodsortheirhandlingrequirements.

ResponsibilitiesoftheFreightForwarder/Agent

3.1TheFreightForwarder/AgentshalluseitsreasonableeffortstoarrangetransportationforthePrincipal'sGoodswithaqualifiedCarrierthatmeetsthespecifiedcoldchainrequirementsoutlinedinthisAgreement.

3.2TheFreightForwarder/Agentshallcoordinateandarrangethelogisticsofthetransportation,includingbutnotlimitedtobookingspacewiththeCarrier,schedulingpickup,arrangingfornecessarydocumentation,andcoordinatingdeliveryattheDestination.

3.3TheFreightForwarder/Agentshallmonitorthetransportationprocess,utilizingthetemperaturemonitoringdataprovidedbytheCarrier,andshallpromptlynotifythePrincipalifanytemperatureanomaliesorpotentialissuesariseduringtransit,inaccordancewiththeproceduresoutlinedinthisAgreement.

3.4TheFreightForwarder/AgentshallprovidethePrincipalwithallrelevanttransportdocumentation,includingthetemperaturerecordsandtrackinginformation,uponthecompletionofthetransportationservice.

3.5TheFreightForwarder/AgentshallactasanintermediaryandrepresentativeofthePrincipalindealingswiththeCarrierregardingthetransportationarrangementsandanypre-arrangedclaimsproceduresunderthisAgreement.

ResponsibilitiesoftheCarrier

4.1TheCarriershallhavethenecessaryequipment,vehicles(e.g.,refrigeratedtrucks),containers(e.g.,insulatedcontainers),andfacilities(e.g.,refrigeratedwarehouses)suitableandmaintainedforcoldchaintransportationtoperformtheservicesunderthisAgreement.

4.2TheCarriershallensurethatalltransportationunitsusedfortheGoodsareequippedwithandfunctioningcorrectlytemperaturemonitoringandrecordingdevicescapableofmeetingthespecifiedtemperaturerequirementsandrecordingintervals.

4.3TheCarriershalltransporttheGoodsfromOrigintoDestination,maintainingthetemperaturewithinthespecifiedrangethroughoutthejourney,andensuringtheGoodsaredeliveredinthesameconditiontheywereaccepted,exceptfornormaltransitwearandtearordamageresultingfromtheinherentnatureoftheGoodsorinadequatepackagingprovidedbythePrincipal.

4.4TheCarriershallperformallpickupanddeliveryoperationswithreasonablecareanddiligence,ensuringproperhandlingoftheGoodstopreventdamage.

4.5TheCarriershallprovidethePrincipalwithtimelyaccesstothetemperaturerecordsandtrackingdatauponrequestandshallcooperatefullywiththePrincipalandtheFreightForwarder/AgentintheeventofatemperaturedeviationorGoodsdamageclaim.

4.6TheCarriershallcomplywithallapplicablelaws,regulations,andstandardsrelatedtothetransportationofGoods,includingbutnotlimitedtotransportationsafety,environmentalprotection,andcustomsrequirements.

FeesandPaymentTerms

5.1FeeStructure:ThePrincipalshallpaytheFreightForwarder/Agentafeeof[SpecifyFeeStructure,e.g.,X%ofthefreightvalue,orafixedamountpershipment,orYamountperkilogram/metercube]forarrangingthetransportationservicesunderthisAgreement.Inaddition,thePrincipalshallbearallothercostsdirectlyincurredbytheCarrierforthetransportation,includingbutnotlimitedtofuelsurcharges,tolls,bridgefees,portcharges,customsclearancefees,insurancepremiums,driverwages,vehiclemaintenance,andanyfeesassociatedwithtemperaturemonitoringandrecord-keeping.TheCarriershallinvoicethePrincipalfortheseadditionalcostsseparately.

5.2PaymentTerms:AllpaymentsunderthisAgreementshallbemadewithoutdeduction,set-off,orcounterclaim.InvoicesshallbesubmittedbytheFreightForwarder/Agent[orCarrier,asagreed]within[Specifynumber]daysfollowingthecompletionofthetransportationservice.Paymentshallbedueandpayablewithin[Specifynumber,e.g.,30,60]daysfromthedateofreceiptoftheinvoiceandproofofdelivery[andtemperaturerecords,ifrequiredbyinvoiceterms].Allpaymentsshallbemadein[SpecifyCurrency,e.g.,USD,EUR,CNY]tothebankaccountspecifiedbytheinvoicingParty.

RiskofLoss

6.1Theriskofloss,damage,ordeteriorationoftheGoodsshallremainwiththePrincipaluntiltheGoodsaredulydeliveredtotheCarrierattheOrigin.FromthetimetheGoodsarehandedovertotheCarrierattheOriginfortransportation,theriskofloss,damage,ordeteriorationshallpasstotheCarrier,providedthatsuchloss,damage,ordeteriorationwasnotcausedbytheCarrieroritsemployees.

6.2FromthetimetheGoodsaredeliveredtothePrincipaloritsdesignatedagentattheDestination,theriskofloss,damage,ordeteriorationshallpassbacktothePrincipal.

6.3TheCarriershallbeliableforanyloss,damage,ordeteriorationoftheGoodsthatoccursduringitstransportation,providedthatsuchloss,damage,ordeteriorationwascausedbytheCarrier'snegligenceorwillfulmisconduct.

Insurance

7.1Principal'sInsurance:ThePrincipalshallprocureandmaintainduringthetermofthisAgreementtransportationinsurancefortheGoodsinanamountofatleast[SpecifyMinimumAmount,e.g.,USDXX,XXXpershipmentoratotalannuallimitofUSDXXXX,XXX]coveringrisksoflossordamageduringtransit.TheinsuranceshallbeprovidedunderpoliciesissuedbyinsurancecompaniesacceptabletotheCarrier.

7.2Carrier'sInsurance:TheCarriershallmaintainduringthetermofthisAgreementsuitablecommercialinsurancecoveringitsliabilityforlossordamagetotheGoodswhileinitscustodyorunderitscontrol,includingliabilityforfailuretomaintaintherequiredtemperature.TheCarriershallprovideproofofsuchinsurancetotheFreightForwarder/Agentuponrequest.Theminimumcoverageamountshallbe[SpecifyMinimumAmount,e.g.,USDXX,XXXperoccurrence],andtheCarriershallnotifytheFreightForwarder/Agentpromptlyiftheinsuranceiscancelledormateriallyaltered.

7.3FreightForwarder'sInsurance:TheFreightForwarder/AgentmaymaintainitsowninsurancepoliciescoveringitsownliabilitiesunderthisAgreement.ThePrincipalshallbeindemnifiedagainstlossesincurredduetotheFreightForwarder/Agent'sinabilitytoperformitsdutiesduetolackofsuchinsurance,uptothelimitsofsuchpolicies.

7.4Allinsuranceclaimsshallbereportedtotheinsuredpartywithin[Specifynumber]daysofdiscoveryofthelossordamage.TheCarriershallcooperatefullywithallclaimsinvestigationsandsettlements.

Indemnification

8.1ThePrincipalshallindemnify,defend,andholdharmlesstheFreightForwarder/AgentandCarrierfromandagainstanyandallclaims,losses,liabilities,damages,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfrom:(a)anyinaccuracy,misrepresentation,oromissionintheinformationprovidedbythePrincipalconcerningtheGoods;(b)thePrincipal'sfailuretocomplywithanyrequirementsofthisAgreementorapplicablelawsandregulations;(c)damagetopropertyorpersonalinjurycausedbythePrincipal'sGoods;(d)thefailureoftheGoodstomeetthespecifiedtemperaturerequirementscausedbyfactorswithinthePrincipal'scontrol;or(e)anyclaimsrelatedtoimproperpackagingprovidedbythePrincipal.

8.2TheFreightForwarder/Agentshallindemnify,defend,andholdharmlessthePrincipalfromandagainstanyandallclaims,losses,liabilities,damages,costs,andexpensesarisingoutoforresultingfromtheFreightForwarder/Agent'sbreachofitsobligationsunderthisAgreement,providedthatthePrincipalhasbeennegligentorwillfullynegligentincausingsuchclaims.

8.3TheCarriershallindemnify,defend,andholdharmlessthePrincipalandtheFreightForwarder/Agentfromandagainstanyandallclaims,losses,liabilities,damages,costs,andexpensesarisingoutoforresultingfromtheCarrier'snegligenceorwillfulmisconductintheperformanceofitsdutiesunderthisAgreement.

Confidentiality

9.1EachPartyagreestoholdinstrictconfidenceallnon-publicinformation,data,tradesecrets,know-how,techniques,processes,customerlists,pricingschedules,andotherbusinessinformationdisclosedbytheotherParty(the“ConfidentialInformation”)duringthetermofthisAgreementandforaperiodof[Specifynumber,e.g.,three,five]yearsthereafter.

9.2EachPartyshallusetheConfidentialInformationsolelyforitsownlegitimatebusinesspurposesrelatedtothisAgreementandshallnotdisclosesuchConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty.EachPartyshallbeentitledtodiscloseConfidentialInformationtoitsemployees,officers,directors,andagentswhohaveaneedtoknowsuchinformationfortheperformanceoftheirdutiesunderthisAgreement,providedsuchindividualsareboundbyconfidentialityobligationsnolessprotectivethanthosesetforthinthisAgreement.

9.3NothinginthisAgreementshallimposeanyobligationofconfidentialityonaPartywithrespecttoinformationwhich:(a)wasknowntosuchPartypriortodisclosurebytheotherParty;(b)becomesgenerallyknowntothepublicthroughnoactoromissionofsuchParty;(c)isobtainedbysuchPartyfromathirdpartywithoutabreachofsuchthirdparty'sobligationsofconfidentiality;or(d)wasindependentlydevelopedbysuchPartywithoutuseoforreferencetotheotherParty'sConfidentialInformation.

9.4UpontheterminationofthisAgreement,thereceivingPartyshallpromptlyreturnordestroyallcopiesoftheConfidentialInformationheldbyitandshallnotusesuchConfidentialInformationforanypurposeotherthanasprovidedforinthisAgreement.

TermandTermination

10.1Term:ThisAgreementshallcommenceontheEffectiveDateandshallcontinueineffectfor[Specifyterm,e.g.,oneyear](“InitialTerm”),unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.UponexpirationoftheInitialTerm,thisAgreementshallautomaticallyrenewforsuccessiveone-yearterms(eacha“RenewalTerm”),unlesseitherPartyprovideswrittennoticeofitsintentionnottorenewatleast[Specifynumber,e.g.,60]dayspriortotheendofthethen-currentTerm.

10.2Termination:ThisAgreementmaybeterminatedbyeitherPartyupon[Specifynumber,e.g.,30]days'writtennoticetotheotherPartyiftheotherPartycommitsamaterialbreachofanyprovisionofthisAgreementandfailstocuresuchbreachwithin[Specifynumber,e.g.,15]daysafterreceivingwrittennoticeofsuchbreach.Upontermination,allobligationsofthePartiesarisingunderthisAgreementshallcontinueinforceandeffectfortheremainderoftheapplicableTerm,includingpaymentobligations,indemnificationobligations,confidentialityobligations,andobligationsrelatingtoongoingshipments.

10.3EffectsofTermination:UponterminationorexpirationofthisAgreement,thePartiesshall:(a)completealltransportationservicesforGoodsthathavebeenbookedorintransitatthetimeoftermination;(b)performanypost-terminationobligations,includingthereturnofanyCompanypropertybelongingtotheotherParty;(c)settleanyoutstandingpayments,includingfeesearnedbytheFreightForwarder/AgentandadditionalcostsincurredbytheCarrier;and(d)besubjecttotheconfidentiality,indemnification,andotherobligationssetforthinthisAgreement.

ForceMajeure

11.1NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayiscausedbyForceMajeure.ForceMajeuremeansanyeventbeyondthereasonablecontroloftheaffectedParty,including,butnotlimitedto,actsofGod(suchasflood,earthquake,hurricane,tornado),war,terrorism,insurrection,civilcommotion,strikes,lockouts,riots,epidemicsorpandemics,governmentalactions(suchasactsoflegislation,regulations,orordersofanygovernment),fire,explosion,orothersimilarcauses.

11.2TheaffectedPartyshallpromptlynotifytheotherPartyofanyeventitreasonablybelievesconstitutesForceMajeureandshalltakeallreasonablestepstomitigatetheeffectsthereof.TheaffectedPartyshallprovidetheotherPartywithwrittennoticeoftheterminationorexpecteddurationoftheForceMajeureevent.

11.3TotheextentpossibleandnotprohibitedbytheForceMajeureevent,theaffectedPartyshallusereasonableeffortstocontinueperformingitsobligationsunderthisAgreement.IftheForceMajeureeventcontinuesforaperiodof[Specifynumber,e.g.,90]days,eitherPartyshallhavetherighttoterminatethisAgreementwithoutliability,providedwrittennoticeisgiventotheotherPartyatleast[Specifynumber,e.g.,30]dayspriortosuchtermination.

GoverningLawandDisputeResolution

12.1GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina,withoutregardtoitsconflictoflawsprinciples.TheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(CISG)shallnotapplytothisAgreement.

12.2DisputeResolution:Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtoberesolvedamicablythroughgoodfaithnegotiationsbetweentheParties.Ifthedisputecannotberesolvedthroughnegotiationwithin[Specifynumber,e.g.,30]daysfromthedateofthelastcommunicationonthematter,thedisputeshallbesubmittedto[SpecifyArbitrationInstitution,e.g.,theChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)]forarbitration.Thearbitrationshallbeconductedinaccordancewiththethen-currentRulesof[SpecifyArbitrationInstitution]andshallbeheldin[SpecifyCity,e.g.,Beijing].TheTribunalshallconsistof[Specifynumber,e.g.,three]arbitratorsappointedinaccordancewiththeRules.Thelanguageofthearbitrationshallbe[SpecifyLanguage,e.g.,Chinese].ThedecisionofthearbitraltribunalshallbefinalandbindingupontheParties.ThePartiesherebywaiveanyobjectiontheymayhavetothejurisdictionoftheTribunalandtotheenforceabilityofthearbitralawardinaccordancewiththelawsofanyjurisdiction.

Notices

13.1Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygiven:(a)whendeliveredpersonally;(b)uponconfirmationofreceiptwhensentbyemail;(c)upondepositwithanationallyrecognizedovernightcourierservice;or(d)one(1)businessdayafterdepositwiththeUnitedStatesPostalServiceorothernationallettercarrierswhenaddressedtothePartiesattheaddressessetforthhereinoratsuchotheraddressasaPartymaydesignatebynoticetotheotherParty.

EntireAgreement

14.1ThisAgreement,includingtheattachments[Ifany,thoughnoneareattachedasperinstruction],constitutestheentireagre
