EMPLOYMENTCONTRACT

ThisEmploymentContract(the"Agreement")isenteredintoasof[Day]dayof[Month],[Year](the"EffectiveDate"),byandbetween:

[FullLegalNameofEmployee],residingat[FullAddressofEmployee],holdinga[Nationality]passport/identificationnumber[ifapplicable,inserttypeandnumber,ensuringit'slessthan4digitsoruseplaceholder](hereinafterreferredtoasthe"Employee").

WHEREAStheEmployerisdesirousofemployingtheEmployee,andtheEmployeeisdesirousofacceptingsuchemployment,uponthetermsandconditionshereinaftersetforth;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:

1.APPOINTMENT

1.1TheEmployerherebyappointstheEmployeetothepositionof[JobTitle,e.g.,SeniorSoftwareEngineer](the"Position")withinthe[DepartmentName,e.g.,EngineeringDepartment]oftheEmployer.

1.2TheEmployeeshallreportdirectlyto[JobTitleofDirectSupervisor,e.g.,EngineeringManager]orsuchotherpersonastheEmployermaydesignatefromtimetotime.

2.DUTIESANDRESPONSIBILITIES

2.2TheEmployeeagreestodevotetheirfullprofessionaltime,attention,skill,anddiligencetotheperformanceoftheirdutieshereunder,andtousetheirbesteffortstopromotetheinterestsoftheEmployer.

3.TERMOFEMPLOYMENT

3.2ThisAgreementshallcontinueinfullforceandeffectunlessanduntilterminatedinaccordancewiththeprovisionsofClause9herein.

3.3ProbationaryPeriod(ifapplicable):Thefirst[Number,lessthan4,e.g.,three]monthsofemploymentshallconstituteaprobationaryperiod.Duringthisperiod,eitherpartymayterminatethisAgreementupon[Number,lessthan4,e.g.,one]week'spriorwrittennotice.TheEmployerreservestherighttoextendtheprobationaryperiodbyafurther[Number,lessthan4,e.g.,one]monthsuponwrittennoticetotheEmployee,ifdeemednecessaryforafairassessmentoftheEmployee'ssuitability.

4.PLACEOFWORK

4.1TheEmployee'sprimaryplaceofworkshallbeattheEmployer'spremiseslocatedat[FullAddress]orsuchotherlocationasmaybereasonablyrequiredbytheEmployer'sbusinessneeds,uponreasonablepriornoticetotheEmployee.

4.2TheEmployeemayberequiredtotraveltemporarilyforbusinesspurposesasreasonablynecessaryfortheperformanceoftheirduties.

5.REMUNERATION

5.1TheEmployershallpaytheEmployeeagrossannualsalaryof[AmountinWords,e.g.,FiftyThousandUnitedStatesDollars](US$[AmountinNumbers,e.g.,____]),payablein[frequency,e.g.,monthly]installmentson[specificdayordaterange,e.g.,the25thdayofeachmonth]ortheprecedingbusinessdayifsuchdayfallsonaweekendorpublicholiday.

5.2Thesalaryshallbesubjecttosuchdeductionsasmayberequiredbylawormutuallyagreeduponinwriting.

5.3TheEmployee'sremunerationshallbereviewedperiodically,atthesolediscretionoftheEmployer.

5.4TheEmployeemaybeeligibletoparticipateinanybonus,incentive,orbenefitschemesastheEmployermayestablishandamendfromtimetotime,subjecttothetermsandconditionsthereof.

6.WORKINGHOURS

6.1TheEmployee'snormalworkinghoursshallbe[number,e.g.,thirty-sevenandahalf(37.5)]hoursperweek,typicallybetweenthehoursof[starttime,e.g.,9:00AM]and[endtime,e.g.,5:30PM],MondaytoFriday,with[duration,e.g.,one(1)]hourforlunch.

7.HOLIDAYSANDLEAVE

7.1TheEmployeeshallbeentitledto[number,e.g.,twenty(20)]workingdaysofpaidannualleaveineachcalendaryear,pluspublicholidaysasrecognizedbytheEmployer.AnnualleaveshallbetakenatsuchtimesasmutuallyagreedbetweentheEmployeeandtheEmployer,andinaccordancewiththeEmployer'sholidaypolicy.

7.2TheEmployeeshallbeentitledtopaidsickleaveinaccordancewithapplicablelaw.

7.3Othertypesofleave(suchasmaternity,paternity,bereavementleave)shallbegrantedinaccordancewithapplicablelawandtheEmployer'spolicies.

8.CONFIDENTIALITY

8.1TheEmployeeacknowledgesthatduringthecourseoftheiremployment,theywillhaveaccesstoconfidentialinformation,tradesecrets,andproprietarydataoftheEmployer,itsclients,andpartners("ConfidentialInformation").SuchConfidentialInformationincludes,butisnotlimitedto,businessplans,financialdata,customerlists,supplierinformation,technicalspecifications,software,algorithms,andunpublishedinformation.

8.2TheEmployeeshallatalltimes,bothduringandaftertheterminationofemployment,maintainthestrictestconfidentialityofallConfidentialInformationandshallnotuse,disclose,ormakeavailablesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheEmployer.

8.3ThisobligationofconfidentialityshallsurvivetheterminationofthisAgreementforanyreason.

9.INTELLECTUALPROPERTY

9.1Allintellectualpropertyrightsinanywork,invention,creation,ordevelopment("IntellectualProperty")made,conceived,ordevelopedbytheEmployeeduringthecourseoftheiremployment,orwhichrelatestotheEmployer'sbusinessoractualordemonstrablyanticipatedresearchordevelopment,shallbethesoleandexclusivepropertyoftheEmployer.

9.2TheEmployeeagreestopromptlydiscloseallsuchIntellectualPropertytotheEmployerandtoexecuteanydocumentsandprovideanyassistancereasonablyrequiredbytheEmployertoperfect,register,andenforcesuchIntellectualPropertyrightsinanyjurisdiction.

9.3AnyIntellectualPropertydevelopedbytheEmployeeoutsideofworkinghours,withouttheuseofEmployer'sresources,andunrelatedtotheEmployer'sbusinessshallremainthepropertyoftheEmployee.

10.TERMINATION

10.1ThisAgreementmaybeterminated:

a)Bymutualwrittenagreementofbothparties.

b)ByeitherpartygivingtheotherpartywrittennoticeofterminationinaccordancewithClause11(NoticePeriod).

c)BytheEmployerforthwithandwithoutnoticeforseriousmisconduct,includingbutnotlimitedtodishonesty,breachofconfidentiality,grossnegligence,orseriousbreachofthisAgreement.

d)BytheEmployerwithnoticeforotherreasons,includingbutnotlimitedtopoorperformance,redundancy,oramaterialbreachofthisAgreementnotrectifiedwithinareasonableperiod.

e)Inaccordancewithapplicablelaw.

11.NOTICEPERIOD

11.1Duringtheprobationaryperiod,eitherpartymayterminatethisAgreementbygiving[number,e.g.,one(1)]week'swrittennotice.

11.2Aftertheprobationaryperiod,eitherpartyshallgive[number,e.g.,one(1)]month'swrittennoticeoftermination,orpaymentinlieuofsuchnotice.TheEmployerreservestherighttorequiretheEmployeetoworkthenoticeperiod,orpartthereof,ortobeplacedongardenleaveforallorpartofthenoticeperiod.

12.1Uponterminationofemploymentforanyreason,theEmployeeshallimmediatelyreturntotheEmployerallequipment,tools,documents,keys,accesscards,andanyotherpropertybelongingtotheEmployer,includingallcopiesofConfidentialInformation,whetherinphysicalorelectronicform.

13.3IfanypartofthisClauseisfoundtobeunenforceable,theremaindershallcontinuetoapply.

14.DATAPROTECTION

14.1TheEmployeeacknowledgesthattheEmployermayprocesspersonaldatarelatingtotheEmployeeforemployment-relatedpurposes,inaccordancewithapplicabledataprotectionlawsandtheEmployer'sprivacypolicy.

15.ENTIREAGREEMENT

15.1ThisAgreementconstitutestheentireunderstandingandagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriordiscussions,negotiations,andagreements,whetheroralorwritten.

16.AMENDMENT

16.1Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbydulyauthorizedrepresentativesofbothparties.

17.SEVERABILI
