建筑设计fidic合同书标准THISCONTRACTISMADEANDENTEREDINTOON[DATE]BETWEEN[EMPLOYERNAME],havingitsplaceofbusinessat[EMPLOYERADDRESS]("Employer"),and[CONTRACTORNAME],havingitsplaceofbusinessat[CONTRACTORADDRESS]("Contractor").ARTICLE1–DEFINITIONSANDINTERPRETATIONInthisContract,unlessthecontextotherwiserequires:1.1"ApplicableLawsandRegulations"meansalllaws,regulations,ordinances,by-laws,andothergovernmentalrequirements(includingbutnotlimitedtobuildingcodes,zoningregulations,environmentalprotectionlaws,andsafetystandards)ofthePlace,whetherornotenactedoramendedpriortotheCommencementDate,whichareapplicabletotheDesignWorkandtheSite.1.2"BenchmarkDate"meansthedateonwhichtheContractissignedbytheEmployerandtheContractor.1.3"Day"meansanycalendarday.1.4"Design"meanstheprovisionofprofessionalservicesbytheContractor,includingbutnotlimitedtopreliminarystudies,feasibilitystudies,basicdesign,detaileddesign,designdevelopment,preparationofdrawings,specifications,calculations,reports,andotherdocumentationnecessarytoestablishthedesignoftheWorksasrequiredbytheEmployer'sRequirements,inaccordancewiththeApplicableLawsandRegulationsandtheContract.1.5"DesignWork"meanstheworkundertakenbytheContractorunderthisContract,includingalldesign,studies,analyses,calculations,drawings,specifications,reports,andotherdocumentationpreparedbytheContractorinconnectionwiththeDesign.1.6"Drawings"meansallplans,sections,elevations,details,diagrams,charts,calculations,andothergraphicalorwrittenrepresentationspreparedbytheContractoraspartoftheDesignWork.1.7"EmployerRepresentative"meansthedesignatedrepresentativeoftheEmployer,empoweredbytheEmployertoactonbehalfoftheEmployerinconnectionwiththisContract,andwhoseidentityissetoutintheAnnextotheContract.1.8"Engineer"meanstheEngineerdesignatedintheAnnextotheContract,orsuchotherpersonorbodyastheEmployermayfromtimetotimedesignateinwriting,andwhoseidentityshallbeconfirmedbytheEmployerRepresentative.1.9"Contract"meansthisAgreementtogetherwiththeContractAgreement,theConditionsofContract(PartIandPartII),theAnnexes,theTenderer'sInstructions,andallotherdocumentsformingpartoftheContractasdefinedinArticle2.1.10"ContractDocuments"meansthedocumentsformingpartoftheContractreferredtoinArticle2.1.11"Place"meansthelocationwheretheDesignWorkistobeperformed.1.12"Site"meansthelandorpremisesidentifiedintheEmployer'sRequirementsasthelocationfortheWorks.1.13"StageofDesign"meansaphaseoftheDesignWorkasdefinedintheContractorspecifiedbytheEngineer.1.14"SupplementaryAgreement"meansanyagreement,amendment,orsupplementtothisContractwhichhasbeendulysignedbyboththeEmployerandtheContractor.1.15"Variation"meansanychange,addition,ordeletionintheDesignWorkoranyotherprovisionofthisContract,whetherintendedtobeincludedintheContractatthetimeofitsconclusionorarisingsubsequently.ARTICLE2–THECONTRACTTheContractDocumentsshallbereadtogetherasonedocument.IntheeventofanyconflictorinconsistencybetweentheContractDocuments,thedocumentsshallbeinterpretedinthefollowingorderofprecedence:2.1TheContractAgreement;2.2TheConditionsofContract,PartI;2.3TheConditionsofContract,PartII;2.4TheAnnexes;2.5TheTenderer'sInstructions;2.6TheEmployer'sRequirements;2.7TheDrawingsandotherdocumentsformingpartoftheContract;2.8IntheeventofanyfurtherconflictorambiguitynotresolvablebytheprovisionsofthisArticle,theprovisionsoftheConditionsofContract,PartIshallprevail.ARTICLE3–LANGUAGEThelanguageoftheContractshallbe[LANGUAGE].AllcommunicationsunderthisContractshallbeinthesamelanguage.ARTICLE4–LAWANDREGULATIONSTheContractandtheperformancehereundershallbegovernedbyandconstruedinaccordancewiththelawsof[JURISDICTION]andtheApplicableLawsandRegulations.ARTICLE5–INVITATIONTOTENDER[ThisArticleistypicallyfortheEmployer'sprocurementprocessandmaynotbeincludedinthefinalexecutedContractbetweentheEmployerandContractor.]ARTICLE6–BIDDING[ThisArticleistypicallyfortheEmployer'sprocurementprocessandmaynotbeincludedinthefinalexecutedContractbetweentheEmployerandContractor.]ARTICLE7–AWARD[ThisArticleistypicallyfortheEmployer'sprocurementprocessandmaynotbeincludedinthefinalexecutedContractbetweentheEmployerandContractor.]ARTICLE8–COMMENCEMENTOFTHECONTRACTThisContractshallcommenceontheBenchmarkDate.ARTICLE9–COMMENCEMENTOFWORKTheContractorshallcommencetheDesignWorkuponthedatespecifiedintheAnnextotheContractorsuchotherdateastheEngineermayspecifyinwriting.ARTICLE10–PROVISIONALSUMS[ThisArticlerelatestoEPCcontractsandmaybeadaptedoromittedforapuredesigncontract.]ARTICLE11–THEEMPLOYER11.1TheEmployershallhavetherightto:a.ProvidetheContractorwithaccesstotheSiteandanydocuments,data,orinformationnecessaryfortheDesignWork(asdefinedintheEmployer'sRequirements).b.IssueInstructionstotheContractorinconnectionwiththeDesignWork.c.AppointandconfirmtheEngineerinaccordancewiththeprovisionsofArticle18.d.ApprovetheDesignWorkinaccordancewiththeprovisionsofthisContract.e.MakepaymentstotheContractorinaccordancewiththeprovisionsofArticle38.f.TerminatethisContractinaccordancewiththeprovisionsofArticle67.11.2TheEmployershallberesponsiblefor:a.EnsuringthattheEmployer'sRequirementsareprovidedtotheContractorinatimelymanner.b.CooperatingwiththeContractortotheextentrequiredbythisContract.c.ProvidinganyadditionalinformationorclarificationrequestedbytheContractorinrelationtotheEmployer'sRequirements.ARTICLE12–THECONTRACTOR12.1TheContractorshallhavetherightto:a.ReceivetheDesignFeefromtheEmployerinaccordancewiththeprovisionsofthisContract.b.UsetheEmployer'sRequirementsandanyotherdataprovidedbytheEmployerfortheDesignWorksolelyforthepurposeofthisContract.c.EngagesubconsultantsaspermittedunderArticle20.d.SubmittheDesignWorkforapproval.e.TerminatethisContractinaccordancewiththeprovisionsofArticle67.12.2TheContractorshallberesponsiblefor:a.PerformingtheDesignWorkinaccordancewiththeApplicableLawsandRegulations,theEmployer'sRequirements,andtheContract.b.EnsuringthequalityoftheDesignWorkandsubmittingdrawingsanddocumentsthatareaccurate,complete,andcomplywithprofessionalstandards.c.CoordinatingwiththeEngineerandtheEmployerRepresentativeasrequired.d.SubmittingtheDesignWorkwithinthetimelimitsspecifiedintheContractorasapprovedbytheEngineer.e.MaintainingproperrecordsoftheDesignWork.f.ComplyingwithallsecurityandsafetyrequirementsontheSite(ifapplicable).g.ProvidinginsuranceasrequiredbytheContract.ARTICLE13–PROFESSIONALQUALIFICATIONSEachpartyrepresentsandwarrantsthatitpossessesthenecessaryprofessionalqualifications,experience,andfinancialresourcestoperformitsobligationsunderthisContract.ARTICLE14–BANKGUARANTEES14.1TheContractorshall,priortotheCommencementofWork,providetotheEmployeranundertakingintheformofabankguaranteefortheperformanceoftheContractinanamountof[AMOUNT][CURRENCY],issuedbyabankdesignatedbytheEmployer.14.2TheContractorshallalsoprovidetotheEmployer,uponthedemandoftheEmployer,bankguaranteesforthepaymentofprogressinvoicesinthetotalamountof[AMOUNT][CURRENCY],andabankguaranteeforthemaintenanceoftheDesignWorkintheamountof[AMOUNT][CURRENCY],eachasrequiredbytheEmployer.ARTICLE15–COSTSANDEXPENSES15.1EachpartyshallberesponsibleforitsowncostsandexpensesincurredinconnectionwiththeperformanceofitsobligationsunderthisContractunlessotherwiseprovidedherein.15.2TheEmployershallberesponsibleforthecostsoftheDesignWorkdirectlyattributabletotheEmployer'sRequirementsandchangesdirectedbytheEmployer.15.3TheContractorshallberesponsibleforallcostsincurredinperformingtheDesignWork,includingitspersonnelcosts,officeexpenses,andanyothercostsdirectlyrelatedtotheDesignWork.ARTICLE16–INSTRUCTIONS16.1TheEngineermayissueInstructionstotheContractorinconnectionwiththeDesignWork.16.2InstructionsshallbeinwritingandsubmittedtotheContractorbytheEngineerortheEmployerRepresentative.16.3TheContractorshallproceedinaccordancewithanyvalidInstructions.ARTICLE17–DESIGN,VERIFICATION,ANDAPPROVAL17.1TheContractorshallpreparetheDesignWorkinaccordancewiththeEmployer'sRequirementsandtheContract.17.2TheContractorshallsubmittheDesignWorkforverificationandapprovalinaccordancewiththeschedulesetoutintheAnnextotheContractandanyvariationsapprovedbytheEngineer.17.3TheEngineershallverifythesubmittedDesignWorkandshalleither:a.IssuewrittenapprovaltotheContractorwithin[NUMBER]daysofreceiptoftheDesignWork,orsuchlongerperiodastheEngineermayspecifyinwriting.b.Specify,inwriting,themodificationsrequiredtobringtheDesignWorkintoconformitywiththeContract.17.4IftheEngineerfailstoissuewrittenapprovalwithinthespecifiedperiod,theContractorshallbedeemedtohavereceivedapprovaloftheDesignWorksubmitted.17.5TheContractorshall,uponreceiptoftheEngineer'swrittenapproval,proceedwiththenextstageoftheDesignWorkor,ifapplicable,preparethefinalDesignWorkforsubmission.17.6TheContractorshallcorrectanydeficienciesintheDesignWorkasdirectedbytheEngineerandresubmitthecorrectedDesignWorkforapprovalwithinareasonabletime.ARTICLE18–THEENGINEER18.1TheEngineershallhavethefollowingdutiesandpowers:a.ToverifytheDesignWorksubmittedbytheContractorandtoapproveorrejectitinaccordancewiththeContract.b.ToissueInstructionstotheContractor.c.ToreceiveandconsiderclaimssubmittedbytheContractor.d.TocertifypaymentstotheContractor.e.ToassisttheEmployerintheadministrationoftheContract.f.ToresolvedisputesbetweentheEmployerandtheContractor,ifsoagreedinwritingbybothparties.18.2TheEngineershallhavetherightto:a.InspecttheContractor'sfacilitiesandpersonnel.b.RequiretheContractortoprovideadditionalinformationorclarificationregardingtheDesignWork.c.TerminatetheContractor'sperformanceinaccordancewiththeprovisionsofArticle67.ARTICLE19–QUALIFICATIONSOFTHEENGINEER[ThisArticlemaybetailoredtospecifythequalificationsrequiredoftheEngineer.]ARTICLE20–SUBCONTRACTORS20.1TheContractormayengagesubconsultantstoassistintheperformanceoftheDesignWorkonlywiththepriorwrittenconsentoftheEngineer.20.2TheContractorshallremainfullyresponsibletotheEmployerfortheperformanceoftheDesignWorkbyitssubconsultants.20.3TheContractorshallensurethatitssubconsultantscomplywiththeApplicableLawsandRegulationsandtherequirementsofthisContract.ARTICLE21–BANKGUARANTEES(continued)[ThisArticlemaycontinuetodetailrequirementsforbankguarantees.]ARTICLE22–COSTSANDEXPENSES(continued)[ThisArticlemaycontinuetodetailcostallocationandclaims.]ARTICLE23–CLAIMS23.1IftheContractorconsidersthatithassustainedalossoradditionalcostwhichhasnotbeenadequatelycompensatedbytheEmployer,theContractorshallsubmitaclaiminwritingtotheEngineerwithin[NUMBER]daysoftheeventgivingrisetotheclaim.23.2Theclaimshallbesupportedbyrelevantdocumentation.23.3TheEngineershallconsidertheclaimandnotifytheContractorinwritingofhisfindingswithin[NUMBER]daysofreceiptoftheclaim.23.4IftheContractorisdissatisfiedwiththeEngineer'sdecision,theContractormay,within[NUMBER]daysofreceivingthedecision,submittheclaimto[ARBITRATION/LOCALDISPUTERESOLUTIONBOARD].ARTICLE24–ACCEPTANCE24.1ThefinalDesignWorkshallbeacceptedbytheEngineeruponsubmissionandverificationinaccordancewiththeprovisionsofArticle17.ARTICLE25–VARIATIONS25.1TheEmployermayrequestvariationstotheDesignWorkbyissuingawritteninstructiontotheEngineer.25.2TheEngineershallconsiderthevariationrequestandnotifytheContractorandtheEmployerinwritingofhisrecommendationswithin[NUMBER]days.25.3TheContractorshallsubmitawrittenquotationforthevariationtotheEngineerwithin[NUMBER]daysofreceivingtheEngineer'srecommendations.25.4ThevariationshallbeimplementedonlyaftertheEngineerhasapprovedthequotationandtheEmployerhasmadethenecessarypaymentadjustments.ARTICLE26–PERIODICPAYMENT26.1TheContractorshallsubmitperiodicpaymentapplicationstotheEngineeratintervalsspecifiedintheAnnextotheContract.26.2TheEngineershallreviewthepaymentapplicationandcertifytheamountpayabletotheContractorwithin[NUMBER]daysofreceipt.26.3TheEmployershallpaythecertifiedamounttotheContractorwithin[NUMBER]daysofreceiptoftheEngineer'scertificate.ARTICLE27–WITHDRAWALOFTHECONTRACTOR27.1SubjecttotheprovisionsofthisContract,theContractormay,bygiving[NUMBER]days'writtennoticetotheEngineerandtheEmployer,withdrawfromtheContractif:a.TheEmployerhasfailedtopaytheContractortheamountdueundertheContractforacontinuousperiodof[NUMBER]days.b.TheEngineerhasfailedtoperformanyofhisobligationsundertheContractforacontinuousperiodof[NUMBER]days.27.2IntheeventofwithdrawalunderthisArticle,theContractorshallbeentitledtopaymentforallcostsincurredinconnectionwiththeDesignWorkuptothedateofwithdrawal.ARTICLE28–TERMINATIONBYTHEEMPLOYER28.1TheEmployermayterminatethisContractbygiving[NUMBER]days'writtennoticetotheContractorif:a.TheContractorhasfailedtoperformitsobligationsundertheContractandhasnotrectifiedthedeficiencieswithinaperiodof[NUMBER]daysafterbeinggivenawrittennoticetodoso.b.TheContractorhasbecomeinsolventorhasenteredintoliquidationoradministration.28.2IntheeventofterminationunderthisArticle,theEmployershallbeentitledtopaymentforallworkperformedbytheContractoruptothedateoftermination,lessanypaymentsalreadymade.ARTICLE29–DUTYTOCooperate29.1EachpartyshallcooperatewiththeotherpartytotheextentreasonablynecessarytoenablethemtoperformtheirrespectiveobligationsunderthisContract.ARTICLE30–INDEMNIFICATION30.1TheContractorshallindemnifyandholdharmlesstheEmployeragainstanylosses,damages,orclaimsarisingoutoforinconnectionwiththeDesignWork.30.2TheEmployershallindemnifyandholdharmlesstheContractoragainstanylosses,damages,orclaimsarisingoutoforinconnectionwiththeEmployer'sRequirementsortheSite.ARTICLE31–INTELLECTUALPROPERTYRIGHTS31.1AllintellectualpropertyrightsintheDesignWorkshallremainthepropertyoftheContractor.31.2TheContractorshallgranttheEmployeranon-exclusive,royalty-free,perpetual,worldwidelicensetousetheDesignWorksolelyforthepurposeoftheWorksdescribedintheEmployer'sRequirements.ARTICLE32–CONFIDENTIALITY32.1EachpartyshallkeepconfidentialallinformationreceivedfromtheotherpartyinconnectionwiththisContractandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaworasnecessarytoperformitsobligationsunderthisContract.ARTICLE33–MISCELLANEOUS33.1NoticesandcommunicationsunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygiven:a.IfsentbyregisteredpostorcouriertotheaddressessetoutintheContract.b.Onedayafterdepositwithanationalorinternationalovernightcourierservice.c.Onthedayofdeliveryifdeliveredpersonally.33.2ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal.33.3AnyamendmenttothisContractshallbeinwritingandsignedbyboththeEmployerandtheContractor.33.4IfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.ARTICLE34–DISPUTERESOLUTIONAnydisputearisingoutoforinconnectionwiththisContractshallbefinallysettledby[ARBITRATION]inaccordancewiththerulesof[ARBITRATIONINSTITUTION]in[CITY,COUNTRY].Theplaceofarbitrationshallbe[CITY,COUNTRY].Thelanguageofarbitrationshallbe[LANGUAGE].ARTICLE35–GOVERNINGLAWThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[JURISDICTION].ARTICLE36–SEVERABILITYIfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.ARTICLE37–NOTICESAllnoticesandcommunica
