国际海运合同年度标准文本THISCONTRACTOFcarriage("Contract")ismadeeffectiveasof[StartDate]andshallremaininforceuntil[EndDate](the"ContractPeriod"),unlessterminatedearlierinaccordancewithitsterms.ThisContractisenteredintobetween:[Shipper'sFullLegalName]havingitsprincipalplaceofbusinessat[Shipper'sAddress]("Shipper")and[Carrier'sFullLegalName]havingitsprincipalplaceofbusinessat[Carrier'sAddress]("Carrier")("theParties")NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thePartiesagreeasfollows:1.GoverningLawandJurisdiction:ThisContractandanydisputesarisingoutoforinconnectionwithitshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLawJurisdiction],withoutregardtoitsconflictoflawsprinciples.AnylegalactionorproceedingarisingoutoforinconnectionwiththisContractshallbeinstitutedonlyinthecourtslocatedin[Jurisdiction],andthePartiesherebyirrevocablyconsenttotheexclusivejurisdictionandvenueofsuchcourtsandtotheserviceofprocesstherein.ThePartiesagreetosubmittothejurisdictionofthe[ArbitrationInstitution],locatedat[ArbitrationInstitutionAddress],andthatanydisputearisingoutoforinconnectionwiththisContractshallbereferredtoarbitrationadministeredbythesaidInstitutioninaccordancewithitstheninforceRulesforthetimebeingineffect.Theplaceofarbitrationshallbe[City,Country].Thelanguageofthearbitrationshallbe[Language].ThePartiesagreethatthearbitralawardshallbefinalandbindinguponthemandthateachPartyshallbeboundbythesaidawardinaccordancewiththelawsoftheplacewheretheawardismade.2.DefinitionsandInterpretation:InthisContract,unlessthecontextotherwiserequires:"Voyage"meansacontinuousjourneyofashipfromaportofloadingtoaportofdischarge,includinganycall(s)atport(s)ofcallduringthepassagebetweensuchportsofloadinganddischarge;"PortofLoading"means[PortName]and"PortofDischarge"means[PortName];"Cargo"meansanygoods(includingcontainer(s)orotherpackaginginwhichgoodsarepacked)andarticlesshippedunderthisContract,whetherornotproperlymarked;"Carrier"includestheowner,operator,ormanageroftheshipbywhomoronwhosebehalfthecontractofcarriagehasbeenmade;"ActualCarrier"meansanypersonbywhomoronwhoseaccountorbehalfthecarriageofthegoodsisactuallyperformed;"BillofLading"meansadocumentissuedbytheCarrierwhich:(a)isissuedtoorder,ororderof[NotifyPartyName],ortotheCarrier,ortotheorderoftheCarrier;(b)showsthatthegoodshavebeenreceivedbytheCarrierinapparentgoodorderandcondition,fitandsafeforcarriagebyseaandgenerallyinaccordancewiththedescriptionsgivenbytheShipper;(c)containsorbyreferencetowhichanypartoftheContractofCarriagehasbeenmade;(d)isconsignedtotheorderoftheCarrierandcontainsastipulationthattheCarrieratthePortofDischargeshalldeliverthegoodstotheorderoftheCarrierfreeofcharge;(e)ondeliveryatthePortofDischarge,shallbeexchangedfororissuedinsubstitutionforasimilarBillofLadingsignedorstampedbyoronbehalfoftheCarrier;(f)ondemandbytheShipper,shallbeissued"cleanonboard"torepresenttheloadingofthegoodsontheship;"FreeTime"meanstheperiodoftime,ifany,providedfreeofdemurrageordetentionchargesatthePortofLoadingand/orPortofDischargeforloadingand/orunloadingthegoodsand/orcontainer(s).3.ContractofCarriage:TheCarrierundertakestoreceivetheCargoatthePortofLoadingandtotransportittothePortofDischarge,usingitsownshiporothermeans,inaccordancewiththetermsandconditionsofthisContract.4.CargoDescription:TheShippershallprovidetheCarrierwithafullandaccuratedescriptionoftheCargo,includingquantity,weight(grossandnet),dimensions,marks,numbers,andkind.TheShipperwarrantsthattheinformationprovidediscorrectandthattheCargoissuitableforcarriagebyseaandthatallpackingisproperandfitforitsintendedpurpose.5.MarksandPackaging:TheCargoshallbeproperlymarkedontheouterpackingwiththeShipper'snameandaddress,theconsignee'snameandaddress,theportofdestination,thecontainernumber(s),thegrossweight,andthedimensions.ThepackagingshallbesuchthattheCargoisproperlysecuredandfittowithstandthenormalrisksofcarriagebysea.6.LoadingandUnloading:(a)TheShippershallberesponsibleforloadingtheCargoontotheCarrier'sshipatthePortofLoadingwithinthetimeallowedbytheCarrier.TheCarriershallberesponsiblefordischargingtheCargofromtheCarrier'sshipatthePortofDischargewithinthetimeallowedbytheCarrier.(b)TheShippershallberesponsibleforanyandalldemurragechargesincurredatthePortofLoadingforloadingtheCargoandanyandalldetentionchargesincurredatthePortofDischargeforkeepingtheCargoorcontainer(s)beyondthefreetimeprovided.(c)TheCarriershallnotberesponsibleforanylossofordamagetotheCargoresultingfromanydelayinloadingordischargingwhichiscausedbytheShipperortheShipper'sagents.7.Freight:TheShipperagreestopaytheCarrierthefreightof[Amount][Currency]forthecarriageoftheCargo.Paymentshallbemade[PaymentTerms,e.g.,30%inadvance,70%uponpresentationofacleanBillofLadingatthePortofDischarge].Alladditionalcharges,suchasportcharges,BAF,andothersurcharges,ifany,shallbefortheShipper'saccount.8.VoyageDetails:TheCarriershalluseitsbesteffortstomakethevoyagefromthePortofLoadingtothePortofDischarge.TheCarriershallnotifytheShipperofanydeviationfromtheroutesetoutinthisContractthatisreasonablynecessaryintheCarrier'sjudgmenttoavoidlossordamagetotheCargoortheship.9.Carrier'sLiability:(a)TheCarrier'sliabilityforthelossordamageofordamagetotheCargoduringthecarriageshallbegovernedby[ApplicableConvention/Rules,e.g.,theHague-VisbyRulesof1968].TheCarrier'saggregateliabilityunderthisprovisionshallbelimitedto[Amount][Currency]perpackageorunitofgoods,or[Amount][Currency]perkilogramofgrossweight,whicheverishigher,unlessthelossordamageisprovedtohavebeencausedorcontributedtobytheCarrieroritsservantsoragents.(b)TheCarriershallnotbeliableforlossordamagetotheCargoifthelossordamageresultedfrom:(i)thenatureandqualityoftheCargo;(ii)theactofanypersonorthingofthenatureoftheactofGod,anactofwar,hostilities(whetherdeclaredornot),civilwar,insurrection,revolution,orterroristact;(iii)strikes,lockouts,andsimilarindustrialactions;(iv)theuseofanynaval,military,orairforce;(v)thedetentionorretentionoftheshipbyanyGovernmentorotherauthority;(vi)quarantinerestrictions;(vii)thesavingorsalvageoftheshiporcargo;(viii)theinherentdefects,quality,orcharacteroftheCargo;(ix)theупаковкаorpackingoftheCargo;(x)theabsenceofpropermarksonthepackages;(xi)theuseorconsumptionoftheCargobythecrewoftheshipintheordinarycourseofthevoyage;(xii)anylossordamageoccurringafterthegoodshavebeenplacedatthedisposalofthepersonentitledtodeliverybytheCarrierattheportofdischarge;(xiii)thenegligenceoftheShipperoranypersonactingfortheShipperinrelationtotheCargo;(xiv)thefactthatthelossordamagedidnotoccurduringthecarriageofthegoodsbysea;(xv)thefactthatthelossordamagewascausedbyorresultedfromanypacking,packaging,markingorlabelingoforonthepackages;(xvi)thefactthatthelossordamagewascausedbyorresultedfromtheweightormeasurementofthegoods;(xvii)thefactthatthelossordamagewascausedbyorresultedfromanylatentdefect,inherentvice,orcharacteristicofthegoods;(xviii)anyfailureordelayingivingnoticeoflossordamage,andanylossordamagenotbeingdeclaredorprovedwithinareasonabletimeafterdeliveryofthegoodsbytheCarriertothepersonentitledtodelivery;(xix)unlessotherwiseprovidedinthisContract,anydelayinthedeliveryofthegoodsattheportofdischargeresultingfromtherefusalofthepersonentitledtodeliverytoacceptthegoods.(c)TheCarrier'sliabilityfordelayindeliveryshallbelimitedto[Amount][Currency].10.Insurance:TheShippershallberesponsibleforarrangingfortheinsuranceoftheCargoagainstallrisksoflossordamage.TheShippershallprovidetheCarrierwithacertificateorotherproofofinsurancecoveringtheCargoforatleast[Amount][Currency]forthefullvoyage,issuedwithin15daysafterloading,showingthatthegoodsareinsuredagainstallrisksoflossordamageduringthecarriagebysea,andevidencingthattheinsuranceisinforceforthefulldurationofthecarriage,andthattheamountofinsuranceisatleastasgreatasthesumassured.FailuretoprovidesuchcertificateorproofofinsuranceshallnotrelievetheCarrierofitsliabilityunderthisContract.11.BillsofLading:TheCarriershallissuetotheShipperanegotiableBillofLading,orotherdocumentsoftitle,asrequiredbytheShipper,providedthattheShippershallhavefulfilledallhisobligationstowardstheCarrierunderthisContract.TheCarriershallnotbeliableforanydelayorfailureinissuingtheBillofLadingorotherdocumentsoftitle,unlesssuchdelayorfailureresultsfromtheCarrier'snegligenceorbreachofcontract.Theissuanceofa"cleanonboard"BillofLadingshallnotberegardedasanadmissionthatthegoodswereactuallyshippedintheorderorconditiondescribedtherein.12.Notices:TheShippershallgiveallnoticesandinformationrequiredbythisContractorreasonablynecessaryfortheperformanceofthisContracttotheCarrieratleast[Number,e.g.,15]daysbeforeloadingthegoods,andshallgiveallfurthernoticesandinformationreasonablynecessaryfortheperformanceofthisContract.TheCarriershallgiveallnoticesandinformationrequiredbythisContractorreasonablynecessaryfortheperformanceofthisContracttotheShipperatthefirstopportunityafterbecomingawareofthem.13.ForceMajeure:NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractifsuchfailureordelayiscausedbyForceMajeure,thatis,aneventbeyondthereasonablecontroloftheParty,includingbutnotlimitedtoactsofGod,war,terrorism,riots,strikes,governmentalactions,ornaturaldisasters.14.Severability:IfanyprovisionofthisContractisheldtobeinvalid,illegal,orunenforceablebyacourtofcompetentjurisdiction,suchprovisionshallbeseveredfromthisContract,andtheremainingprovisionsshallcontinueinfullforceandeffect.15.EntireAgreement:ThisContract,togetherwithanyattachments,constitutestheentireagreementbetweenthePartieswithrespecttothesubjectm
