ThisContractismadeandenteredintoon[Date]byandbetween[Employer'sName],havingitsplaceofbusinessat[Employer'sAddress]("Employer"),and[Contractor'sName],havingitsplaceofbusinessat[Contractor'sAddress]("Contractor").

Article1-DocumentsFormingPartoftheContract

ThefollowingdocumentsformanintegralpartofthisContractandshallbereadtogetherasiftheyformedoneinstrument:

(a)TheContractAgreement;

(b)TheLetterofAcceptance;

(c)TheContractor'sBid;

(d)TheConditionsofParticularApplication(hereinaftercalledthe"ParticularConditions");

(e)TheGeneralConditionsofContract(hereinaftercalledthe"GeneralConditions");

(f)TheAnnexes(hereinaftercalledthe"Annexes");

(g)TheSpecifications;

(h)TheDrawings;

(i)TheBillofQuantities.

IntheeventofanyconflictorinconsistencybetweenthedocumentsformingpartofthisContract,thedocumentsshallbeinterpretedinthefollowingorderofpriority:

(1)TheContractAgreement;

(2)TheLetterofAcceptance;

(3)TheParticularConditions;

(4)TheContractor'sBid(asmodifiedbytheParticularConditions);

(5)TheAnnexes;

(6)TheGeneralConditions;

(7)TheSpecifications;

(8)TheDrawings;

(9)TheBillofQuantities.

Article2-Language

ThelanguageoftheContractshallbe[Language].AllcommunicationsunderthisContractshallbeinthesaidlanguage.

Article3-LawandDisputeResolution

(a)ThisContractandtheinterpretationthereofshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/State].

(b)AnydisputearisingoutoforinconnectionwiththisContractshallfirstbeattemptedtobesettledamicablythroughnegotiationbetweentheparties.

(c)Ifthedisputecannotbesettledthroughnegotiationwithin[Number,e.g.,30]daysfromthedateofoneparty'swrittenrequestfornegotiation,thedisputeshallbesubmittedto[Arbitration/Mediation/etc.].The[ArbitrationInstitute/Body,e.g.,ICC,LCIA]RulesofArbitration(orthe[MediationInstitution]procedures)shallgovernthearbitration/mediation.Thearbitration/mediationshallbeconductedin[City,Country].Thedecisionrenderedbythearbitrator(s)/mediatorshallbefinalandbindinguponbothparties.[Orspecifylitigationandthecourt].

Article4-NoticesandCommunication

(a)Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygiven:

(1)Whendeliveredpersonally;

(2)Onebusinessdayafterdepositwithareputablecourierserviceormailingbyregisteredorcertifiedmail,postageprepaid,returnreceiptrequested;

(3)Upontransmissionbyemail,ifbothpartieshavepreviouslyagreedtoreceivecommunicationselectronically.

(b)Noticesshallbeaddressedtothefollowingaddresses:

Employer:[Employer'sAddress]

Contractor:[Contractor'sAddress]

(c)Anychangeintheaddressessetforthaboveshallbenotifiedinwritingtotheotherpartyatleast[Number,e.g.,10]dayspriortothechange.

Article5-Title

ThetitlesoftheArticlesandClausesofthisContractareforconvenienceofreferenceonlyandshallnotinanywayaffecttheinterpretationoftheContract.

Article6-Assignment

(a)TheContractorshallnotassign,transfer,ormortgage,inwholeorinpart,anyofitsrightsorobligationsunderthisContractwithoutthepriorwrittenconsentoftheEmployer.

(b)TheEmployermay,atanytimeaftertheContractorhasfailedtoperformanyofitsessentialobligationsunderthisContract,bywrittennoticetotheContractorappointapersonorentitytotakeoverandcompletetheremainingworksandanyoutstandingobligationsoftheContractor,togetherwiththerighttosueandbesuedintheContractor'splaceforanybreachofContract.TheEmployershallbedeemedtohaveacceptedsuchappointmentiftheContractordoesnotobjectinwritingwithin[Number,e.g.,14]daysofreceivingthenotice.

Article7-Subcontractors

(a)TheContractorshallnotengageanySubcontractorfortheperformanceofanypartoftheWorkswithoutthepriorwrittenconsentoftheEmployer,exceptasprovidedinArticle7.2.

(b)TheContractorshallbefullyresponsiblefortheconductofitsSubcontractorsandforallactsandomissionsofsuchSubcontractors.TheContractorshallindemnifyandholdharmlesstheEmployeragainstallclaims,damages,losses,andexpensesarisingfromtheactsoromissionsofitsSubcontractors.

(c)NoSubcontractorshallbedesignatedbytheEmployer.IftheEmployersuggestsaspecificindividualorentity,theContractorshalleitherrejectthesuggestioninwritingwithin[Number,e.g.,7]daysoracceptitinwriting.IftheContractoraccepts,theEmployer'srequestshallbedeemeda"DesignatedSubcontractor"underthisContract.

Article8-Patents,TitlesandLicences

TheContractorshallberesponsibleforensuringthattheWorksandallland,structures,plant,materials,andequipmentprovidedorusedbytheContractorunderthisContractarefreefromallclaims,encumbrances,liens,orrightsofanythirdparty,includingbutnotlimitedtopatents,copyrights,trademarks,andrightsinortodesigns.TheContractorshallberesponsibleforobtainingandmaintainingalllicenses,permits,andapprovalsnecessaryfortheContractorandtheEmployertocarryouttheWorksandpossesstheWorksuponcompletion.

Article9-PerformanceSecurity

(a)TheContractorshallprovidePerformanceSecuritytotheEmployerintheamountof[Percentage,e.g.,10]%oftheContractPrice,payablewithin[Number,e.g.,28]daysfromthedateoftheContractAgreement.

(b)ThePerformanceSecurityshallconsistofaBankGuaranteeoraPerformanceBondissuedbyabankdesignatedbytheContractorandacceptabletotheEmployer.

(c)ThePerformanceSecurityshallbevaliduntil[Event,e.g.,theissueoftheEmployer'sAcceptanceoftheWorks,orthefinalpaymentunderthisContract,whicheverislater].

(d)TheEmployermaydemandtheperformanceofitsobligationsunderthisContractbytheContractor,ortheEmployermaywithholdanypaymentdueunderthisContracttotheContractor,bywithholdinganequivalentamountofPerformanceSecurityfromthePerformanceSecurityprovidedbytheContractor.TheEmployershallnotbeliabletotheContractorforanydefaultordelayinpaymentbytheEmployeriftheEmployersowithholdesPerformanceSecurity.

(e)IftheContractorfailstoperformanyofitsessentialobligationsunderthisContractafterduenoticeandopportunitytocure,theEmployermay,bywrittennotice,demandthereturnofthefullamountofPerformanceSecurity.

Article10-AdvancePayment

(a)AnAdvancePayment,equalto[Percentage,e.g.,10]%oftheContractPrice,shallbepaidbytheEmployertotheContractorupontheContractor'ssubmissionofavalidlyexecutedPerformanceSecurityandawrittenrequestfortheAdvancePayment.

(b)TheContractorshallprovideaBankGuaranteefortheAdvancePaymentequalto[Percentage,e.g.,100]%oftheAdvancePaymentamount,issuedbyabankdesignatedbytheEmployerandacceptabletotheContractor.

(c)TheContractorshallusetheAdvancePaymentsolelyforthepurposesofmobilizationtothesitefortheexecutionoftheWorks.

(d)TheAdvancePaymentshallberepaidbytheContractorin[Number,e.g.,24]equalmonthlyinstallments,commencingwiththefirstpaymentdueunderArticle17,followingthedateofthefirstpaymentoftheAdvancePayment,providedthattheContractoristheninfullcompliancewithallitsobligationsunderthisContract,includingthepaymentoftaxesandinsurancepremiumsduefromtheContractor.

(e)TheEmployershalldeductthemonthlyinstallmentoftheAdvancePaymentfromeachpaymentdueunderArticle17.

Article11-RetentionMoney

(a)TheEmployershallretain[Percentage,e.g.,5]%ofthevalueoftheWorkscertifiedforpaymentunderArticle17asRetentionMoney.

(b)TheRetentionMoneyshallbereleasedbytheEmployertotheContractor[Event,e.g.,upontheissueoftheEmployer'sAcceptanceoftheWorks,oraftertheexpirationofaperiodof[Number,e.g.,12]monthsfollowingthedateoftheEmployer'sAcceptance,whicheverislater],providedthattheContractorhasfullyperformedallitsobligationsunderthisContract,includingthepaymentofalltaxesandinsurancepremiumsduefromtheContractor,andhasfullypaidallamountsduetotheEmployerunderthisContract.

(c)IftheContractorfailstoperformanyofitsobligationsunderthisContractafterduenoticeandopportunitytocure,theEmployermaywithholdtheRetentionMoneyuntilsuchobligationshavebeenfulfilled.

Article12-ProvisionalSums

(a)TheContractPriceshallincludeestimatedcostsforcertainitemsofwork,thecostofwhichcannotyetbereliablyestimated.TheestimatedcostsforsuchitemsshallbesetforthintheBillofQuantitiesunderaseparateheading,"ProvisionalSums".

(b)TheestimatedcostofeachProvisionalSumshallbeconsideredaprovisionforpotentialexpenditurebytheContractorandshallbeincludedintheContractor'sprice.

(c)ThefinalcostofeachProvisionalSumshallbedeterminedbytheEngineeraftertheconclusionoftheWorks.TheEngineershallcertifytheactualcostoftheProvisionalSumandtheextentoftheworkdonethereonforpaymentunderArticle17.

(d)TheEmployershallbeliableonlyfortheactualcostoftheworkdoneunderaProvisionalSum,ascertifiedbytheEngineer,providedthatsuchcostdoesnotexceedtheestimatedcostincludedintheContractPrice.

Article13-DayWork

(a)WhereanyworkisexecutedunderthisContractwhichcannotbeconvenientlymeasuredbyreferencetotheBillofQuantities,theContractormayperformsuchworkunderaDayWorkarrangement.

(b)DayWorkshallbemeasuredbytheEngineerandshallbepaidattheratesspecifiedintheBillofQuantitiesforDayWork,oratsuchotherratesastheEngineermayfixafterconsultationwiththeContractor,providedthatsuchratesarereasonableandconsistentwithcurrentmarketratesforsimilarwork.

(c)TheContractorshallkeeprecordsoftheDayWorkperformedandshallsubmitthemtotheEngineerforcertificationwithin[Number,e.g.,7]daysafterthecompletionofeachday'swork.

Article14-EstimatedCosts

(a)TheContractPriceshallincludeestimatedcostsforcertainitemsofwork,thecostofwhichcannotyetbereliablyestimated.TheestimatedcostsforsuchitemsshallbesetforthintheBillofQuantitiesunderaseparateheading,"EstimatedCosts".

(b)TheestimatedcostofeachEstimatedCostshallbeconsideredaprovisionforpotentialexpenditurebytheContractorandshallbeincludedintheContractor'sprice.

(c)ThefinalcostofeachEstimatedCostshallbedeterminedbytheEngineeraftertheconclusionoftheWorks.TheEngineershallcertifytheactualcostoftheEstimatedCostandtheextentoftheworkdonethereonforpaymentunderArticle17.

(d)TheEmployershallbeliableonlyfortheactualcostoftheworkdoneunderanEstimatedCost,ascertifiedbytheEngineer,providedthatsuchcostdoesnotexceedtheestimatedcostincludedintheContractPrice.

Article15-VariationinPrice

(a)ThepricessetforthintheBillofQuantitiesshallbefixedforthedurationoftheContract,exceptasprovidedinthisArticle.

(b)ThepriceofanyitemofworkincludedintheBillofQuantitiesmaybevariedbytheEngineerinaccordancewiththefollowingprovisions:

(1)PriceAdjustmentFormula:ThepriceforcertainitemsofworkshallbeadjustedinaccordancewiththeformulasetforthintheParticularConditions[orspecifytheformuladetails,e.g.,basedonarelevantPriceIndex].

(2)CostPlusFixedFee:ThepriceforcertainitemsofworkshallbebasedontheactualcostincurredbytheContractorplusafixedfeeof[Amount/Fraction]foreachunitofwork,asdeterminedbytheEngineer.

(3)CostPlusAward:ThepriceforcertainitemsofworkshallbebasedontheactualcostincurredbytheContractorplusanawardbasedontheContractor'sperformanceinrelationtoapre-agreedtarget,asdeterminedbytheEngineerinaccordancewiththeParticularConditions.

Article16-Measurement

(a)ThequantitiesoftheWorksexecutedbytheContractorshallbemeasuredbytheEngineerinaccordancewiththeprinciplessetoutintheSpecificationsandthemethodsofmeasurementsetforthintheBillofQuantities.

(b)TheContractorshallkeeprecordsofthequantitiesofworkdoneandshallsubmitthemtotheEngineerforcertificationatintervalsof[Number,e.g.,10]days.

(c)TheEngineershallissueacertificateofmeasurementwithin[Number,e.g.,7]daysofreceiptoftheContractor'srecords.

Article17-Payment

(a)PaymentsunderthisContractshallbemadein[Currency]inaccordancewiththefollowingschedule:

(1)AninitialpaymentshallbemadebytheEmployertotheContractorupontheContractor'ssubmissionofavalidlyexecutedPerformanceSecurityandawrittenrequestforpayment,providedthattheContractorhasmobilizedsufficientplantandequipmenttothesitetoenablethecommencementoftheWorks.

(2)SubsequentpaymentsshallbemadebytheEmployertotheContractoratintervalsof[Number,e.g.,28]daysfromthedateoftheinitialpayment,providedthattheContractorhassubmittedtheEngineer'scertificateofmeasurementfortheprecedingperiodandhasperformedtheWorksinaccordancewiththisContract.

(3)Eachpaymentshallbesubjecttothefollowingdeductions:

(a)ThebalanceofanyoutstandingProvisionalSumorEstimatedCost.

(b)ThebalanceofanyoutstandingDayWorkcharges.

(c)Thebalanceofanyoutstandingcostsofvariations.

(d)ThebalanceofanyoutstandingcostsofPrimeCostItems.

(e)Thebalanceofanyoutstandingcostsofsubcontractors.

(f)Anyapplicabletaxesorduties.

(g)ThebalanceofanyPerformanceSecurityretainedunderArticle9.

(h)ThebalanceofanyRetentionMoneyretainedunderArticle11.

(4)ThefinalpaymentshallbemadebytheEmployertotheContractorwithin[Number,e.g.,28]daysafterthedateoftheEngineer'scertificateofacceptanceoftheWorks,beingapaymentofalloutstandingamountsduetotheContractorunderthisContract,lessanycostsincurredbytheEmployerinconnectionwiththeWorks.

(b)EachpaymentshallbeaccompaniedbyastatementfromtheContractorsettingouttheamountsdueandtheamountscertifiedforpayment.

(c)TheContractorshallbeentitledtointerestattherateof[Percentage,e.g.,6]%perannumonanyamountdueunderthisContractwhichisnotpaidwithin[Number,e.g.,28]daysafterthedateonwhichitbecamedue,calculatedfromtheduedateuntilthedateofpayment.

Article18-Contractor'sPlantandEquipment(P&E)

(a)TheContractorshallprovideallplant,machinery,equipment,temporaryworks,andmaterialsnecessaryfortheexecutionandcompletionoftheWorksinasuitableandgoodconditionofworkingorder.

(b)TheContractorshallberesponsibleforthedesign,supply,installation,maintenance,andoperationofallsuchplantandequipment.

(c)TheContractorshallmaintainallsuchplantandequipmentinagoodstateofrepairandshallensurethatitisfullyinsuredagainstallrisksoflossordamage.

(d)TheContractorshallberesponsibleforthecostoftransportingallsuchplantandequipmenttoandfromthesite.

Article19-Employer'sPlantandEquipment(P&E)

(a)TheEmployershallprovide[SpecifydescriptionandquantityofEmployer'sP&E,e.g.,"allnecessaryaccessroads,powersupply,andwatersupplytothesite"],unlessotherwisespecifiedintheParticularConditions.

(b)TheEmployershallberesponsibleforthedesign,supply,installation,maintenance,andoperationoftheEmployer'sP&E.

(c)TheEmployershallmaintainallEmployer'sP&Einagoodstateofrepairandshallensurethatitisfullyinsuredagainstallrisksoflossordamage.

(d)TheContractorshallhavetherighttousetheEmployer'sP&EfreeofchargefortheexecutionoftheWorks,butshallberesponsibleforitspropercareandmaintenancewhileinuse.

Article20-TemporaryWorks

AlltemporaryworksrequiredfortheexecutionoftheWorks,includingbutnotlimitedtoaccessroads,foundations,formwork,scaffolding,andtemporarybuildings,shallbedesigned,constructed,maintained,andremovedbytheContractorattheContractor'sowncostandrisk,unlesstheParticularConditionsspecifyotherwise.

Article21-MaterialsandPlant

(a)AllmaterialsandplantsuppliedbytheContractorfortheWorksshallbeofgoodqualityandshallconformtothespecificationssetforthintheSpecifications.

(b)TheContractorshallberesponsibleforthecostoftransportingallmaterialsandplanttothesite.

(c)Allmaterialsandplantshallbestored,handled,andprotectedbytheContractorattheContractor'sowncostandrisk.

(d)TheContractorshallberesponsibleforthedesign,supply,andinstallationofallplant,unlesstheParticularConditionsspecifyotherwise.

(e)AllmaterialssuppliedbytheContractorshallbefullyinsuredagainstallrisksoflossordamage.

Article22-Inspection

TheEmployeroritsrepresentativeshallhavetherightatallreasonabletimesandwithoutnoticetoenterthesiteandinspecttheWorks,theplans,specifications,records,andaccountsoftheContractor,andanymaterialsandplantbeingusedinorfortheWorks,forthepurposeofascertainingwhethertheWorksarebeingexecutedinaccordancewiththisContract.TheContractorshallprovideallreasonablefacilitiesandassistancenecessaryforsuchinspections,withoutanycosttotheEmployer.

Article23-AcceptanceofWorks

(a)TheWorksshallbedeemedtobeacceptedbytheEmployerwhentheEngineerissuesaCertificateofAcceptancethereof,providedthattheWorkshavesubstantiallyachievedtheintendedpurposeandconformtotheSpecifications.

(b)TheCertificateofAcceptanceshallspecifythedateandtheextentoftheWorksaccepted.

(c)TheissueoftheCertificateofAcceptanceshallnotreleasetheContractorfromitsobligationsunderthisContract,includingtheobligationtoremedyanydefectsintheWorksdiscoveredaftertheacceptance.

Article24-DefectsLiability

(a)TheContractorshallguaranteethattheWorksshallbecompleted,constructed,andequippedwithnecessaryplantandequipmentinaccordancewiththeContractdocumentsandshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[Number,e.g.,12]monthsfromthedateoftheEmployer'sAcceptanceoftheWorks.

(b)TheContractorshallberesponsibleforthecostofremedyinganydefectsintheWorksdiscoveredduringtheDefectsLiabilityPeriod,uponthewrittennoticeoftheEmployer.

(c)TheContractorshallhavetherighttoentertheWorksandremediatethedefectsatanyreasonabletimeduringtheDefectsLiabilityPeriod.

(d)TheDefectsLiabilityPeriodshallnotbeextendedexceptbyagreementbetweentheEmployerandtheContractor.

Article25-CertificateofCompletion

(a)TheContractorshallbedeemedtohavecompletedtheWorkswhentheWorkshavesubstantiallyachievedtheintendedpurposeandconformtotheSpecifications.

(b)TheContractorshallnotifytheEngineerinwritingofitscompletionoftheWorks.

(c)TheEngineershallinspecttheWorksandissueaCertificateofCompletionwithin[Number,e.g.,14]daysofreceivingtheContractor'snotification.

(d)TheissueoftheCertificateofCompletionshallentitletheContractortoreceivetheEmployer'sAcceptanceoftheWorksunderArticle23.

Article26-Employer'sAcceptance

(a)TheEmployer'sAcceptanceoftheWorksshallbeevidencedbytheissueoftheEngineer'sCertificateofCompletionunderArticle25.

(b)TheEmployershallnotbeliabletopayanyfurtheramounttotheContractoraftertheissueoftheCertificateofCompletion,exceptasprovidedinArticle23andArticle11.

Article27-Guarantee

TheContractorshallprovideaGuaranteecoveringthematerialsandworkmanshipoftheWorksforaperiodof[Number,e.g.,5]yearsfromthedateoftheEmployer'sAcceptanceoftheWorks.

Article28-Insurance

(a)TheContractorshallprocureandmaintainduringthewholeperiodofthisContractthefollowinginsurances,eachinsuchsumsastheEmployermayreasonablyrequire:

(1)InsuranceagainstallrisksoflossordamagetotheWorks,plant,andmaterialsownedorusedbytheContractoronthesite,foranaggregatesumnotlessthan[Amount][Currency].

(2)InsuranceagainstallrisksoflossordamagetotheEmployer'sP&Eonthesite,foranaggregatesumnotlessthan[Amount][Currency].

(3)LiabilityinsurancetocoverallliabilitiesoftheContractorfordeathoforpersonalinjurytoanypersonandfordamagetopropertyofanypersonresultingfromanylossofordamagetotheWorks,plant,andmaterialsownedorusedbytheContractoronthesite,foranaggregatesumnotlessthan[Amount][Currency].

(b)TheContractorshallprovidecertificatesofinsurancetotheEmployerwithin[Number,e.g.,14]daysoftheinceptionoftheinsurance.

Article29-ForceMajeure

(a)"ForceMajeure"meansaneventoreventualitybeyondthereasonablecontroloftheContractor,whichcouldreasonablybeexpectedtoaffecttheperformanceoftheContractorunderthisContract,including,butnotlimitedto,fire,flood,explosion,storm,tempest,hurricane,typhoon,earthquake,civilcommotion,war,insurrection,revolution,riot,strike,lockout,oranyactofgovernmentorgovernmentalauthority,whetherornotillegal.

(b)IftheContractorispreventedordelayedinperforminganyofitsobligationsunderthisContractbyForceMajeure,theContractorshallimmediatelynotifytheEngineerinwritingofthenatureoftheeventoreventualityandshalltakeallreasonablemeasurestomitigatetheeffectsthereof.

(c)TheContractorshallnotbeliableforanydelayorfailureinperformancecausedbyForceMajeure,butshallbeentitledtoacorrespondingextensionofthetimeforperformanceofitsobligations.

(d)TheEmployershallnotbeliableforanydelayorfailureinperformancecausedbyForceMajeure.

Article30-SuspensionofWork

(a)TheEmployermaysuspendtheWorksbywrittennoticetotheContractoriftheContractorhasfailedtoperformanyofitsessentialobligationsunderthisContractafterduenoticeandopportunitytocure.

(b)TheContractorshallbeentitledtosuspendtheWorksbywrittennoticetotheEngineeriftheEmployerhasfailedtoperformitsessentialobligationsunderthisContractafterduenoticeandopportunitytocure,includingbutnotlimitedtothenon-paymentofsumsdueunderthisContract.

(c)TheEmployershallbeliableforanyadditionalcostsincurredbytheContractorasaresultofthesuspensionoftheWorks.

(d)ThetimeforperformanceoftheContractor'sobligationsunderthisContractshallbeextendedbytheperiodofthesuspension.

Article31-SuspensionbyContractor

TheContractorshallbeentitledtosuspendtheWorksbywrittennoticetotheEngineerif:

(a)TheEmployerhasfailedtopayanysumduetotheContractorunderthisContractforaperiodof[Number,e.g.,28]daysafterthedateonwhichitbecamedue;or

(b)TheEmployerhasfailedtoprovideaccesstothesitefortheexecutionoftheWorksforaperiodof[Number,e.g.,14]daysafterthedateonwhichaccesswaspromised.

(c)TheContractorshallbeliableforanyadditionalcostsincurredbytheEmployerasaresultofthesuspensionoftheWorks.

Article32-Time

(a)TheContractshallbeexecutedwithinaperiodof[Number,e.g.,36]monthsfromthedateoftheContractAgreement,unlesstheParticularConditionsspecifyotherwise.

(b)TheContractorshallusereasonableeffortstocompletetheWorkswithintheagreedtime.

(c)TheEngineershallcertifythedateofcompletionoftheWorksupontheissueoftheEmployer'sAcceptanceoftheWorks.

Article33-Completion

TheWorksshallbedeemedtobecompletedwhentheEngineerissuesaCertificateofCompletionunderArticle25.

Article34-Variations

(a)TheEmployermayvarytheWorksbyissuingawritteninstructiontotheContractor.

(b)TheContractorshallcarryoutanyvariationdirectedbytheEmployerattheContractor'sowncostunlesstheParticularConditionsspecifyotherwise.

(c)TheEngineershallcertifythevalueofanyvariationforpaymentunderArticle17.

Article35-SuspensionorModificationofPriceAdjustment

[ThisArticlewoulddetailanyspecificprovisionsagreeduponregardingthesuspensionormodificationofthepriceadjustmentmechanismschosenunderArticle15,ifapplicable.]

Article36-CareofContractor'sEquipment,Materials,TemporaryWorksandDocuments

AftertheconclusionoftheWorks,theContractorshallberesponsibleforremovingitsequipment,materials,andtemporaryworksfromthesiteatitsowncost,unlesstheParticularConditionsspecifyotherwise.TheContractorshallbeentitledtoretainanydocumentsbelongingtoitonthesiteuntiltheyarepaidforbytheEmployer.

Article37-Termination

(a)ThisContractmaybeterminatedbytheEmployerbytheissueofawrittennoticetotheContractoriftheContractorhasfailedtoperformanyofitsessentialobligationsunderthisContractafterduenoticeandopportunitytocure.

(b)TheContractorshallbeentitledtoterminatethisContractbytheissueofawrittennoticetotheEngineeriftheEmployerhasfailedtoperformitsessentialobligationsunderthisContractafterduenoticeandopportunitytocure,includingbutnotlimitedtothenon-paymentofsumsdueunderthisContract.

(c)Intheeventoftermination,theEmployershallbeliabletopaytotheContractorallsumsdueunderthisContractuptothedateoftermination,togetherwithanyinterestduethereon.

Article38-Rescission

ThisContractmayberescindedbyeitherpartybytheissueofawrittennoticetotheotherpartyiftheotherpartyhasfailedtoperformanyofitsessentialobligationsunderthisContractafterduenoticeandopportunitytocure.

Article39-Disputes

[ThisArticlewouldincorporatethespecificdisputeresolutionmechanismagreeduponinArticle3,detailingtheprocessfornegotiation,mediation,disputereview,arbitration,orlitigation.]
