2026年国际贸易合同进出口贸易合作标准条款ThisInternationalTradeContract(the"Contract")ismadeandenteredintoon[InsertDate],in[InsertCity],[InsertCountry],byandbetween:[InsertFullLegalNameofExporter],acompanyorganizedandexistingunderthelawsof[InsertExporter'sCountry]withitsregisteredaddressat[InsertExporter'sFullAddress]("Exporter"),and[InsertFullLegalNameofImporter],acompanyorganizedandexistingunderthelawsof[InsertImporter'sCountry]withitsregisteredaddressat[InsertImporter'sFullAddress]("Importer").(Hereinaftercollectivelyreferredtoasthe"Parties")Article1:PartiesandBackground1.1ThisContractisenteredintobyandbetweentheExporterandtheImporterforthepurposeofpurchasingandsellingtheGoodsdescribedherein.1.2TheExporteristhesellerandtheImporteristhebuyeroftheGoodsunderthisContract.1.3ThePartiesagreetobeboundbythetermsandconditionssetforthinthisContract.Article2:DescriptionofGoods2.1TheGoodstobesuppliedunderthisContractare[InsertDetailedDescriptionofGoodsincludingName,Model,Specifications,TechnicalParameters,Materials,etc.],withatotalquantityof[InsertQuantity][InsertUnitofMeasurement].2.2ThequalityoftheGoodsshallconformtothestandardsspecifiedinAppendix[InsertAppendixNumber,ifany],ortothespecificationsagreeduponbythePartiesandconfirmedinwriting.TheGoodsshallbenew,unused,andofgoodquality,conformingtotheapplicableinternationalorindustrystandardswithoutanyhiddendefects.2.3ThepackagingoftheGoodsshallbesuitablefortransportation,protectthecontentsduringtransit,andbeartherequiredmarkingsaspertheIncoterms®rules.Article3:PriceandPayment3.1TheunitpriceoftheGoodsis[InsertCurrency][InsertAmount]per[InsertUnitofMeasurement],andthetotalpriceoftheGoodsis[InsertCurrency][InsertAmount].3.2Thetotalpriceissubjectto[Insertanyapplicabletradeterms,e.g.,FOB,CIF,EXW,FCA,etc.]Incoterms®[InsertrelevantIncoterms®version,e.g.,2020],asperthedefinitionsprovidedintheInternationalChamberofCommerce(ICC)publication.3.3ThepaymentfortheGoodsshallbemadeby[InsertPaymentMethod,e.g.,irrevocableletterofcredit,telegraphictransfer,documentarycollection,etc.].3.4IfpaymentisbyLetterofCredit(L/C),theL/CshallbeopenedbytheBuyerthroughabankdesignatedbytheBuyerandacceptabletotheSeller.TheL/Cmustbeavailable[InsertL/Cterm,e.g.,atsight,byacceptance,etc.]andmustbeirrevocable.TheL/Cmustbeissuednolaterthan[Insertdate]andmustremainopenuntilthedateforshipmentexpiresplus[Insertnumber]days.AllL/CchargesoutsidetheSeller'scountryshallbebornebytheBuyer.TheL/Cmustpermitpartialshipmentsandtransshipment.3.5IfpaymentisbyTelegraphicTransfer(T/T),a[Insertpercentage,e.g.,30%]depositshallbepaidbytheBuyertotheSellerwithin[Insertnumber]daysaftertheContractissigned.Theremaining[Insertpercentage,e.g.,70%]balanceshallbepaidbytheBuyerbeforetheGoodsareshipped.ThebalancepaymentshallbemadeupontheSeller'spresentationoftheshippingdocuments.Article4:DeliveryandShipment4.1TheGoodsshallbedeliveredex[Insertnamedplaceofshipment,e.g.,theSeller'sfactory,port,etc.]aspertheIncoterms®termspecifiedinArticle3.2.4.2Theshipmentshallbemadeduringtheperiodfrom[Insertstartdate]to[Insertenddate].4.3TheExportershallarrangefortheshipmentoftheGoodsandshallnotifytheImporteroftheexpectedshipmentdateandthedetailsofthevessel/aircraft/vehicleatleast[Insertnumber]daysinadvance.4.4TheExportershallbearallcostsandrisksinvolvedintheshipmentundertheIncoterms®termspecified.TheExportershallprocurethetransportationoftheGoodsby[Insertmodeoftransport,e.g.,sea,air,rail,road,etc.]andshallmakeallnecessaryarrangementswiththecarrier.4.5TheExportershallberesponsibleforobtainingandpayingall出口customsdutiesandtaxesrequiredbytheExporter'scountry.TheImportershallberesponsibleforobtainingallnecessaryimportlicenses(ifany),payingallimportduties,taxes,andfeesrequiredbytheImporter'scountry,andformakingtheentryoftheGoodsintotheImporter'scountry.Article5:RiskTransfer5.1TheriskoflossordamagetotheGoodsshallpassfromtheSellertotheBuyerwhentheGoodsare[InsertpointofrisktransferbasedonIncoterms®,e.g.,onboardthevesselattheportofshipment,etc.].Article6:InspectionandAcceptance6.1TheGoodsshallbesubjecttoinspectionbythe[Insertinspectingparty,e.g.,Seller,Buyer,orathird-partyinspectordesignatedbytheBuyer]at[Insertinspectionlocation,e.g.,theSeller'sfactory,port,etc.]beforeshipment.6.2TheinspectionshallbeconductedinaccordancewiththequalitystandardsspecifiedinArticle2.2.TheinspectorshallissueacertificateofinspectionconfirmingcompliancewiththeContractterms.6.3TheBuyershallhavetherighttoexaminetheGoodsuponarrivalattheportofdestinationwithin[Insertnumber]daysafterthedateofarrival.TheBuyershallnotifytheSellerinwritingofanydiscrepanciesfoundwithin[Insertnumber]daysaftertheexamination.FailuretomakesuchnotificationwithinthespecifiedperiodshallconstituteacceptanceoftheGoods.6.4IftheBuyerexercisesitsrightofinspectionandfindstheGoodsdonotconformtotheContract,theBuyermay,atitsownexpense,sendarepresentativetotheSeller'spremisestowitnessare-inspection.There-inspectionresultsshallbefinalandbindinguponbothParties.Article7:QualityGuaranteeandWarranty7.1TheGoodsshallbeguaranteedbytheSellertobefreefromdefectsinmaterialsandworkmanshipforaperiodof[Insertnumber]monthsfromthedateofarrivaloftheGoodsattheportofdestination,providedsuchdefectsarecausedbymaterialsorworkmanshipandarediscoveredwithintheinspectionperiodspecifiedinArticle6.3.7.2Duringthewarrantyperiod,theSellershall,atitsownexpense,repairorreplace,atitsoption,anydefectivepartswithoutdeductionfromtheprice.TheBuyershallbearallcostsforreturningthedefectiveGoodstotheSellerandforre-inspection.Article8:ForceMajeure8.1ThePartiesshallbeexemptedfromliabilityforanyfailureordelayinperformingtheirobligationsunderthisContractifsuchfailureordelayiscausedbyForceMajeure,whichmeanseventsbeyondtheirreasonablecontrol,including,butnotlimitedto,war,warlikeacts,riots,civilcommotions,strikes,actsofgovernment,earthquake,flood,hurricane,typhoon,epidemic,andothersimilarevents.8.2ThePartysufferingfromForceMajeureshallpromptlynotifytheotherPartyinwritingoftheoccurrenceofsucheventandshallproviderelevantsupportingdocuments.ThePartynotifiedshallhavetherighttosuspend,postpone,oreventerminatetheperformanceofitsobligationsunderthisContractforthedurationoftheForceMajeureevent.Article9:IntellectualPropertyRights9.1TheSellerrepresentsandwarrantsthattheGoodssuppliedunderthisContractdonotinfringeuponanyintellectualpropertyrightsofanythirdparty.TheSellershallindemnifyandholdharmlesstheBuyerfromanyclaims,losses,damages,costs,andexpensesarisingfromorinconnectionwithanythird-partyintellectualpropertyrightsinfringementrelatedtotheGoods.9.2TheSellergrantstotheBuyeranon-exclusive,non-transferable,andnon-assignablelicensetousetheintellectualpropertyrightsnecessaryforthepurposeofthisContractduringthetermthereof.Article10:BreachofContractandRemedies10.1IfeitherPartybreachesanytermorconditionofthisContract,theotherPartyshallhavetherighttoclaimdamagesandtotakesuchlegalorequitableactionasitdeemsnecessarytoprotectitsrightsandinterests.10.2IftheBuyerfailstomakethepaymentontime,theSellershallhavetherighttochargealatepaymentinterestatarateof[Insertinterestrate]perannumontheoverdueamount.10.3IftheSellerfailstodelivertheGoodsasagreed,theSellershallbeliableforanylossesincurredbytheBuyer.TheBuyershallhavetherighttocancelthisContractandclaimcompensationfromtheSeller.Article11:GoverningLawandDisputeResolution11.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertGoverningLaw,e.g.,People'sRepublicofChina].11.2AnydisputearisingoutoforinconnectionwiththisContractshallbefinallysettledby[InsertDisputeResolutionMethod,e.g.,arbitrationinaccordancewiththeRulesofArbitrationofthe[InsertArbitrationInstitution,e.g.,ChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)]orlitigationatthecourtsof[InsertCourt,e.g.,thePeople'sCourtof[InsertCity],[InsertCountry]]].The仲裁/诉讼shallbeconductedin[InsertLanguage,e.g.,EnglishorChinese].Article12:Notices12.1Allnotices,requests,demands,andothercommunicationshereundershallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredpost,sentbyemail,orcabled.12.2AllnoticesshallbeaddressedtothePartiesattheaddressessetforthinArticle1ortosuchotheraddressoraddressesaseitherPartymaydesignateinwriting.Article13:Confidentiality13.1EachPartyagreestokeepconfidentialallinformationdisclosedbytheotherPartyinconnectionwiththisContract,includingbutnotlimitedtotechnicalinformation,businesssecrets,andcustomerlists.Thisconfidentialityobligationshallnotapplytoinformationthat:(a)isorbecomespubliclyknownwithoutbreachofthisContract;(b)isobtainedfromathirdpartywithoutbreachofsuchthirdparty'sobligationsofconfidentiality;or(c)isrequiredbylaworregulationtobedisclosed.Article14:EntireAgreement14.1ThisContract,includingtheAppendices(ifany),constitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisContract.Article15:Amendments15.1AnyamendmentormodificationofthisContractshallbevalidonlyifmadeinwritingandsignedbyauthorizedrepresentativesofbothParties.Article16:TermandTermination16.1ThisContractshallcommenceonthedateofitssigningandshallremaininforceforaperiod
