2026年车载智能硬件合同协议ThisAgreementismadeandenteredintoasof[EffectiveDate],byandbetween[SupplierName],acompanyorganizedandexistingunderthelawsof[SupplierCountry]withitsprincipalplaceofbusinessat[SupplierAddress]("Supplier"),and[CustomerName],acompanyorganizedandexistingunderthelawsof[CustomerCountry]withitsprincipalplaceofbusinessat[CustomerAddress]("Customer").1.Parties1.1.ThisAgreementisenteredintobetweenSupplierandCustomer("theParties").2.Background2.1.WHEREAS,Supplierisengagedinthedesign,development,manufacturing,andsupplyofadvancedautomotiveintelligenthardwareproducts("Goods");2.2.WHEREAS,Customerisengagedinthedesign,development,manufacturing,andmarketingofautomobilesandrequirescertainGoodsforintegrationintoitsvehicles;2.3.NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thePartiesagreeasfollows:3.ProductDefinitionandSpecifications3.1.DefinitionofGoods:TheGoodssubjectmatterofthisAgreementshallbespecifiedinExhibitAattachedheretoandincorporatedbyreferenceherein.TheGoodsshallinclude[Listspecificmodelsortypesofhardware,e.g.,"ModelXYZSmartCockpitModule"],incorporatingembeddedsoftwareandfirmwareasdescribedtherein.3.2.Specifications:TheGoodsshallconformtothetechnicalspecifications,performanceindicators,andstandardsdetailedinExhibitA,includingbutnotlimitedto[Listkeyspecifications,e.g.,"ISO26262functionalsafetystandardASILB","Wi-Fi6connectivity","IntegrationwithCustomer'svehicleplatformAPIversion3.0"].AllspecificationsareconsideredpartofthisAgreement.4.OrderPlacement4.1.OrderPlacement:CustomershallplaceordersfortheGoodsvia[Specifymethod,e.g.,"awrittenpurchaseorderdeliveredbymail,fax,oremailtoSupplier'saddressspecifiedinSection1"].4.2.OrderContent:EachordershallclearlyspecifythemodelofGoods,quantity,configurationoptions,requireddeliverydateordeliveryschedule,andunitpriceortotalpriceasapplicable.4.3.OrderConfirmation:Suppliershallacknowledgeacceptanceofeachorderwithin[Number,e.g.,"5"]businessdaysofreceipt.Confirmationshallbeinwritingorviatheagreedelectronicsystem.5.Delivery5.1.DeliveryMethod:DeliveryoftheGoodsshallbemade[SpecifyIncotermsterm,e.g.,"DDP","DAP"]toCustomer'spremisesat[CustomerAddress]orsuchotherlocationagreedinwritingbytheParties.AllcostsandrisksassociatedwithtransportationandcustomsclearanceunderthechosenIncotermstermshallbebornebySupplier.5.2.DeliverySchedule:ThedeliveryofGoodsshalloccurinaccordancewiththescheduleoutlinedinExhibitBattachedheretoandincorporatedbyreferenceherein.Suppliershallusecommerciallyreasonableeffortstomeettheagreeddeliverydates.5.3.Packaging:TheGoodsshallbepackedinamannersuitableforsafetransit,usingstandardindustrypracticesorasotherwisemutuallyagreedinwriting.5.4.RiskofLoss:TheriskoflossordamagetotheGoodsshallpassfromSuppliertoCustomerupon[Specifyevent,e.g.,"deliveryoftheGoodstothecarrier","arrivaloftheGoodsatCustomer'spremises"]asdefinedbythechosenIncotermsterm.6.Acceptance6.1.Inspection:CustomershallhavetherighttoinspecttheGoodsuponreceipt.Customershallconductaninspectionwithin[Number,e.g.,"15"]daysfromthedateofdeliverytodeterminecompliancewiththespecifications.6.2.AcceptanceCriteria:TheGoodsshallbedeemedacceptedifanydeviationsarewithinthetolerancelevelsspecifiedinExhibitAorifCustomerdoesnotobjectinwritingwithintheinspectionperiod.Majordeviationsexceedingthespecifiedtolerancesshallconstitutegroundsforrejection.6.3.AcceptancePeriod:Customer'sacceptanceorrejectionoftheGoodsmustbecommunicatedinwritingtoSupplierwithintheacceptanceperiod.6.4.DeficiencyNotice:IfCustomeridentifiesanyGoodsthatdonotconformtothespecifications,CustomermustprovideSupplierwithawrittennoticedetailingthedeficiencieswithin[Number,e.g.,"3"]daysoftheinspectiondate,alongwithrelevantdocumentationorsamples.FailuretoprovidesuchnoticewithinthespecifiedtimeframeshallconstituteacceptanceoftheGoodsasdelivered.7.Price,PaymentandPaymentTerms7.1.Pricing:ThepricefortheGoodsshallbeasspecifiedintheorderconfirmationorattachedpricelist,unlessotherwiseagreedinwriting.Pricesarevaliduntil[Specifydateorcondition].7.2.PaymentTerms:PaymentfortheGoodsshallbemadeasfollows:a.Anadvancepaymentof[Percentage,e.g.,"30"]%ofthetotalordervalueshallbepaidbyCustomertoSupplierwithin[Number,e.g.,"30"]daysofSupplier'swrittenconfirmationoftheorder.b.TheremainingbalanceshallbepaidbyCustomertoSupplierwithin[Number,e.g.,"60"]daysafterthedateCustomerconfirmswrittenacceptanceoftheGoodsorreceivestheGoods,whicheveroccurslater.7.3.PaymentMethod:Paymentsshallbemadeby[Specifymethod,e.g.,"wiretransfer"]toSupplier'sbankaccountidentifiedasfollows:BankName:[BankName]AccountNumber:[AccountNumber]AccountName:[AccountName]BankAddress:[BankAddress]SWIFTCode:[SWIFTCode]7.4.LatePaymentInterest:IfCustomerfailstopayanyamountdueunderthisAgreementbytheduedate,CustomershallpayinteresttoSupplieratarateof[Specifyrate,e.g.,"1.5%"]perannumontheoutstandingamountfromtheduedateuntilthedateofpayment,calculateddailyandpayableupondemand.8.QualityAssuranceandAfter-SalesService8.1.WarrantyPeriod:Suppliershallprovideawarrantyperiodof[Number,e.g.,"24"]monthsfromthedateofinstallationandoperationoftheGoodsbyCustomer,unlessotherwiseagreedinwriting.ThewarrantyperiodstartsfromthedateCustomerconfirmsreceiptoftheGoodsinwriting.8.2.WarrantyCoverage:Duringthewarrantyperiod,Suppliershallrepairorreplace,atitsoption,anydefectiveGoodsthatconformtothespecificationsandarisefrommaterialsorworkmanshipdefects,providedthedefectisnotcausedbymisuse,neglect,accident,orunauthorizedmodificationbyCustomer.8.3.WarrantyClaims:CustomershallnotifySupplierinwritingofanyallegeddefectwithinthewarrantyperiod.Customershallprovideevidenceofthedefect,suchasmalfunctionreportsorlogs.SuppliershallhavetherighttoinspecttheGoodstoverifythedefect.8.4.After-SalesService:SuppliershallprovidetechnicalsupportandsoftwareupdatesfortheGoodsforaperiodof[Number,e.g.,"12"]monthsfollowingtheendofthewarrantyperiod,orasmutuallyagreedinwriting.Supportshallbeprovidedvia[Specifychannels,e.g.,"电话hotlineat+[Number]oremailsupport@"]duringbusinesshours.9.IntellectualPropertyRights9.1.Ownership:Allintellectualpropertyrights,includingbutnotlimitedtopatents,copyrights,trademarks,designs,andknow-how,relatedtotheGoodsandthedocumentationprovidedhereinremainthesolepropertyofSupplier.9.2.Licenses:SubjecttothetermsandconditionsofthisAgreement,SuppliergrantsCustomeranon-exclusive,limited,royalty-freelicensetousetheGoodssolelyforthepurposeofintegratingthemintoCustomer'svehiclesandoperatingthemwithinthescopeofCustomer'sbusiness.Thislicenseisterritorialto[Specifyregion,e.g.,"Customer'scountry(ies)ofoperation"]andislimitedtothedurationofthisAgreementplus[Number,e.g,"5"]years.9.3.Confidentiality:EachPartyagreestokeepconfidentialallnon-publicinformationdisclosedbytheotherPartyinconnectionwiththisAgreement("ConfidentialInformation")andnotusesuchConfidentialInformationforanypurposeotherthan履行obligationsunderthisAgreement.ThisobligationshallsurvivetheterminationofthisAgreement.10.DataProcessingandPrivacy10.1.DataCollection:TheGoodsmaycollectdatarelatedtovehicleoperation,usagepatterns,location,anddiagnosticinformation.ThespecifictypesofdatacollectedaredetailedinExhibitCattachedheretoandincorporatedbyreferenceherein.10.2.DataUsage:Suppliermayusethecollecteddataforpurposesincluding,butnotlimitedto,productdevelopment,qualityimprovement,troubleshooting,andprovidingpredictivemaintenanceservicestoCustomer,providedsuchuseisconsistentwiththisAgreementandapplicablelaw.10.3.DataSharing:SuppliershallnotsharethecollecteddatawithanythirdpartywithoutthepriorwrittenconsentofCustomer,exceptasrequiredbylaw,orforservicedeliverypurposesasagreedwithCustomer(e.g.,sharingwithauthorizedserviceprovidersdesignatedbyCustomer).10.4.DataSecurity:Suppliershallimplementcommerciallyreasonabletechnicalandorganizationalmeasurestoprotectthecollecteddatafromunauthorizedaccess,disclosure,alteration,ordestruction.10.5.Compliance:Suppliershallcomplywithallapplicabledataprotectionandprivacylaws,includingbutnotlimitedtothe[Specifylaw,e.g.,"GeneralDataProtectionRegulation(GDPR)"]andthe[Specifylaw,e.g.,"PersonalInformationProtectionLawofCustomer'sCountry"].10.6.PrivacyPolicy:SuppliershallprovideCustomerwithaccesstoitsPrivacyPolicydetailingitsdataprocessingactivitiesrelatedtotheGoods.Customeracknowledgesthatithastherightsprovidedunderapplicableprivacylawsregardingitspersonaldata.11.DisclaimerofWarranties11.1.EXCEPTASEXPRESSLYSTATEDINTHISAGREEMENT,THEGOODSAREPROVIDED"ASIS"WITHOUTANYWARRANTY,EXPRESSORIMPLIED,INCLUDINGBUTNOTLIMITEDTOWARRANTIESOFMERCHANTABILITY,FITNESSFORAPARTICULARPURPOSE,ANDNON-INFRINGEMENT.12.Indemnification12.1.EachPartyshallindemnifyandholdharmlesstheotherPartyfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromtheindemnifyingParty'sbreachofthisAgreementoritsnegligence.13.ForceMajeure13.1.NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayiscausedbyForceMajeure,definedaseventsbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,terrorism,naturaldisasters,governmentactions,orfailureofessentialservices.TheaffectedPartyshallpromptlynotifytheotherPartyofsucheventandtakereasonablestepstomitigateitseffects.14.Liability14.1.TOTHEFULLESTEXTENTPERMITTEDBYLAW,NEITHERPARTYSHALLBELIABLETOTHEOTHERPARTYFORANYDIRECT,INDIRECT,CONSEQUENTIAL,SPECIAL,INCIDENTAL,ORPUNITIVEDAMAGESARISINGOUTOFORINCONNECTIONWITHTHISAGREEMENTORTHEGOODS,INCLUDINGBUTNOTLIMITEDTOLOSSOFPROFITS,DATA,ORBUSINESS,EVENIFADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.14.2.INNOEVENTSHALLTHETOTALLIABILITYOFSUPPLIERTOCUSTOMERUNDERTHISAGREEMENTEXCEEDTHETOTALAMOUNTPAIDBYCUSTOMERTOSUPPLIERFORTHEGOODSPURCHASEDUNDERTHISAGREEMENTINTHEPREVIOUS[Number,e.g.,"12"]MONTHS.15.GoverningLawandDisputeResolution15.1.GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[SpecifyJurisdiction,e.g.,"theStateofDelaware,USA"]withoutregardtoitsconflictoflawsprinciples.15.2.DisputeResolution:Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination
