2026年阿联酋王国工程联合体合同THISAGREEMENTismadeonthedayof________,2025,betweentheUnitedArabEmiratesKingdomGovernmentrepresentedbyitsauthorizedbody(hereinafterreferredtoasthe"Employer")andtheEngineeringJointVentureconsistingof[MemberAName]and[MemberBName](collectivelyreferredtoasthe"Contractor")(hereinafterreferredtoas"eachofthem"andtogetherasthe"Party").Inconsiderationofthemutualcovenantsandpromisescontainedherein,thePartiesagreeasfollows:1.DEFINITIONSANDINTERPRETATION1.1InthisContract,unlessthecontextotherwiserequires,thefollowingtermsshallhavethemeaningsrespectivelyassignedtothem:1.2"Contract"shallmeanthisAgreementtogetherwiththeAppendices,drawings,specifications,andamendmentsissuedhereunder.1.3"Works"shallmeanthecompleteconstructionanddevelopmentoftheProjectasdescribedintheScopeofWorks.1.4"ContractPrice"shallmeanthetotalsumpayablebytheEmployertotheContractorfortheperformanceoftheWorksasstatedinClause3.1.5"ForceMajeure"shallmeananeventbeyondthereasonablecontroloftheParty,includingbutnotlimitedtoactsofGod,war,strike,riot,orgovernmentrestrictions.2.SCOPEOFWORKS2.1TheContractorshalldesign,supply,construct,andcompletetheProjectlocatedintheUnitedArabEmirates(hereinafterreferredtoasthe"Site")inaccordancewiththeDrawings,Specifications,andtechnicaldocumentsissuedbytheEmployer.2.2TheScopeofWorksincludesbutisnotlimitedtothefollowingactivities:sitepreparation,structuralworks,architecturalworks,mechanicalandelectricalinstallations,interiorfinishes,landscaping,andthesupplyofallnecessarymachinery,equipment,andmaterials.2.3TheContractorshallberesponsibleforobtainingallnecessarypermits,licenses,andapprovalsfromtherelevantUAEauthoritiespriortothecommencementofconstruction.2.4TheContractorshallensurethatthedesigncomplieswiththeUAEUniformBuildingCodeandallapplicablelocalsafetyregulations.3.CONTRACTPRICEANDPAYMENT3.1TheContractPriceisafixedpriceinUAEDirhams(AED)amountingtoAED[InsertAmount],exclusiveofValueAddedTax(VAT)unlessotherwisestated.3.2PaymentshallbemadebytheEmployertotheContractoronamonthlybasisbasedonthepercentageofworkcompletedasverifiedbytheEmployer'sRepresentative.3.3TheContractorshallsubmitinvoicesforpaymentwithin[InsertNumber]daysfollowingtheendofeachcalendarmonth.3.4TheEmployershallmakepaymentswithin[InsertNumber]daysofreceivingavalidinvoice,subjecttothedeductionofretentionmoney.3.5Aretentionmoneyequivalenttotenpercent(10%)ofthevalueofeachmonthlypaymentshallbewithheldbytheEmployeruntiltheissuanceoftheCertificateofPracticalCompletion.3.6Theretentionmoneyshallbereleasedintwoequalinstallments:thefirstinstallmentoffivepercent(5%)upontheissuanceoftheDefectsLiabilityCertificate,andthefinalinstallmentoffivepercent(5%)upontheexpirationoftheDefectsLiabilityPeriod.4.TIMEFORCOMPLETION4.1TheContractorshallcommencetheWorksontheCommencementDatespecifiedintheAppendixtoFormofContractandshallcompletetheentireWorkswithinaperiodof[InsertNumber]monthsorbyDecember31,2026,whicheverisearlier.4.2TheContractorshallachievethefollowingkeymilestones:thefoundationworksshallbecompletedwithin[InsertNumber]monthsoftheCommencementDate;thesuperstructurecompletionshallbeachievedby[InsertDate];andthehandoveroftheprojectshallbeachievedby[InsertDate].4.3IftheContractorfailstocompletetheWorkswithintheagreedtimeframe,theEmployershallbeentitledtoclaimliquidateddamagescalculatedatarateof[InsertPercentage]%oftheContractPriceperdayforeachdayofdelay.5.JOINTVENTUREARRANGEMENT5.1TheContractorisestablishedasaJointVentureconsistingof[MemberA]and[MemberB].5.2TheLeadPartner,[MemberA],shallberesponsiblefortheoverallmanagementoftheWorksandactingasthesolepointofcontactwiththeEmployer.5.3TheMembersoftheJointVentureshallbejointlyandseverallyliablefortheperformanceofallobligationsunderthisContract.5.4AnyinternaldisputesbetweentheMembersregardingprofitsharing,costallocation,orscopedivisionshallberesolvedinternallyandshallnotaffecttheContractor'sobligationstotheEmployer.6.QUALITYASSURANCEANDSTANDARDS6.1TheContractorshallensurethatallmaterialsandworksareofgoodqualityandfitfortheirintendedpurpose.6.2AllmaterialsbroughttotheSitemustbetestedandcertifiedbyanindependentapprovedlaboratorytoensurecompliancewiththespecifiedstandards.6.3TheContractorshallimplementaQualityAssurancePlan(QAP)approvedbytheEmployer'sRepresentativepriortothestartofconstruction.7.INSURANCE7.1TheContractorshallmaintainthefollowinginsurancepoliciesthroughoutthedurationoftheContract:7.2PublicLiabilityInsurancecoveringthird-partybodilyinjuryandpropertydamageclaimsarisingfromtheWorks,withaminimumsuminsuredofAED[InsertAmount].7.3ContractWorksInsurancecoveringallrisksofphysicallossordamagetotheWorks,materials,andplant,withaminimumsuminsuredofAED[InsertAmount].7.4EmployersLiabilityInsurancecoveringtheliabilityforbodilyinjurytotheContractor'semployees,withaminimumsuminsuredofAED[InsertAmount].8.FORCEMAJEURE8.1IfaneventofForceMajeurepreventstheContractorfromperforminganyofitsobligationsunderthisContract,theContractorshallbeentitledtoareasonableextensionoftimefortheperformanceofsuchobligations.8.2TheContractorshallnotifytheEmployerinwritingassoonaspracticableoftheoccurrenceofanyForceMajeureeventandshallprovidereasonableevidencethereof.8.3IftheForceMajeureeventcontinuesforaperiodexceedingonehundredandeighty(180)consecutivedays,eitherPartymayterminatethisContractbygivingthirty(30)days'writtennoticetotheotherParty.9.DISPUTERESOLUTION9.1Anydispute,controversy,orclaimarisingoutoforrelatingtothisContract,orthebreach,termination,orvaliditythereof,shallbesettledfirstbyamicablenegotiationbetweentheParties.9.2Ifthedisputeisnotresolvedwithinthirty(30)daysfromthedateofwrittennotice,itshallbereferredtotheDubaiInternationalArbitrationCentre(DIAC)forarbitrationinaccordancewiththeDIACArbitrationRules.9.3TheseatofarbitrationshallbetheEmirateofDubai,UnitedArabEmirates.9.4ThearbitrationproceedingsshallbeconductedintheEnglishlanguage.9.5ThearbitralawardshallbefinalandbindinguponbothPartiesandmaybeenforcedinaccordancewiththeapplicablelaws.10.TERMINATION10.1TheEmployermayterminatethisContractbygivingwrittennoticetotheContractoriftheContractorcommitsamaterialbreachofanytermofthisContractandfailstoremedysuchbreachwithinaperiodofthirty(30)daysfromthereceiptofsuchnotice.10.2TheContractormayterminatethisContractiftheEmployerfailstopayanysumdueunderthisContractwhendueandsuchfailurecontinuesforaperiodofthirty(30)daysafterreceiptofwrittennotice.10.3Upontermination,theContractorshallprepareascheduleofworkcompletedandexpensesincurredandbeentitledtopaymentforthevalueoftheWorkscompleteduptothedateoftermination,subjecttoadeductionforliquidateddamages.11.GOVERNINGLAWANDMISCELLANEOUS11.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsoftheUnitedArabEmirates.11.2Noticesandcommunicatio
