建设单位合同纠纷处理协议ProtocolonHandlingContractDisputesThisProtocolonHandlingContractDisputes(the"Protocol")isenteredintoon[Date],byandbetween[NameofConstructionUnit],withitsregisteredaddressat[AddressofConstructionUnit]("PartyA"),and[NameofCounterparty],withitsregisteredaddressat[AddressofCounterparty]("PartyB").WHEREAS,PartyAandPartyBhadenteredintoacontract(the"Contract")dated[DateofContract]concerning[BriefDescriptionofContractSubjectMatter],withContractNo.[ContractNumber];WHEREAS,disputeshavearisenbetweenPartyAandPartyBconcerningtheperformanceoftheContract,specificallyregarding[DetailedDescriptionofDispute,includingrelevantContractClausenumbersandthenatureofthedisagreement];WHEREAS,PartyAandPartyBwishtoresolvetheaforementioneddisputeinafair,reasonable,andamicablemanner,andhaveagreedtoenterintothisProtocolforthepurposeofhandlingsuchdispute.NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,PartyAandPartyBagreeasfollows:1.SubjectMatterofDisputeThedisputebetweenthePartiesconcerns[Reiteratethespecificdisputeasdescribedabove,includingreferencestotheContract,relevantclauses,andthecoreissue(s)].ThescopeofthisProtocolshallbelimitedtoresolvingthesespecificdisputesrelatedto[Reiteratethescope,e.g.,paymentforspecificworks,rectificationofcertaindefects,delayincompletionofparticulartasks].2.PrinciplesandProceduresforDisputeResolutionThePartiesagreetoresolvethedisputegovernedbythisProtocolbasedontheprinciplesofvoluntariness,fairness,legality,goodfaith,andeffectiveness.Thepreferredmethodforresolutionisasfollows:(a)Negotiation:ThePartiesshalldesignaterepresentativestoengageingoodfaithnegotiationstoattempttoreachamutuallyacceptablesettlement.ThePartiesagreetoholdinitialnegotiationmeetingsat[Location]on[Date(s)andTime(s)]orasmutuallyagreedupon.Furthermeetingsshallbescheduledasneeded.IfthePartiesfailtoreachasettlementthroughnegotiationwithin[Number,e.g.,15]daysfromtheinitialmeetingorthelatestscheduledmeeting,thePartiesshallproceedtothenextstageofdisputeresolutionasagreedupon.(b)Mediation:Ifnegotiationisunsuccessful,thePartiesagreetosubmitthedisputetomediationadministeredby[NameofMediationInstitutionorMediator],locatedat[AddressofMediationInstitution/Mediator].ThePartiesagreetocomplywiththemediationrulesapplicabletothemediationprocess.ThePartiesshalleachappointamediatorwithin[Number,e.g.,10]daysofthefailureofnegotiation.Themediatorshallbe[Specifyselectionmethod,e.g.,mutuallyagreedupon,appointedbytheMediationInstitution].Themediationshallbeconductedin[City,State/Province]andshallaimtoreachamediatedsettlementagreement.ThePartiesagreetoenterintoaformalMediatedSettlementAgreementifoneisreached.3.SettlementTermsIfthePartiesreachasettlementthroughnegotiationormediation,thesettlementtermsshallbesetforthinaseparatedocumentorincorporatedintothisProtocolasanAnnexure.Suchtermsshallinclude,butarenotlimitedto:(a)ThespecificobligationsofeachPartyrelatedtotheresolutionofthedispute,includinganypaymentobligations,rectificationmeasures,orperformancecommitments.(b)Theschedulefor履行suchobligations,includingpaymentdatesandtimelinesforcompletionofwork.(c)Themannerofpayment,ifapplicable,includingamount,currency,andpaymentinstructions.(d)AnyothertermsagreeduponbythePartiestofullyresolvethedisputeanditsunderlyingissues.4.ConfidentialityEachPartyagreestokeepconfidentialallinformationdisclosedbytheotherPartyinconnectionwiththenegotiation,mediation,orresolutionofthedisputeunderthisProtocol,includingbutnotlimitedtobusinesssecrets,technicaldata,andpersonalinformation,exceptasrequiredbylaw,regulation,orcourtorder,orasnecessarytocarryoutthetermsofthisProtocolorthesettlementagreement.ThisconfidentialityobligationshallsurvivetheterminationofthisProtocolandshallcontinueforaperiodof[Number,e.g.,three]yearsafterthedateoftermination.5.GoverningLawandJurisdictionThisProtocolandtheresolutionofanydisputearisingoutoforinconnectionwiththisProtocolshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.AnylegalsuitarisingfromthisProtocolshallbesubmittedtothecompetentpeople'scourtwithjurisdictionlocatedin[City,e.g.,Beijing]foradjudication.6.Effectiveness,Amendment,andTermination(a)ThisProtocolshallbecomeeffectiveuponthesignaturesandsealsoftheauthorizedrepresentativesofbothParties.(b)AnyamendmentorsupplementtothisProtocolmustbemadeinwritingandsignedbytheauthorizedrepresentativesofbothParties.(c)ThisProtocolshallautomaticallyterminateuponthefullperformanceofthesettlementobligationsbybothPartiesasagreeduponhereinorupontheentryintoforceofafinalarbitralawardorcourtjudgmentrelatingtothedispute,unlessotherwiseagreedinwriting.7.LiabilityandIndemnityEachPartyshallbeliableforanybreachofitsobligationsunderthisProtocol.EachPartyagreestoindemnifyandholdharmlesstheotherPartyfromandagainstanylosses,damages,liabilities,costs,orexpensesincurredbytheindemnifiedPartyarisingoutoforresultingfromthebreachofthisProtocolbytheindemnifyingParty.8.ForceMajeureNeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisProtocolifsuchfailureordelayiscausedbyForceMajeure,definedaseventsbeyondthereasonablecontroloftheaffectedParty,includingbutnotlimitedtoactsofGod,war,terrorism,riots,strikes,governmentalactions,orothersimilarevents.TheaffectedPartyshallpromptlynotifytheotherPartyinwritingofanyForceMajeureeventandshallprovidereasonableevidencethereof.TheperformanceofobligationsunderthisProtocolshallbesuspendedduringtheperiodofsuchForceMajeureevent,andthetimeforperformanceshallbeextendedaccordingly.9.NoticeAllnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisProtocolshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredmail(returnreceiptrequested),sentbyovernightcourier,orsentbycertifiedemail(withconfirmationofdeliveryreceipt)totheaddressessetforthatthebeginningofthisProtocolortosuchotheraddressoremailaddressaseitherPartymaydesignateinwriting.10.EntireAgreementThisProtocol,includingtheattachedAnnexures(ifany),constitutestheentireagreementbetweenthePartiesconcerningthesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetheroralorwritten,relatingtothesamesubjectmatter.11.AssignmentNeitherPartymayassignanyrightsorobligationsunderthisProtocoltoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.12.SeverabilityIfanyprovisionofthisProtocolisfoundbyacourtofcompetentjurisdictiontobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsofthisProtocolshallnotinanywaybeaffectedorimpaired.13.WaiverNowaiverbyeitherPartyofanybreachofthisProtocolshallbeconsideredasawaiverofanysubsequentbreach.ThefailureofeitherPartytoenforceanyprovisionofthis
