THISCOPYRIGHTASSIGNMENTAGREEMENT(the"Agreement")ismadeandenteredintoasof[DATE](the"EffectiveDate")byandbetween:

(AssignorandAssigneemaybeindividuallyreferredtoasa"Party"andcollectivelyasthe"Parties.")

RECITALS

WHEREAS,theAssignoristhesoleandexclusiveownerofthecopyrightinandtotheoriginalwork(s)ofauthorshipdescribedinExhibitAattachedhereto(the"Work"),havingcreatedtheWorkon[DATEOFCREATION](orhavingacquiredsuchcopyrightthrough[e.g.,assignment,inheritance]on[DATEOFACQUISITION]);

WHEREAS,theAssignordesirestoassign,transfer,andconveyallright,title,andinterestinandtothecopyrightoftheWorktotheAssignee,andtheAssigneedesirestoacquiresuchcopyright,uponthetermsandconditionssetforthherein;

1.ASSIGNMENTOFCOPYRIGHT

1.1GrantofRights:TheAssignorherebyirrevocablyassigns,transfers,conveys,andsetsovertotheAssignee,itssuccessors,andassigns,theentireright,title,andinterestinandtothecopyrightoftheWork,includingallrightsofreproduction,distribution,publicperformance,publicdisplay,preparationofderivativeworks,andanyandallotherrightsnowknownorhereafterrecognizedunderthecopyrightlawsof[JURISDICTION],andthroughouttheworld,forthefulltermofcopyrightprotectionprovidedbylaw,includinganyextensionsandrenewalsthereof.

2.THEWORK

TheWorkbeingassignedhereunderismoreparticularlydescribedinExhibitA,whichisattachedheretoandincorporatedhereinbyreference.

3.CONSIDERATION

3.1Inconsiderationfortheassignmentofthecopyrightassetforthherein,theAssigneeshallpaytotheAssignorthesumof[AMOUNTINWORDS]([$AMOUNTINNUMERALS])(the"Consideration"),payableasfollows:[DESCRIBEPAYMENTTERMS,e.g.,"uponexecutionofthisAgreement,""ininstallmentsasfollows:[SPECIFY]"].

4.WARRANTIESANDINDEMNITIES

4.1Assignor'sWarranties:TheAssignorwarrantsandrepresentstotheAssigneethat:

a)TheAssignoristhesoleandexclusiveownerofthecopyrightinandtotheWorkandhasthefullright,power,andauthoritytoassignthesametotheAssigneeashereinprovided.

c)TheWorkdoesnotinfringeuponanycopyright,trademark,patent,tradesecret,orotherproprietaryrightofanythirdparty.

e)TheAssignorhasnotpreviouslyassigned,licensed,orotherwiseencumberedthecopyrightintheWorktoanythirdparty.

4.3Assignee'sWarranties:TheAssigneewarrantsandrepresentstotheAssignorthatithasthefullright,power,andauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.

5.RECORDATION

TheAssignoragreestoexecute,acknowledge,anddelivertotheAssigneeanyadditionaldocumentsandtakesuchfurtheractionsasmaybereasonablynecessarytoperfecttheassignmentofcopyrighthereunder,including,butnotlimitedto,executinganycopyrightassignmentregistrationformsrequiredbythe[COPYRIGHTOFFICE,e.g.,"UnitedStatesCopyrightOffice"].Allcostsassociatedwithsuchrecordationshallbeborneby[ASSIGNOR/ASSIGNEE,orasmutuallyagreed].

6.TERMINATION

7.GENERALPROVISIONS

7.1GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[STATE/COUNTRY],withoutregardtoitsconflictoflawsprinciples.

7.2EntireAgreement:ThisAgreementconstitutestheentireunderstandingbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallpriornegotiations,understandings,andagreements,whetheroralorwritten.

7.3Amendment:ThisAgreementmayonlybemodifiedoramendedbyawrittendocumentsignedbybothParties.

7.5Assignment:ThisAgreementshallbebindinguponandinuretothebenefitofthePartiesheretoandtheirrespectivesuccessorsandassigns.TheAssigneemayassignthisAgreementwithoutthepriorwrittenconsentoftheAssignor.TheAssignormaynotassignthisAgreementwithoutthepriorwrittenconsentoftheAssignee.

7.7Counterparts:ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

INWITNESSWHEREOF,thePartiesheretohaveexecutedthisCopyrightAssignmentAgreementasoftheEffectiveDate.
